PREAMBLE
Whereas the above mentioned Parties are the partner in the INFINITY
TRADING Company, a limited liability mixture company, CR No.
(2055010305), dated 21/03/1430H, issued at JUBAIL, with reference to
trading investment License No. (124074307126715) Dated 18-07-1443H –
20-02-2022, and as per the application no. (20522) issued by Ministry of
Commerce according to the regulations for correcting the status of
violators of the anti-commercial concealment system issued by decision
Council of Ministers No. (387) dated (11/7/1442 AH), and as per the Article
of Association recorded at the office of officer appointed at Ministry of
Commerce in Dammam with reference No. (100015531) and date
24/08/1443H, and as per the amendment in Article of Association recorded
at the office of officer appointed at Ministry of Commerce in Dammam
with reference No. (100022472) and date 22/10/1443H,
Whereas, the first partner in the company, Mr. YAHYA BIN WAHAB BIN
ABDULLAH AL KHUWAHIR, Saudi national, ID number (1010777801), has
been transferred his (50) shares, at a rate of (5%), at a value of (10,000
Saudi riyals) of the company’s capital. To the second partner in the
company, Mr. ANISUR RAHMAN SYED MOHAMMAD, Indian national,
Resident ID No. (2292736754) at the value agreed between the two parties
according to a separate agreement signed between parties at 26/03/2023,
and since the two partners has been fulfilled their rights to each other
according to the above mentioned agreement and Their sign on this
contract is shall be considered as full and final clearance between them,
therefore, the owner of the entire capital of the company Mr. ANISUR
RAHMAN SYED MOHAMMAD , decided to amend the company’s articles of
association with the exit of partner Mr. YAHYA BIN WAHAB BIN ABDULLAH
AL KHUWAHIR and the transfer of the legal type of the company from a
limited liability mixture company to a limited liability single person
company, In accordance with the Companies Law issued by Royal Decree
No. (M / 132) dated 1/12/1443 AH and its regulations, and in accordance
with the Foreign Investment Law issued by Royal Decree No. M / 1 dated
5/1/1421H,

Article (8): Notifications sent by the company to the owner of

The notifications that the company sends to the owner of the capital
shall be through any of the following means: ‫تكون التبليغات التي توجهها الشركة إلى مالك رأس املال عن طريق أي من الوسائل‬
A- Sending them by registered letters. : ‫اآلتية‬
b- Delivered in person or by someone on their behalf legally. .‫ إرسالها بخطابات مسجلة‬-‫أ‬
C- Sending it by e-mail or by any means of modern technology. ً ًّ

Article (9): Powers of the owner of the capital:

Article (10): Fiscal Year:

Article (12): Termination of the Company:
