MARKETING PARTNERSHIP AGREEMENT

This Marketing Partnership Agreement ("Agreement") is made and entered into as of this date,
................................................... by and between Match Professionals Ltd, existing under the laws of Uganda ,
with its principal place of business at Light Building, 4th Floor, H10, Nkrumah Rd, and Dr. Geoffrey
Ayebazibwe, a marketing partner existing under the laws of Uganda, with his principal place of
business at Western Uganda, Basing in Mbarara District.

WHEREAS, both parties desire to enter into a mutually beneficial marketing partnership to promote
and sell Online Data Analytics Training services for Eduskill, starting 18th September 2023.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the
parties agree as follows:

Appointment of Marketing Partner:

Match Professionals Ltd hereby appoints Dr. Geoffrey Ayebazibwe as a non-exclusive marketing
partner to promote and market the Online Data Analytics Training services for Eduskill in accordance
with the terms and conditions of this Agreement.

Responsibilities of the Partner:

a. Promotional Efforts: Partner shall use his best efforts to promote and market the Online Data
Analytics Training services for Eduskill to potential customers and clients.

b. Compliance: Partner shall comply with all applicable laws, regulations, and industry standards in all
his marketing activities.

c. No Misrepresentation: Partner shall not make any false or misleading claims about the Online Data
Analytics Training services for Eduskill or Match Professionals Ltd.

d. Communication: Partner shall maintain regular communication with the Match Professionals to
provide updates on marketing efforts and results.

Compensation:
a. Commission Structure: Match Professionals agrees to pay Partner a commission on sales generated
by Partner's marketing efforts. The commission rates will be 80,000 Ugx for every fully paid participant

b. Payment Terms: Commissions shall be paid Monthly within 5 days following the end of each
payment period.

c. Taxes: Partner shall be responsible for any taxes or fees arising from the commissions earned under
this Agreement.

Intellectual Property:
a. Company's Intellectual Property: Partner acknowledges that all trademarks, copyrights, and other
intellectual property rights related to the Online Data Analytics Training services for Eduskill are and
shall remain the exclusive property of the Eduskil and Match Professionals Ltd

b. Limited License: Match Proffessionals Ltd grants Partner a limited, non-exclusive, non-transferable
license to use Company's trademarks and marketing materials solely for the purpose of promoting the
Online Data Analytics Training services for Eduskill during the term of this Agreement.

Term and Termination:

a. This Agreement shall commence on the effective date and continue for an initial term of 2 month
unless terminated earlier as provided herein.

b. Either party may terminate this Agreement with 10 days written notice to the other party for any
reason.

c. Upon termination, all unpaid commissions earned by Partner up to the termination date shall be
paid by Match Professionals Ltd.

Confidentiality: Both parties agree to keep all confidential information exchanged during the course
of this partnership confidential and shall not disclose or use such information for any purpose other
than as necessary to fulfill their obligations under this Agreement.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of
Uganda without regard to its conflict of laws principles.

IN WITNESS WHEREOF, the parties hereto have executed this Marketing Partnership Agreement as of
the date first written above.
