Terms & Conditions

A. PAYMENT TERMS
i. 30% advance
ii. 50% after supply, 20% after handover
iii. Invoice shall be paid within 30 days of submitting the invoice
iv. Installation shall be billed after the handing over of the project.
v. Unikelvin Ventures is registered as an MSME under Ministry of MSME, Govt. of India. (Type A, UAM No: KR03A0074747).
vi. Any change in quantities wrt to site conditions shall be amended in PO and billed at actuals
vii. Any relaxation to the above payment terms shall be strictly as per mutually agreed terms

B. TAXATION

i. GST and other taxes – Not applicable for SEZ.

ii. For Non-SEZ, Equipment shall have 28% GST on supply and 18% GST on installation works.
iii. Low-end works supply and installation works shall have 18% GST.
iv. Any other taxes applicable are as per local tax guidelines.

C. OFFER VALIDITY
i. Our price is valid for a period of 30 days from the date of submission.
ii. In case of any delays from client end in completion of project due to whatsoever reasons, the prices agreed and finalized shall be subject to change as prevailing in that timeframe.

D. WORK COMPLETION

i. 1-2 Weeks from date of Purchase Order or site clearance or approval of drawings, whichever is later.
ii. Any change is scope or scale of the work above that is stated in the PO, shall be granted with extension of time for completion.
iii. In case Force Majeure events, which substantially affect the stipulated execution of the project, the client shall grant an extension of time for completion, for a period of not less than the number of days

the Force Majeure event occurred. Natural phenomena including floods, earthquakes, epidemic, fire, war declared / undeclared or war like situation, rot, civil commotion and/or acts of government/ Storm/
sabotaged/ Embargo by government shall constitute Force Majeure events.

E. INCLUSION OF THE OFFER

i. Supply, installation, testing, commissioning for the items under the scope of contract.
ii. Standard packaging as provided by the supplier, insurance, assembly and commissioning.
iii. Manual Loading, unloading, shifting. In case a lift or crane is required for shifting the items, shall be under the scope of the client, unless mentioned explicitly in the contract.
iv. All the equipment shall be covered under warranty from the date of delivery/ installation for a period of 12 months.
v. Documentation, qualification and validation of systems only if mentioned explicitly in the contract.
vi. Labour, Personal Protection Equipment (PPE), safety obligations
vii. Scaffolding for working at height
viii. Crane charges for lifting and shifting the materials

F. EXCLUSIONS OF THE OFFER

i. Below mentioned scope of works are excluded from our scope, unless explicitly stated in the contract
a. Civil, interiors, architectural, plumbing & sanitary works such as digging, filling, wall opening, wall closing, civil cutouts, painting, core cutting for AC and ducts.
b. Electrical cabling from the main feeder till the control panel and DB
c. Housekeeping at the site during the execution of the work.
d. Cleaning up debris after the execution of the project.
e. Any other works not mentioned under scope of work but required for job completion.

G. OBLIGATIONS OF THE CLIENT

i. Providing temporary power to carryout fabrication, cutting, welding and other necessary works
ii. Providing proper lighting at the site of project execution
iii. Providing safe and secured storage place preferably with locking arrangement for storing all Equipment, materials, tools, tackles etc. brought to site as required during job execution.
