All the three above are BROTHERS and also the joint owners of C.A-9, Municipal no 9, A
sector, Yelahanka newtown, Bangalore -560064, the site measures 10201.55 sqft (Ten
thousand two hundred and one point fifty-five sqft) they are all residing at 46/19,
Dr.Sheshadri Road, Marappa Garden, Benson Town, Bangalore -64,hereinafter referred
to as the “LESSORS” (which term shall mean and include their heirs, legal representatives,
assignees, assignors, successors and attorneys, etc.,) of ONE PART, and

Thokala and his other partners having its registered office at # 15, Sri Rudreshwara
Chambers, HIGʹAʹ Sector, Ground Floor, Yelahanka new town, Bangalore -560064 and
hereinafter called as the "LESSEE” (which expression wherever it so requires shall mean
and include all its successors, legal representatives, administrators, executors and assigns
etc.,) OF THE OTHER PART:

WITNESSETH AS FOLLOWS:

WHEREAS, the LESSORS are the sole and absolute owners of the property constructed on
C.A-9, Municipal no 9, A sector, Yelahanka newtown, Bangalore -560064, the site
measuring 10201.55 sqft, in which Ground Floor & First Floor is also a part of the said
property and the LESSEE as requested to rent it out on the following terms and conditions:

NOW THIS AGREEMENT OF RENT WITNESSETH AS FOLLOWS:

1. The LESSEE has agreed to pay a monthly rent of Rs, 1,50,000/- (Rupees One Lakh
fifty thousand only) payable to Mr.Zia ur Rahman, Mr.Atti ur Rahman and
Mr.Mujeeb ur Rahman into their joint bank account in Canara Bank bearing
account no-0793101020961 and the monthly rent shall commence from February 1st
where in the rent will be paid on or before 7th March 2022.

2. The Lessee shall pay the aforesaid rentals after deducting taxes if any under the
Provisions of Income Tax Act and the Lessee shall issue an appropriate TDS
Certificate (or) such certificate to the LESSORS every financial year within the end
of 1st quarter of the succeeding year and 10% TDS to be paid by the LESSEE which
is inclusive of Rent and the same certificate shall be given to the LESSOR to claim
it.

3. Any kind of other building taxes, property taxes, BBMP taxes to be paid by the
LESSORS and the LESSEE will not have any kind of rights on the property other
than just being on rent.

4. The Lease period from this day for a lock in period of 7 years i.e from 15th
JANUAURY 2023 till 15th JANUAURY 2030 and on mutually agreed the lease
period can be extended till 9 years.

(a) However, both LESSORS and LESSEE have mutually agreed that the tenancy of
this agreement may be renewed every 3 years.

(b) The LESSEE shall pay the monthly rent on or before the 7 th day of the
succeeding calendar month to the LESSORS as per the terms.

5. The tenancy month shall be of English Calendar month commencing from 1st day of
each calendar month and ends on the last day of each English Calendar Month.

6. In the event of the LESSEE continuing for a further period beyond 11 months, the
LESSEE has agreed to increase the rent by 10% every year for the first 3 years and
by 15% in the next upcoming 3 years

7. The LESSEE shall make use of the scheduled property for their bonafide commercial
purposes, like opening Pre-school, school, college, educational franchise outlet,
tutorials, educational offices, or any other permitted educational commercial activity.

8. LESSEE shall keep the schedule premises in good and tenantable conditions.

9. The LESSEE shall have no absolute right to assign this lease or any part thereof, sub-
let, sub-lease, underlet, license, create tenancy, sub-tenancy or part with possession
directly or indirectly to any third party/s at their terms and conditions as they may
deem fit.

10. The LESSEE shall pay the electricity consumption charges of the scheduled
premises directly to the concerned authority without any default.

11. The LESSEE shall pay the water consumption charges and the maintenance charges
as for the bills and demands raised by the LESSORS from time to time and make the
payment promptly to the LESSORS.

12. The LESSEE shall pay a total sum of Rs.10,00,000/- (Rupees ten lakhs only) and
another 5,00,000/- ( Five lakhs) in the month of August 2023 as a refundable
Security Deposit vide RTGS and the UTRN number …………………. and the said
amount shall be repaid or returned to the LESSEE on vacating and handing over the
vacant possession of the schedule premises to the LESSORS, and security deposit
shall not carry any interest, the LESSORS have got the liberty to deduct any arrears
of rent, arrears of electricity bill, arrears of water consumption charges as per the
demand raised.

13. Both the LESSORS and the LESSEE have at liberty to terminate this rent agreement
causing Three months prior notice each other in writing, of their intention of
terminating or rescinding this agreement the LESSORS shall strictly adhere the

provisions of section 106 of the transfer of property act, time being in force, or any
other law that may prevail at the time of issue of notice of termination.

14. This agreement is made in two sets of original each one will be in the custody of the
OWNERS and a copy of which in handed over to the tenant.

All that price and parcel of Ground Floor measuring 6000.55 Sft and First Floor measuring
6000 sqft in property bearing C.A-9, Municipal no 9, A sector, Yelahanka newtown,
Bangalore -560064, this property is bounded on the:

East by: Private Property (KK Hospital)


West by: Road
North by: Main Road
South by: Road

IN WITNESS WHEREOF, both the LESSORS and LESSEE have affixed their respective
signatures to this rental agreement, on the day, month and year first above written at
Bangalore, in the presence of the following witnesses.
