1. The Tenant confirms that it has read and ﯾﺆﻛﺪ اﻟﻤﺴﺘﺄﺟﺮ ﻋﻠﻰ أﻧﮫ ﻗﺪ ﻗﺮأ وﻓﮭﻢ ﺟﻤﯿﻊ اﻟﺸﺮوط.1

terms and conditions contained in the Lease ("QDB") ﻓﻲ ﻋﻘﺪ اﻹﯾﺠﺎر اﻟﻤﺒﺮم ﻣﻊ ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ
واﻟﻤﺘﻌﻠﻘﺔ ﺑﺎﻟﺘﻌﻮﯾﻀﺎت اﻟﻮاردة ﻓﻲ ﺳﯿﺎﺳﺎت وإﺟﺮاءات
Agreement with the Qatar Development Bank
.اﻹﯾﺠﺎر وﺑﻤﻮﺟﺐ ھﺬا ﯾﻮاﻓﻖ ﻋﻠﻰ اﻻﻣﺘﺜﺎل ﻟﮭﺎ
(“QDB”) relating to Fit-Out and contained in the
Tenancy Policies and Procedures and hereby agrees
to comply with them.
2. WARNING: Slabs, columns, walls and beams must ﯾﺠﺐ ﻋﺪم ﺣﻔﺮ اﻷﻟﻮاح واﻷﻋﻤﺪة واﻟﺠﺪران: ﺗﺤﺬﯾﺮ.2

specifications submitted to the QDB or its duly أو وﻛﻼﺋﮭﺎ اﻟﻤﻌﺘﻤﺪﯾﻦ ﺣﺴﺐ اﻷﺻﻮل ﻟﻠﻤﻮاﻓﻘﺔQDB إﻟﻰ
authorized agents for written approval before . اﻟﻜﺘﺎﺑﯿﺔ ﻗﺒﻞ اﻟﺒﺪء ﺑﺘﻨﻔﯿﺬ ھﺬه اﻷﻋﻤﺎل
commencement of the works envisaged.
3. If any damage or loss is actually caused or if such ﻓﻲ ﺣﺎﻟﺔ ﺣﺪوث أي ﺿﺮر أو ﺧﺴﺎرة ﻷي ﺳﺒﺐ ﻛﺎن أو إذا.3
damage or loss is reasonably foreseeable then the ﻓﺈن ﺑﻨﻚ،ﻛﺎن ھﺬا اﻟﻀﺮر أو اﻟﺨﺴﺎرة ﻣﺘﻮﻗﻌًﺎ ﺑﺸﻜﻞ ﻣﻌﻘﻮل
QDB as landlord reserves absolutely the right to ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ ﺑﺼﻔﺘﮫ اﻟﻤﺎﻟﻚ ﯾﺤﺘﻔﻆ ﺗﻤﺎ ًﻣﺎ ﺑﺎﻟﺤﻖ ﻓﻲ إﯾﻘﺎف
ﯾﺘﻌﮭﺪ اﻟﻤﺴﺘﺄﺟﺮ.ﺟﻤﯿﻊ اﻷﻋﻤﺎل ﺣﺘﻰ ﯾﺘﻢ إﺟﺮاء ﺗﻘﯿﯿﻢ ﻛﺎﻣﻞ
stop all work until a full assessment has been made.
ﺑﺎﻻﻣﺘﺜﺎل اﻟﻔﻮري ﻷﯾﺔ إﺷﻌﺎرات ﻣﻦ ھﺬا اﻟﻘﺒﯿﻞ ﺗﺼﺪر ﻋﻦ
The Tenant undertakes to immediately comply with ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ ﻓﯿﻤﺎ ﯾﺘﻌﻠﻖ ﺑﻮﻗﻒ أي أﻋﻤﺎل وﯾﻮاﻓﻖ
any such notices issued by the QDB concerning the ًاﻟﻤﺴﺘﺄﺟﺮ ﻛﺬﻟﻚ دون ﻗﯿﺪ أو ﺷﺮط ﻋﻠﻰ أﻧﮫ ﺳﯿﻜﻮن ﻣﺴﺆوﻻ
stoppage of any works and further the Tenant ﻋﻦ ﺟﻤﯿﻊ اﻟﺘﻜﺎﻟﯿﻒ واﻟﻨﻔﻘﺎت اﻟﻤﺘﻌﻠﻘﺔ ﺑﺄي ﺗﻌﺪﯾﻞ وأﻋﻤﺎل
unconditionally agrees that it will be liable for all .اﻟﺘﺼﺤﯿﺢ اﻟﻼزﻣﺔ
costs and expenses attributable to any amendment
and necessary rectification work.

4. Any damage to the office or wider building finishes أي أﺿﺮار ﺗﻠﺤﻖ ﺑﺎﻟﻤﻜﺘﺐ أو اﻟﺘﺸﻄﯿﺒﺎت أو اﻟﻤﺒﺎﻧﻲ اﻷوﺳﻊ.4
or fittings or common areas which may occur during ، أو اﻷﻣﺎﻛﻦ اﻟﻌﺎﻣﺔ اﻟﺘﻲ ﻗﺪ ﺗﺤﺪث أﺛﻨﺎء أﻋﻤﺎل اﻟﺪﯾﻜﻮر
the decoration works, whether by accident or ﺳﯿﺘﻢ إﺻﻼﺣﮭﺎ ﻣﻦ، ﺳﻮاء ﻋﻦ طﺮﯾﻖ اﻟﺼﺪﻓﺔ أو ﻏﯿﺮ ذﻟﻚ
ﻗﺒﻞ ﻣﻘﺎوﻟﻲ ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ ﻋﻠﻰ اﻟﻤﺴﺘﻮى اﻟﻤﻌﺘﻤﺪ ﻣﻦ ﻗﺒﻞ
otherwise, will be repaired by QDB’s contractors to
ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ وﺟﻤﯿﻊ اﻟﺘﻜﺎﻟﯿﻒ واﻟﻤﺼﺎرﯾﻒ اﻟﻤﺘﻌﻠﻘﺔ
the standard approved by the QDB and all such ﺳﺘﻜﻮن أﻋﻤﺎل اﻹﺻﻼح ﻟﺤﺴﺎب اﻟﻤﺴﺘﺄﺟﺮ وﻓﻲ ھﺬا.ﺑﮭﺎ
costs and expenses attributable to the repair works اﻟﺼﺪد ﯾﺘﻌﮭﺪ اﻟﻤﺴﺘﺄﺟﺮ ﺑﺪﻓﻊ ھﺬه اﻟﺘﻜﺎﻟﯿﻒ واﻟﻨﻔﻘﺎت إﻟﻰ ﺑﻨﻚ
will be for the account of the Tenant and in this ( أﯾﺎم ﻋﻤﻞ ﻣﻦ ﺗﺎرﯾﺦ7) ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ ﻓﻲ ﻏﻀﻮن ﺳﺒﻌﺔ
regard the Tenant undertakes to pay these costs اﻟﻄﻠﺐ ﻋﻠﻰ ﻣﺜﻞ ھﺬه اﻟﺘﻜﺎﻟﯿﻒ اﻟﺼﺎدرة ﻋﻦ ﺑﻨﻚ ﻗﻄﺮ
and expenses to the QDB within seven (7) business .ﻟﻠﺘﻨﻤﯿﺔ
days of the date of the demand for such costs issued
by the QDB.
5. The Tenant shall fully indemnify QDB and/or the ﯾﺠﺐ ﻋﻠﻰ اﻟﻤﺴﺘﺄﺟﺮ اﻟﺘﻌﻮﯾﺾ اﻟﻜﺎﻣﻞ ﻟﺒﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ و.5
Facility Management and hold them harmless أو إدارة اﻟﻤﺮاﻓﻖ وﻣﻦ ﯾﻨﻮب ﻋﻨﮭﻢ وﻋﺪم إﻟﺤﺎق اﻟﻀﺮر/
against any claim whatsoever or howsoever arising ﺑﮭﻢ ﺿﺪ أي ﻣﻄﺎﻟﺒﺔ ﻣﻦ أي ﻧﻮع أو ﻛﯿﻔﻤﺎ ﻧﺸﺄت ﻋﻦ
اﻷﺿﺮار اﻟﻨﺎﺷﺌﺔ ﻋﻦ اﻟﺘﻨﻔﯿﺬ واﻻﺳﺘﺨﺪام اﻟﻼﺣﻖ ﻟﻸﻋﻤﺎل
for damage arising from the execution and
.اﻟﻤﻨﺠﺰة ﻧﯿﺎﺑﺔ ﻋﻦ اﻟﻤﺴﺘﺄﺟﺮ
subsequent use of the works carried out on behalf
of the Tenant.
6. All necessary permits from relevant Government اﺳﺘﺨﺮاج ﺟﻤﯿﻊ اﻟﺘﺼﺎرﯾﺢ اﻟﻼزﻣﺔ ﻣﻦ اﻟﺪواﺋﺮ اﻟﺤﻜﻮﻣﯿﺔ.6
Departments are to be obtained by the Tenant. All ﯾﺠﺐ أن ﯾﻠﺘﺰم اﻟﻤﺴﺘﺄﺟﺮ.ذات اﻟﺼﻠﺔ ﻣﻦ ﻗﺒﻞ اﻟﻤﺴﺘﺄﺟﺮ
conditions and regulations specified by or in the ، ﺑﺼﺮاﻣﺔ ﺑﺠﻤﯿﻊ اﻟﺸﺮوط واﻟﻠﻮاﺋﺢ اﻟﻤﺤﺪدة ﻓﻲ اﻟﺘﺼﺮﯾﺢ
وإذا ﻛﺎن ﺑﻨﻚ، وﻻ ﺳﯿﻤﺎ ﻣﺘﻄﻠﺒﺎت دوﻟﺔ ﻗﻄﺮ ﻟﻠﺪﻓﺎع اﻟﻤﺪﻧﻲ
permit, in particular the requirements of the State
ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ أو أي ﻣﻦ اﻟﺸﺮﻛﺎت اﻟﺘﺎﺑﻌﺔ ﻟﮫ ﯾﻌﺎﻧﻲ ﻣﻦ أي
of Qatar Civil Defence, must strictly be complied ﻓﺈن اﻟﻤﺴﺘﺄﺟﺮ ﻣﻮاﻓﻖ ﻋﻠﻰ ﺗﻌﻮﯾﺾ، ﺧﺴﺎرة أو ﺿﺮر

then the Tenant agrees to fully indemnify the QDB
and its affiliates in respect of such loss or damage.
7. Approval of the Tenant's proposals for any Fit-Out ﻻ ﺗﻌﻨﻲ اﻟﻤﻮاﻓﻘﺔ ﻋﻠﻰ ﻣﻘﺘﺮﺣﺎت اﻟﻤﺴﺘﺄﺟﺮ ﻷﯾﺔ أﻋﻤﺎل.7
or modification works does not imply QDB or the ﺗﺠﮭﯿﺰ أو ﺗﻌﺪﯾﻞ أن ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ أو إدارة اﻟﻤﺮاﻓﻖ
Facility Management endorsement of the ﻣﻮاﻓﻘﺔ ﻋﻠﻰ اﻟﻤﻮاﺻﻔﺎت أو اﻷداء ﻓﻲ اﺳﺘﺨﺪام اﻟﻤﺼﻨﻊ أو
اﻟﻤﻮاد اﻟﻤﺴﺘﺨﺪﻣﺔ أو ﻛﻔﺎﯾﺔ أو ﻣﻼءﻣﺔ أي ﻏﺮض ﻣﻦ ھﺬه
specifications or the performance in use of the plant
ﯾﻮاﻓﻖ اﻟﻤﺴﺘﺄﺟﺮ ﻋﻠﻰ أن ﺑﻨﻚ، ﻓﻲ ھﺬا اﻟﺼﺪد.اﻷﻋﻤﺎل
or materials used or the adequacy or fitness for ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ وﻻ إدارة اﻟﺘﺴﮭﯿﻼت ﻗﺪ ﻗﺪﻣﺖ أي ﺗﻌﮭﺪات أو
purpose of any such works. In this regard, the ﻗﺪﻣﺖ أي ﺿﻤﺎﻧﺎت ﻓﯿﻤﺎ ﯾﺘﻌﻠﻖ ﺑﺄﻋﻤﺎل اﻟﺘﺠﮭﯿﺰ أو اﻟﺘﻌﺪﯾﻞ
Tenant accepts that neither QDB nor the Facility ﻋﻠﻰ اﻹطﻼق وﯾﻮاﻓﻖ اﻟﻤﺴﺘﺄﺟﺮ ﻋﻠﻰ أﻧﮫ ﻟﻦ ﯾﻜﻮن ﺑﻨﻚ ﻗﻄﺮ
Management have made any representations or ﺑﺄي.ﻟﻠﺘﻨﻤﯿﺔ وﻻ إدارة اﻟﺘﺴﮭﯿﻼت ﻣﺴﺆوﻟﯿﻦ ﺗﺠﺎه اﻟﻤﺴﺘﺄﺟﺮ
ﺷﻜﻞ ﻣﻦ اﻷﺷﻜﺎل أو أﯾﺎ ﻛﺎن ﻓﯿﻤﺎ ﯾﺘﻌﻠﻖ ﺑﺄي ﺧﺴﺎرة أو
given any warranties in relation to the Fit-Out or
ﺗﻜﻠﻔﺔ أو ﻣﺼﺮوﻓﺎت ﺗﻜﺒﺪھﺎ أو ﺧﺴﺮھﺎ اﻟﻤﺴﺘﺄﺟﺮ ﻧﺘﯿﺠﺔ ل
modification works whatsoever and the Tenant .أﻋﻤﺎل اﻟﺘﺠﮭﯿﺰ أو أﻋﻤﺎل اﻟﺘﻌﺪﯾﻞ
accepts that neither QDB nor the Facility
Management will be liable to the Tenant in any way
whatsoever or howsoever in respect of any loss,
cost or expense incurred or suffered by the Tenant
as a result of the Fit-Out or modification works.

8. QDB or the Facility Management on its behalf ﯾﺤﺘﻔﻆ ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ أو إدارة اﻟﻤﺮاﻓﻖ ﻧﯿﺎﺑﺔً ﻋﻨﮭﻤﺎ ﺑﺎﻟﺤﻖ.8
reserves the right to require the Tenant to make any ﻓﻲ ﻣﻄﺎﻟﺒﺔ اﻟﻤﺴﺘﺄﺟﺮ ﺑﺈﺟﺮاء أي ﺗﻌﺪﯾﻼت ﻣﻌﻘﻮﻟﺔ ﺣﺘﻰ ﺑﻌﺪ
reasonable alterations even after the completion of اﻻﻧﺘﮭﺎء ﻣﻦ اﻷﻋﻤﺎل اﻟﻤﻘﺘﺮﺣﺔ ﺣﯿﺚ ﺗﻜﻮن ھﺬه اﻟﺘﻌﺪﯾﻼت
ﯾﺠﺐ.ﻣﻄﻠﻮﺑﺔ ﻣﻦ ﻣﻨﻈﻮر ﻗﺎﻧﻮﻧﻲ أو ﺗﻨﻈﯿﻤﻲ أو ﺗﺠﺎري
the proposed works where such alterations are
ﺗﻨﻔﯿﺬ أي ﻣﻦ ھﺬه اﻟﻤﺘﻄﻠﺒﺎت ﻣﻦ ﻗﺒﻞ اﻟﻤﺴﺘﺄﺟﺮ ﻓﻲ ﻏﻀﻮن
required from a legal, regulatory or business ًﺷﮭﺮ واﺣﺪ ﻣﻦ اﻟﺘﺎرﯾﺦ اﻟﺬي ﯾﺘﻢ ﻓﯿﮫ إﺧﻄﺎر اﻟﻤﺴﺘﺄﺟﺮ ﻛﺘﺎﺑﺔ
perspective. Any such requirements must be carried ًﺑﺎﻟﺘﻌﺪﯾﻼت ﻣﺎ ﻟﻢ ﯾﺘﻢ اﻻﺗﻔﺎق ﻋﻠﻰ ﻓﺘﺮة زﻣﻨﯿﺔ ﺑﺪﯾﻠﺔ ﻛﺘﺎﺑﺔ
out by the Tenant within one month from the date .ﺑﯿﻦ اﻟﻤﺴﺘﺄﺟﺮ و ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﺔ
on which the Tenant is notified in writing of the
alterations unless an alternative time period is
mutually agreed in writing between the Tenant and
QDB.
9. The Tenant shall provide list of all required ﯾﺠﺐ ﻋﻠﻰ اﻟﻤﺴﺘﺄﺟﺮ ﺗﻘﺪﯾﻢ ﻗﺎﺋﻤﺔ ﺑﺠﻤﯿﻊ اﻟﻤﺮاﺳﻼت.9
Government Correspondences as per regulation اﻟﺤﻜﻮﻣﯿﺔ اﻟﻤﻄﻠﻮﺑﺔ ﺣﺴﺐ اﻟﻠﻮاﺋﺢ اﻟﺘﻲ ﯾﺠﺐ ﺗﻮﻗﯿﻌﮭﺎ ﻣﻦ
need to be signed by QDB. All necessary permits ﺟﻤﯿﻊ اﻟﺘﺼﺎرﯾﺢ اﻟﻼزﻣﺔ ﻣﻦ اﻟﺪواﺋﺮ.ﻗﺒﻞ ﺑﻨﻚ ﻗﻄﺮ ﻟﻠﺘﻨﻤﯿﺔ
.اﻟﺤﻜﻮﻣﯿﺔ ذات اﻟﺼﻠﺔ ﺗﻜﻮن ﺗﺤﺖ ﺗﻜﻠﻔﺔ اﻟﻤﺴﺘﺄﺟﺮ
