3. Price Revision / Escalation:

a. In case of any change in technology, scope, specifications and/or quantities, the
price will be revised

4. Warranty:
(a) Solar Panel – 10 Years Manufacturing Defect Warranty and 25 years performance warranty up
to 80 % as per OEM warranty terms and Condition
(b) Inverter – 10 year as per OEM warranty terms & conditions.
(c) Balance Components – 1 year as per warranty terms & conditions
# Warranty will be applicable against any manufacturing defect & will be considered from the date of
supply.

5. Payment terms

(a) 10% Advance with Confirmed Purchase Order.

(b) 40% After getting MSEDCL approval.
(c) 20% After delivery material on side.
(d) 30% After Installation & Commissioning.

Force Majeure: Dispatch of all items in our scope, as agreed to, will be subject to Force
Majeure conditions like Civil wars or hostilities whether declared or not, Riot or civil commotion,
act of terrorism, earthquake, flood, fire or natural disasters, strike or lockout or other industrial
unrest, Load shedding or power breakdown or disruption in water supply due to reasons beyond
contractor’s controls.

6. Insurance: Only transit Insurance upto site is included. Insurance for safe custody of supplied
material or any other scope of work is in client’s scope.

7. Warranty claim shall not be eligible in case of physical damage to the products or
components or lack of adequate maintenance or as may be provided for in the component
suppliers warranty terms. Warranty does not include any incidental or consequential
damages such as loss of production, loss of life due to any accident, or any monetary loss
arising out of down time, and under no circumstances, we will be held responsible for
compensating such losses.

8. Jurisdiction, Arbitration, Governing Law & Language: Subject to Kolhapur jurisdiction & as
per the prevailing Indian laws & acts. The governing language of the commercial proposal/
Contract shall be in English / Marathi.

9. Validity Of Offer: This offer is valid for 20 days only
