ABSOLUTE SALE DEED

This deed of Absolute sale is made and executed on this Twenty First day of October 2023, at
Bangalore.

BETWEEN:
M/s. Confident Projects (India) Pvt Limited, a Company duly incorporated under the Companies Act
1956 and having its Corporate office at #6, Langford Town, Hosur Main Road, Bangalore 560025, duly
represented by its Authorized Signatory Mr. Joju Kochappan, and is hereby pursued by Mr. John
Stephen (for the admission of execution of the executants vide SPA DOC No.SRJ-4-00286-2023-24 before
the Sub Registrar), Hereinafter referred to as the “VENDOR” of the First Part, PAN No. AACCC7506L

M/s. DJ Projects Private Limited, a Company duly incorporated under the Companies Act 1956 and
having its Registered office at 574, Opp. Lakshmidevi Park, 8th Block, Koramangala, Bangalore – 560095,
duly represented by its Authorized Signatory Mr. Joju Kochappan, and is hereby pursued by Mr. John
Stephen (for the admission of execution of the executants vide SPA DOC No.SRJ-4-00286-2023-24 before
the Sub Registrar), Hereinafter referred to as the “PROMOTER / DEVELOPER” of the Second Part, PAN
No. AACCD2092E

1. Ms. Sunita Bijalwan PAN No. BQBPS1275B, Aadhar No. 809623766196 aged 59 years W/o Mr. Indu
Pati Bijalwan
2. Mr. Shishir Bijalwan, PAN No. BIOPB2129Q, Aadhar No. 451325260188 aged 33 years S/o Mr. Indu
Pati Bijalwan both are residing at C/O Indu Pati Bijalwan, 170, Lane No.6, Badrish Colony Dharmapur
Danda, Dehradun, Dehradun, Uttarakhand - 248001 duly represented by their GPA holder Mrs. Megha
Bijalwan, PAN No. BPFPB8442G, Aadhar No. 591202384280 aged 36 years W/o Mr. Apurv Jaiswal.

The expressions “Vendor”, “Promoter / Developer” and “Purchaser” shall wherever the context to
admit, be deemed to mean and include, all their respective heirs, executors, legal representatives, all
successors-in-office, nominees and assignees.

WITNESSETH AS

Whereas M/s. Confident Projects (India) Pvt Limited,the Vendor represent to the Purchaser that they
are in Ownership/possession and enjoyment of the commercially converted property bearing Survey
No.85/2 measuring 1 Acre 5.08 Guntas situated at Chambenahalli Village, Sarjapura Hobli, Anekal
Taluk, Bangalore District, Bangalore. This Survey No.85/2 measuring 1 Acre 5.08 Guntas is converted for
Commercial purpose vide Conversion Order No.ALN (ASH)SR/290/2013-14 dated 13.06.2014 issued by
the office of Deputy Commissioner, Bangalore District.

The Vendor has acquired the right of ownership and possession of the said property vide Sale deed
document No.SRJ-1-05095-2014-15 stored in CD No.SRJD170 dated 07.03.2015 registered in the Office
of Sub Registrar, Sarjapur, Anekal Taluk.

Whereas M/s.DJ Projects Private Limited, the Promoter/Developer represent to the Purchaser that they
are in possession and enjoyment of Commercially converted Land bearing Survey No.83/3 measuring to
an extent of 20 Guntas and the other Extent of Survey No.85/2 measuring to an extent of 1 Acre 5.08
Guntas situated at Chambenahalli Village, Sarjapura Hobli, Anekal Taluk, Bangalore District,
Bangalore.This Survey No. 83/3 measuring to an extent of 20 Guntasis converted for Commercial
Purpose vide modified conversion Order No.ALN (A) (S) SR/04/2010-11 dated 19.03.2014 and the other
Extent of Survey No.85/2 measuring to an extent of 1 Acre 5.08 Guntas converted vide Modified
Conversion Order No.ALN (A) (S) SR/49/2007-08 dated 19.03.2014.

The Promoter/Developer acquired the right of Ownership and Possession of the said Property bearing
Survey No.83/3 measuring 20 Guntas vide Sale Deed document No.ANK-1-00496-2016-17 stored in CD
No.ANKD402 dated 30.04.2016 registered in the Office of Sub Registrar, Anekal Taluk and Survey
No.85/2 measuring 1 Acre 5.08 Guntas vide Sale Deed document No.SRJ-1-00071-2008-09 stored in CD
No.SRJD14 dated 17.04.2008 registered in the Office of Sub Registrar, Sarjapur, Anekal Taluk.

THE TOTAL EXTENT OF LAND in Survey No.83/3 measuring to an extent of 20 Guntas, Survey No.85/2
measuring to an extent of 1 Acre 5.08 Guntas and Survey No.85/2 measuring 1 Acre 5.08 Guntas
Totally measuring 2 Acres 31 Guntas is owned by the Vendor and the Developer and morefully
described in the schedule below and hereinafter referred to as the “Schedule Property” and the same
is approved by Anekal Planning Authority vide No. APA /CC/149/2018-19 dated 20.03.2019 and
Modified on 21.10.2022 Situated at Chambenahalli Village, Sarjapura Hobli, Anekal Taluk, Bangalore
District and they are in possession and enjoyment of the same.

M/s.Confident Projects (India) Pvt. Limited (the Vendor) has entered into the Collaboration Agreement
with M/s.D J Projects Private Limited (the Developer) Vide Document No. JGN-1-06749-2019-20 Stored
in CD No. JGND784 dated 19.12.2019 registered in the Office of Sub Registrar, Jigani, Anekal Taluk.

Whereas M/s. Confident Projects (India) Pvt Limited and M/s.D J Projects Private Limited got the
power to Develop and Sell the said property totally measuring 2 Acres 31 guntas called “Confident
Oxygen” situated at Survey No.83/3 and Survey No.85/2 Chambenahalli Village, Sarjapur Hobli,
Anekal Taluk, Bangalore District and they are in possession and enjoyment of the same.

Whereas the “Vendor” and “Developer” have developed the said schedule A property in the name of
“Confident Oxygen” for the Commercial purpose Vide Plan Sanction No: APA /CC/149/2018-19 dated
20.03.2019 and Relinquished vide Document No. SRJ-1-09371-2022-23 and the same will be
hereinafter referred to as the “PROJECT” for the sake of brevity. The Said Project is approved by Real
Estate Regulatory Authority (RERA) on 31.05.2019 under Registration No.
PRM/KA/RERA/1251/308/PR/190531/002591 and the Project has received the OC/CC Vide No.Grama
Panchayat/Yamare/109/2022-23 Dated. 08.02.2023

Whereas the Purchaser having gone through the details of the project and after satisfying with regard
to the said project the said Purchaser has approached the “Vendor” with a proposal to buy an
Apartment/Flat, in “Confident Oxygen” and it is agreed by the Vendor to sell the same under the
terms and conditions which is mutually agreed upon by both the parties which is set-forth herein after.

Whereas, the Purchaser (after being satisfied with the Owner’s title to Schedule Property and the

scheme of development) offered to purchase Apartment/ Flat 1011, in Project Named as “Confident
Oxygen ” which is more fully described in the schedule hereunder and hereinafter referred to as the
“SCHEDULE C PROPERTY” for a sale price and consideration of Rs.48,00,000 (Rupees Forty Eight
Lakhs only) Paid by the PURCHASER to VENDOR and Both have agreed on certain terms and
conditions which is reduced to writing as set out below in this Deed of Absolute Sale and
Conveyance;

NOW THIS INDENTURE OF ABSOLUTE SALE WITNESSETH AS FOLLOWS :

1. That in pursuance of the foregoing and in consideration of the price of Rs.48,00,000 (Rupees
Forty Eight Lakhs only) herein reserved, and the Vendor hereby sells to the Purchaser by the way of
sale of the Schedule Property, which is more fully described in the schedule hereunder absolutely and
forever and to have and to hold and enjoy the same and every part thereof UNTO and the use of the
Purchaser absolutely free from all encumbrances.

2. The Purchaser and the Vendor have settled the payment of the Fair Market price, the receipt of
which sum the Vendor hereby acknowledges and confirms that there is no amount due and outstanding
from the Purchaser to the Vendor in this behalf. In case the Balance amounts are paid by Cheque and
if the Cheque is not cleared in the Vendors Accounts for what-so-ever reasons then this Sale Deed
would be Null-and-Void. The Vendor hereby grant, transfer, assign assure and convey unto and to hold
the Purchaser by way of sale of Schedule ‘B’ and ‘C’ Property to the Purchaser as absolute owner.

3. The Vendor hereby conveys, transfer, assign and grant all their right, title and interest over the
Schedule ‘C’ Property.

4. The Vendor hereby absolutely transfers the Vacant possession of the Schedule Property to the
purchaser and the purchaser hereby confirms the receipt of the entire vacant possession of the
Schedule ‘C’ Property. With this the Vendor and Purchaser confirms that All commitments either Oral,
Written or any other Mode between both the Parties is completed fully and nothing Pending and both
the Parties confirm the same.

5. The Vendor further covenant with the Purchaser that the Vendor have not done or made or
executed any deed or thing to the contrary and that they have a good and absolute estate and title to
convey the Schedule ‘C’ Property.

6. That the Vendor has paid all the rates, taxes and cess relating to the Schedule Properties hereby
conveyed, up to date, and the Purchaser are at liberty for getting Katha duly transferred in their names
and pay the future taxes, cesses etc., in respect of the Schedule ‘C’ Property to the concerned
authority. Incase of any Unforeseen future Legal Issues the Vendor would Facilitate to sort the same
on best effort basis at the Expense of the Purchaser.

7. The parties here to mutually agree that the Rules and Regulations contained in this indenture
shall be deemed to individually and jointly binding on all the present / future co-owners/ next
purchasers/Tenants or Whoever Concerned.

8. The Vendor has sold the Schedule Property to the Purchaser along with APA approval and the
Purchaser assures the Vendor that the usage will be strictly as per the Approval, in case the approval
accorded is for Residential purpose then the Purchaser assures that it will be used only for
Residential purpose and not for any other purposes. The Purchaser is well aware that the OC/CC is
issued by the Panchayat Authorities in the APA (BMRDA) Approved Plan Sanction Areas this is as per
existing Government Rules.

9. One Car Parking Unit in the Basement Level 1 or 2 has been allotted to the Purchaser. The
Allotment of the same will done by the way of Draw of Lots (Apartment Units Exclusive Parking) on the
date announced by the Vendor/Developer/Promoter.

10. Incase of Commercial Shop/Space it is agreed that Car Parking (Commercial Units Exclusive
Parking) is provided by the Promoter on the basis of Pay per usage either Hourly/Short Term/Long
Term as per the discretion of the Vendor/Developer/Promoter and it is not a part of the Sale and no
amount has been taken from the Allottee/Purchaser for the Parking Slots and the Pay per use Charges
for the same is not Fixed.

11 The Individual Shop in Ground & First Floor can display the Branding/ Name of the business Entity
only in the Specific Location Provided by the Vendor on top of the entrance of their Individual Shop and
of a Maximum size of 3ft (Height) x 1ft Less than the Store Width for the External Facing Shop and 1ft
(Height) x 1ft Less than the Store Width for the Internal Facing Shop. The Power Charges, Maintenance
and other expenses including Government Approval should be Coordinated and borne by the Purchaser.

12. For the feasibility of the project, the Vendor shall be entitled to make appropriate changes in the
Layout Plans, Driveways/Pathways, Specifications, Entrances, etc., including positioning of the gates,
transformers, generator/electrical room, water storage sump, pump house etc.

13. For any modifications/ alterations with regard to the elevation of the building, it needs to be done
with the prior written approval of the Vendor and the same should be within the frame of law in
existence.

14. The Amenities has not been sold to the Purchaser or no money has been collected for the same.
The Amenities and Recreational facilities are provided on the best effort basis of the
Vendor/Developer/Promoter.

15. The Registration date is based on the convenience of the Purchaser but the Purchaser irrevocably
agrees to pay any balance dues along with the 12 months of the maintenance fee in advance. The
Maintenance Amount due would start from the date of OC/CC and the Permanent Power Receipt date,
whichever is Later.

16. The Purchaser has paid the Vendor for the general maintenance of common area, DG, common area

lighting and general upkeep of the project at Rs.3/Sft + GST per month for a period of 12 months . (This
does not include Diesel or any other Unforeseen Expenses) along with this Sale Deed. This
maintenance amount does not include specific flat maintenance, upkeep, normal wear and tear of
specific flat. Maintenance includes corridor and common area routine maintenance, Manpower for
managing Common Amenities, Security Guards, Common Area BESCOM power charges, Swimming Pool,
STP Maintenance and Minor Civil Maintenance Only.

17. The Vendor do hereby covenants that Purchaser and all persons claiming through or under him,
shall at all times hereinafter and from time to time hold and enjoy the Schedule ‘C’ Property without
any let, hindrance or interruption from or by the Vendor or any of their predecessors in title or any
person lawfully or equitably claiming under the Vendor.

18. Confident Oxygen is Composite and Single Building with Both Commercial and Residential Units
approved by APA Vide No.APA /CC/149/2018-19 dated 20.03.2019 and Modified on 21.10.2022 (as per
Government rules) and the STP, DG, Lift, Fire Fighting, Security and such other items could be common
with the Commercial Shops/Spaces and the Apartments in the Project. The Commercial Shops/Spaces
Owners and Apartment Owners both have to keep in mind these facilities cannot be separated hence
the Expense cannot be Split and it will be chargeable on the Super Built Up Area of the Shop/ Flat. And
at the same time the Common Isle (Passage) of the Commercial Shop’s AC would have a Separate Meter
and all the Shop Owners would pay for the same on the Actual Sft basis. The Shop owners who have
subscribed to their respective Shop AC, Chimney Exhaust would have a separate Accounts and the
same will be paid/shared and Maintained (Including Diesel and Consumables for the same) by the
Subscribed shop owners on their actual Super Built Up Area.

19. As per the Vendor/Developer/Promoter/Purchaserthe choice of Association would be One Single


Association for both Commercial Shops/Spaces and Residential Apartment together for the ease of
decision making and implementation of the decision since the project is a Single Building.

20. The Vendor/Developer/Promoter has not charged any amounts towards Clubhouse or any other

Amenities and the same is Provided ‘Free of Cost’ on Best Effort Basis.

21. Confident Group/ Appropriate Branding Logos will be placed on the Building as decided by
Vendor/Developer/Promoter or the Appropriate Business entity of the Vendor/Developer/Promoter
which is integral part of the Building and the Project and the same cannot be Removed, Discarded or
Tampered with now or in future either by the Individual Owner or the Association that is formed in
future and a Separate BESCOM Meter will be installed and the Bill and Maintenance will be paid for
this branding by Vendor/Developer/Promoter Or the Appropriate Business entity.

22. The External Building repainting should be done every Five years without fail and also the Facade
cleaning should be done every year with the amount finalized by the Association and all Individual
Flat/Apartment/Shop Owner have to Mandatorily Contribute to this Fund.

23. The Confident Sarjapur Project is an Over 42 Acres integrated Township Development hence from
the Main Gate the Driveways, Roads, Parks and Other Civic Amenities has to be maintained as a
Common Entity hence all the Buildings and Layouts within the Project can use the same and needs to
share Prorata Maintenance Charges for the Maintenance and upkeep of the Road, Landscaping, Parks,
Lighting and whatsoever commonly used till the time the same is handed over to the Panchayath or
other Government Authorities. This Clause cannot be challenged in any court of Law by the
Vendor/Developer/Promoter/ Individual Unit Owners/ Associations.

24. The Vendor is finalizing purchase of adjacent / neighboring properties for the development of which
the Vendor may use the roads/Driveways/common facilities in the project and the same should not be
hindered /objected to by the purchaser, the same Road/ Driveways Usage cannot be challenged in any
Court of Law since it is a irrevocable approval of the Purchaser to the Vendor to Usage of the such
Roads/ Driveways. This is also applicable for the usage of the entire Confident Sarjapur Project of over
42 Acres also.

25. All clauses in the Agreement of Sale signed by Vendor and Purchaser are Fully Valid and to be read
along with this "Absolute Sale Deed".

26. That the entire costs of stamp duty, registration and other incidental expenses are borne by the
Purchaser.

27. The market value of the Schedule B & C Property including 1 Car Parking is Rs.48,00,000 (Rupees
Forty Eight Lakhs only)..

All that piece and parcel of Commercially converted land bearing Survey No.83/3 measuring to an extent
of 20 Guntas converted vide modified Conversion order bearing No.ALN (A)(S)SR/04/2010-11 dated
19.03.2014, Survey No.85/2 measuring to an extent of 1 Acre 5.08 Guntas converted vide modified
Conversion Order bearing No.ALN (A)(S)SR/49/2007-08 dated 19.03.2014 and Survey No.85/2 measuring
1 Acre 5.08 Guntas vide Conversion Order No.ALN (ASH) SR/290/2013-14 dated 13.06.2014 issued by
the office of Deputy Commissioner, Bangalore District, Bangalore – totally measuring 2 Acres 31 Guntas
and situated at Chambenahalli Village, Sarjapura Hobli, Anekal Taluk, Bangalore Urban District.

SCHEDULE “B”

All the piece and parcel of the undivided right, title, share and interest of 305.45 Sft/28.38 Sq mt
(UDL Share) of land in the Schedule 'A' property, which is in proportion to the Super built-up area
referred to in Schedule 'C' Property which has been allocated to the Purchaser by the Vendor in the
project ‘CONFIDENT OXYGEN’

An Apartment (Flat) with a built up area allocated to the Purchaser, comprising an area of 768
Sft/71.35 Sq mt in the Tenth Floor and earmarked as Flat No.1011 out of proportionate super
