 This contractual agreement is made on the day of December 04, 2023 between
GUANGXI SUPPLY CHAIN SERVICE GROUP CO.,LTD(hereinafter called the Buyer) and PT CIPTA KARYA
MINING and ROYAL VISION GENERAL TRADING (hereinafter called the Seller and Co Seller) .

本合同由广西供应链服务集团有限公司（以下简称买方）与 PT CIPTA KARYA MINING 和

ROYAL VISION GENERAL TRADING （以下简称卖方及联合卖方）于 2023 年 12 月 4 日签订。

In this AGREEMENT, unless the context otherwise requires, the following terms shall respectively have
the following meaning:
“ADB” means Air Dried Basis
“ARB” means As Received Basis
“ASTM” means the American Society for Testing and Materials.
“Standart GB” means China GB standard
“B/L” means Bill of Lading;
"Business Day" means a day (other than Saturday, Sunday or public holidays) on which banks are open for
business in Jakarta.
"Certificate of Analysis" means a certificate of analysis in respect of the properties of Coal, based on the
Specifications
"Certificate of Weight” means a certificate of weight, certifying the Bill of Lading weight
"Charter-party" means the agreement between the Buyer or its nominee and the company supplying the
vessel or vessels used to undertake delivery of the Coal to the port of discharge.
“Coal” means the commodity Indonesia steam coal
“Dollars”, “US Dollars”, “USD”, “US$”, “$”, “Cents” where used shall refer to the currency of the United
States of America.
“ETA” means expected time & date of arrival.
"Independent Surveyor" means CCIC Indonesia
“kcal” means Kilocalorie (s) as defined in the “International System of Units“.
“kg” means Kilogram (s) as defined in “International System of Units“.
“Laytime” means time allowed to load the cargo on to the mother vessel.
“Loading Port” means Tanjung Pemancingan Anchorage, South Kalimantan (Latitude/Longitude
-3.210361° / 116.2832°°)
“Discharging Port” means Pier No.1, Changshu Power Plant, Jiangsu, China Location:120°57 '40 "E,
31°46' 25" N
“mm” means Millimeter as defined in “International System of Units”.
"Pratique" means permission to do business at a port by a ship that has complied with all applicable local
health regulations.
NCV means Net Calorific Value
"NOR" means Notice of Readiness
“Price” shall mean the price for invoicing purposes expressed in US Dollars with any calculated price
rounded up or down to the nearest cent.
"Rejection Limits" means the limits set out in the table at Clause 3
"Shipping Schedule" means the agreed schedule for vessel arrival and loading.
"Specifications" means the specifications of the Coal as set out at Clause 3.
"Statement of Facts" means a statement prepared by the ships agent at the port of loading which shows the
date and time of arrival of the vessel and the commencement and completion of loading. It details the
quantity of cargo loaded each day, the hours worked and the hours stopped with the reasons of stoppages.
"Taxes" means taxes, duties, levies, dues, imposts and royalties and other similar charges in the Country of
Origin and if applicable in the country where the Mother Vessel is loaded.
"Ton (s)", "Tonne (s)", and "MT" means metric tonne of 1,000 Kgs as defined in "International System of
Units".

“Working day” means a day upon which business is regularly transacted and unless expressly stated, the
term “day” shall be deemed to mean “calendar day”.
“WWDSHINC” Weather Working Day Sunday and Holiday included means day of 24 consecutive
hours including Sunday and Holiday on which work in loading coal on board a vessel may be carried out
without loss of time due to the weather.

WHEREAS: 导言

1. The Seller warrants that he has the capacity, capability and full authority to sell and export coal from Indonesia.

卖方保证其具备销售及出口印尼动力煤的资格、资质及能力。
2. The Buyer warrants that he has the capacity, capability and full authority to purchase and import coal from
Indonesia.

买方保证具备采购及进口印尼动力煤的资格、资质及能力。
3. The Seller has agreed to sell to the Buyer and the Buyer has agreed to purchase from the Seller Indonesian coal
on the terms set out in this agreement and with mutual understanding that each party will perform its
obligations in accordance with the principles of trust and good faith.

卖方和买方均已同意按照本合同的条款出售和购买煤炭，并且双方一致同意将基于信任和善意的原则
履行其义务。

NOW IT IS AGREED as follows:

在此达成协议如下：

CLAUSE 1 COMMODITY 商品
Commodity Steam Coal, Net Calorific Value not less then 5600kcal/kg (ARB),Produced from a single coal mine.
Note: The coal shipment delivery needs to be received on Net Calorific 5600kcal/kg
(ARB) due to the calorific value loss during transportation.

商品名称 动力煤, 收到基低位发热量不低于 NAR5600kcal/kg (ARB)，产自单一矿山。

备注：因为运输途中有热值损失，货物交付的标准是收到基低位发热量 5600kcal/kg (ARB)。

1.2 Country of Origin Indonesia.

2.3 Both Parties shall confirm the time of shipment and the confirmation of chartering by written notice
for every shipment.

CLAUSE 3 QUALITY/SPECIFICATION 质量 / 规格
The Seller warrants that the products supplied under this Contract shall, after inspection and analysis in accordance
with the China GB standard, meet the following specifications before shipment at the port of loading. All
percentages refer to the percentage by weight mentioned.

卖方保证依照本合同所供应的产品按照中国 GB 标准进行检验分析后，在装货港装船前都已符合以下规格。
所有的百分比乃指所提及的重量百分比。

CLAUSE 4 PRICE 价格
4.1 The unit price is based on Indonesian thermal coal ICI2 NAR5600Kcal/kg Minus - $4,8 which is MV Base
Price US$91.45 per ton.
单价基于印尼动力煤 ICI2 NAR5600Kcal/kg 减去 4,8 美元，即 MV 基本价格每吨 91.45 美元。

The price indicated on the letter of credit = FOB Base Price USD ($91.45) . + Freight USD($14) = USD
$105.45
信用证上注明的价格 = FOB 基本价格美元 ($91.45) 。 + 运费美元（14 美元）= 105.45 美元

The final of the freight charges shall be based on the market fluctuation price and negotiable
between both parties. The freight price of the ship needs to be agreed by the buyer. If the buyer does
not accept the freight price proposed by the seller, the buyer recommends the shipping company to the
seller.

（最终船运费的价格双方可以根据市场变化情况进行协商决定,船舶的货运价格需要买方同意，如
果买方不接受卖方提出的货运价格，买方向卖方推荐船务公司。）

4.2 Terms of Trading: CFR Changshu

交易条款：CFR 常熟

CLAUSE 5 PRICE ADJUSTMENT/BONUS & PENALTIES 价格调整

In regards to each shipment of Steam Coal which does not meet the Specifications set forth in Clause 3, the base
price in Clause 4 shall be adjusted in accordance with the Specification as stated in Clause 5:

每批装运的动力煤，如果成分不能满足本合同第 3 项条款的规定，在第 4 条款中所阐述的基价将由在第 5 条

款中所规定的内容进行调整：
5.1 If the actual Net Calorific Value (ARB) supplied is less than NAR5400Kcal/Kg (ARB) but above or equal
to NAR5500Kcal/Kg (ARB) , then the price shall be derived as per the following formula:

Adjusted MV Price = MV Base Price+Calorific value adjustment price

= (Total settlement NCV-Contract basis net calorific value NAR5600 Kcal/Kg)×$$91.45

如果实际提供的煤炭热值小于 NAR5400Kcal/Kg(收到基)但大于或等于 NAR5500Kcal/Kg(收到基)，

5.1.1 If the actual Net Calorific Value (ARB) supplied is higher than NAR5600Kcal/Kg (ARB) , then the price
shall be derived as per the following formula:

 如果实际提供的煤炭热值大于 NAR5600Kcal/Kg(收到基)，价格将按以下公式计算：

5.1.2 If the actual Net Calorific Value (ARB) supplied is between NAR5400Kcal/Kg and
NAR5600Kcal/Kg(received basis), the price is not adjusted.

如果实际提供的煤炭热值在 NAR5400Kcal/Kg 到 NAR5600Kcal/Kg(收到基)之间，价格不作调整：

5.1.3 If NCV (ARB) falls below NAR5400Kcal/Kg (ARB), the shipment will be rejected by the Buyer.

如果低位发热量低于 NAR5400 大卡/公斤（收到基) ，买方拒收。

5.2 For every 0.1% of Total Sulphur (ADB) above 0.8% but below 1%, USD 0.5/mt will be deducted from the
total value of the invoice,fraction pro rata. The Buyer has the right to reject the cargo if Total Sulphur is
above 1%.

含硫量高于 0.8%且低于 1%的, 每超过 0.1%价格将按比列扣除美元 0.5/吨,。如果硫含量高于 1%买方

有权拒收。
5.3 For every 1% of Ash Content (ADB) above 16% but below 18%, USD 0.5/mt will be deducted from the
total value of the invoice,fraction pro rata. The Buyer has the right to reject the cargo if Ash Content is
above 18%.

灰份高于 16%且低于 18%的, 每超过 1%价格将按比列扣除美元 0.5/吨。如果灰分高于 18%买方有权拒

收。

5.4 In case of rejection, both Parties shall immediately seek in good faith to agree on a settlement for such
shipment. If the Buyer selects to accept the shipment of cargo instead of rejection, the settlement of such
Shipment, including reduction in price, shall be discussed in good faith between the Buyer and the Seller.

一旦出现了拒收, 双方应在最短的时间内友好协商对于如何处置该船货物与作出安排。如果买方选择
接受该船货物而不是拒收, 双方应友好协商如何处置该船货物, 包括降价措施等。

CLAUSE 6 INSPECTION- QUALITY & QUANTITY DETERMINATION 检验质量与数量

6.1 Both Parties shall agree to delegate CCIC Indonesia for the inspection at designated loading port and
CCIC China at the discharge port, to assess the quality and quantity of the cargo. The quality and weight
inspection result carried by CCIC at the loading port shall be the basis of the Seller’s provisional invoice,
which should be mail to Buyer for Customs Clearance. The quality and weight inspection result carried by
CCIC at the loading port shall be the basis of the Seller’s invoice, which should be presented to the bank
with other documents. The inspection costs at loading port shall be for the Seller’s account; while at
discharging port shall be the Buyer’s account. The inspection results of each shipment of coal shall be based
on the average value of Indonesian CCIC and Chinese CCIC as the final settlement basis.
买卖双方同意指定以印度尼西亚 CCIC 为装运港检验机构，以中国 CCIC 为卸货港检验机构,对质量数
量进行检验。装运港的检测报告作为卖方临时议付发票的依据，此发票应邮件给买方，让其报关时使
用。CCIC 在装货港进行的质量和重量检验结果将作为卖方发票的依据，卖方发票应与其他单据一起

 提交给银行。卖方负担装货港 CCIC 检验费用；买方负担卸货港 CCIC 检验费用。每船次的煤炭的检
验结果以印尼 CCIC 和中国 CCIC 的平均值为最终双方结算依据。
6.2 The buyer or his representative has the right to inspect, supervise and take samples during the coal
transportation process at his own expense; at the port of destination, the seller or his representative must also
grant the same rights.
买方或其代表享有自费在煤炭卖方运输过程视察监督取样的权利；在目的港，卖方或其代表亦须赋
予同等权利。
6.3 CCIC shall take an arbitration sample of the coal to be inspected and seal the sample for 30 days. If either
party requests to re-inspect the arbitration sample, it shall notify the other party in writing. The arbitration
sample shall be sent to an independent third-party inspection institution recognized by both parties for
inspection.The final test results of the arbitration samples shall be binding upon both parties, and the test
expenses shall be borne by the party with a large difference between the self-test results and the arbitration
results.
CCIC 应该对检验的货物抽取仲裁样品并封样 30 天，如果一方要求对仲裁样品重检，需要书面通知
另一方，仲裁样品应该送双方认可的第三方独立检验机构检验，仲裁样品的最终检验结果，对双方具
有约束力，检验费用由自检结果跟仲裁结果相差较大的一方承担。
6.4 According to the contract price and the Certificates of Analysis and Weight stated in the Designated
Inspection Agency, the final price will be calculated and pay to the Seller. If the shipped coal cargo value is
more than the LC value, the buyer shall pay for the excess cargo via T/T; If the shipped cargo value is less
than the LC value, the seller shall negotiate the payment directly.
按照合同价格与指定的检验机构所检验的质量与数量检测报告来计算最终应支付的金额。 如卖方交付
的货物超过信用证的金额, 买方应通过电汇至卖方账户补偿卖方；如卖方交付的货物少于信用证的金
额，按照实际数量、质量向议付行议付货款。

CLAUSE 7 PAYMENT TERMS 付款方式

7.1 Payment Terms: LC USANCE MT 752

付款方式：信用证 USANCE MT 752

7.1.1 After the signing of this Contract, within 5 banking days the buyer shall issue an irrevocable and
non-transferable L/C Usance MT 752 to the CoSeller through an international first class bank , which shall
be valid until 60 days after the issuance of the L/C.。
本合同签订后，买方在 5 个银行工作日内通过国际一流银行向共同卖方开立不可撤销且不
可转让的远期信用证 MT 752，有效期至开出信用证后 60 天。 /C..

7.1.2 The form of the L/C must be submitted to and accepted by the Seller before issuing.
信用证格式需提交卖方确认。
7.1.3 All bank charges of the L/C issuing bank are for the account of the Buyer. All bank charges outside the L/C
issuing bank including reimbursement charges are for the account of the Seller.
在开证行以内的所有银行费用由买方负责，在开证行以外的所有银行费用包括偿付费用由卖方负责。

7.2 Bank Performance Bond (PB) 保函

7.2.1 After the buyer issue LC, the seller issues a 2% bank performance guarantee in favor of the buyer
within 5 working days.
买方开出信用证后，卖方在 5 个工作日内向买方开具 2%的银行履约保函。
7.2.2 The form of the PB must be submitted to and accepted by the Buyer before issuing.
保函格式需提前提交于买方并经买方确认。
7.2.3 All bank charges relating to the PB are for the account of the Seller.

7.2.4 Notwithstanding the issuance of the PB, the Seller shall be liable for the contractual obligations stated
herein.
尽管出具了保函，卖方仍需履行合同项下的责任。

CLAUSE 8 TERMS OF PAYMENT 付款条件

8.1 Provisional Payment 首次议付

Buyer must accept 100% of the commercial invoice value against the following documents at the time of
loading the vessel.
买方必须在装船时根据以下文件接受 100% 的商业发票价值。买方在装运日期21天内凭下列单据，
并按商业发票之100%货值即期承兑。

⑴ 4 originals of Beneficiary’s duly signed commercial invoice basis on Certificate of Quality and
Weight at loading port and price adjustments,indicating 100% CFR CARGO value,L/C NUMBER, B/L
NUMBER, CONTRACT NUMBER, VESSEL NAME AND B/L DATE.
一式四份信用证受益方商业发票，以装运港的质量和重量证明以及价格调整为基础，注明
100% CFR 货物价值、信用证号码、提单号码、合同号、船名和提单日期。
⑵ Full set of “clean on board”Ocean bills of lading made out to order, blank endorsed, notifying “to
be notified”, marked “freight prepaid” or “freight payable as per charter party”.
全套已装船之“清洁海运提单”，按指示注明，空白背书，列明被通知方，标注“海运费已
付”，或“海运费按租船合同缴付”。
⑶ The buyer's representative shall sample and send the samples to CCIC Indonesia for inspection,
and the buyer's representative shall countersign the certificate of quality issued by CCIC Indonesia,
one original and four copies.
由买方代表现场抽样送至印尼CCIC检验，并由买方代表在CCIC出具的质量证书上会签，一
份原件及四份副本。
⑷ The buyer's representative shall sample and send the samples to CCIC Indonesia for inspection,
and the buyer's representative shall countersign the certificate of weight issued by CCIC Indonesia,
one original and four copies.
由买方代表现场抽样送至印尼CCIC检验，并由买方代表在CCIC出具的重量证书上会签，一
份原件及四份副本。
⑸ One (1) original and three (3) copies of Certificate of Origin issued by Indonesian Chamber of
Commerce or any other competent Government authority.
由印尼商务部或等同机构出具的原产地证书1份正本和3份副本。
⑹ Shipping Advice should mail to applicant within five (5) days after B/L Date advising contract
number, L/C number, name of commodity, weight and specifications of the goods loaded,
approximate cargo value, B/L number and date, name of the carrying vessel, ETS/ETA date.
受益方于提单日后5天内向信用证开证方发邮件关于装船通知之副本，列明：合同号，信用
证号，货品名称，以及装船的货品重量，大约货值，提单编号及日期，受载船舶名称及起
航/到达日期。
⑺ Beneficiary’s certificate in one original certifying that on set of Non-negotiable shipment
documents had been sent by courier within five（5）working days after B/L days, Courier’s
receipt must be attached for reference.
受益人证明：证明受益人于提单日后 5 个工作天内，通过快递将上述全套文件送交买方，并
同时附带快递公司收据。

CLAUSE 9 DELIVERY 交货
9.1 The delivery quantity shall arrive at the port of Discharge before January 07, 2024 (inclusive) after receipt
and confirmation of the above L/C.
交货数量应在收到并确认上述信用证后的 2024 年 101 月 07 号前到达卸货港。
9.2 72 hours after leaving the loading port, the Seller’s Shipping Representative must email or fax to the Buyer’s
office the vessel’s sailing date, the name of the steamship company, tonnage, the age of the vessel, its flag,
the Bill of Lading number, contract number, net quantity loaded, name of commodity, and estimated time of
arrival (ETA).
货船离开装运港后的 72 小时内，卖方的船运代理必须以电邮/传真形式通知买方货船启航日期，指定
货船名称、吨位、船龄、船旗、海运提单号、合约号、净装运数量、货物名称及预期到达卸货港日期(ETA)。
9.3 72 hours before the ship arrives at the discharge port, the Vessel Master must inform the Buyer and the
discharge port of its Shipping Agent, boat name, tonnage, flag, the size of the boat, etc... This information
must be sent again 48, 24, and 12 hours before arrival.
在船到达卸货港 72 小时前，船长应通知买方和卸货港的船务代理，船名、吨位、悬挂旗帜、吃水等；
以及分别在船到港 48、24 和 12 小时前通报准确的到达时间。

9.4 Discharging Terms 装卸条件

9.4.1 The Changshu Power Plant Terminal in Jiangsu Province, People's Republic of China, was designated as the
unloading port for thermal coal under this contract.. Vessel with the dimension specified below can safely
enter, stay safely afloat and depart, tide and weather permitting。
指定中华人民共和国江苏省常熟电厂码头成为在这一合同下的动力煤的卸货港。带有尺寸证明的船只
在潮汐和天气条件许可下才可安全地进入，逗留和离港。
9.4.2 Discharging rate is 12,000 MT per weather working days, which means 24 consecutive hours, including
Sunday & Holiday. Basis vessel has at least 4 hatches and 4 holds.
卸载率 12000MT/每个工作日，连续 24 小时，包括周日及节假日，基础船舶至少有 4 个舱口和 4 个船
舱。
9.4.3 At the discharging port, the vessel shall be consigned to a port agent appointed by the Buyer.
在卸货港，船舶应托运给买方指定的港口代理
9.4.5 If the cargo ship is fully ready to discharge, the mother ship upon arrival at the port must give Written Notice
of Readiness (NOR) during normal business hours (between 7 a.m. and 4p.m.)
假如货船全面准备好卸货，那么到达指定的停泊港后的母船，必须在正常的办公时间（上午 7 点到下
午 4 点之间）发出卸货准备的书面通知（NOR）。

9.4.6 Vessel should arrive within designated lay days and shall be discharged in principal in accordance with the
order of arrival at Discharging Port.
船只应该在指定的装卸时间到达，并根据卸货港的到达指令及规则卸货。
9.4.7 The unloading time shall be calculated from 24 hours after the N.O.R is issued, unless the unloading has
already started, then the unloading time shall be calculated according to the actual operating time.

9.4.8 Time spent for customs/health/port authority formalities, pilot age from anchorage area to berth, mooring, or
crossing river mouth, shall not to count as lay time.

CLAUSE 10 DEMURRAGES 滞期费
10.1 Any costs and expenses incurred due to any delay at the Discharging Port, the demurrage will be under the
Buyer’s responsibility. For the avoidance of doubt, the Mother Vessel shall be deemed to have arrived at the
Discharging Port once it physically arrives (not berth) at the Discharging Port authority area.
于卸货港的耽搁而造成的任何费用及开支，滞期费是买方的责任。为避免分歧，一旦船体到达卸货
(不是指泊位）所在的官方海域，即应被视为已经抵达卸货港。
10.2 The Buyer shall pay to the Seller demurrage (if any) incurred at the port of discharge in accordance with the
terms and conditions of the charter Party. The Seller shall undertake to pay to the Buyer any dispatch (if any)
incurred at the port of discharge.
买方应按照租船契约的条款和条件向卖方支付在卸货港产生的滞期费（如果有的话）。卖方应保证向
买方支付在卸货港产生的任何速遣费（如果有的话）。
10.3 Accounts for Demurrage and Dispatch shall be kept separate from all other accounts and shall be settled
within 10 (ten) working days after completion of loading of relevant vessel. If the vessel incurs demurrency
at the port of discharge, the Buyer shall pay demurrency fee to the Seller according to the demurrency time.
For demurrage of less than 1 day (24 hours), the demurrage rate is US $16,400 / day on a pro rata basis.
If dispatch is incurred at the port of discharge, the Seller shall pay dispatch fee to the Buyer based on the
demurrage period. When demurrage is less than 1 day (24 hours), the dispatch rate is US $0.82 million/day
on a pro-rata basis.
滞期费和速遣费计算应独立于其他所有费用的计算，并且应在船只装货完成以后, 10 个工作日内支
付。若船舶在卸货港产生滞期，则买方应根据滞期时间向卖方支付滞期费，不足一天（24 小时），
按比例计算，滞期费率为 1.64 万美元 /天。
若船舶在卸货港产生速遣费，则卖方应根据滞期时间向买方支付速遣费，不足一天（24 小时），按
比例计算，速遣费率为 0.82 万美元/天。

CLAUSE 11 TRANSFER OF TITLE AND RISK 货权及风险的转移

11.1 Title of the goods shall pass from the Seller to the Buyer when the seller completes the shipment at the port
of loading within the validity period and the issuing bank pays the Seller by confirming the documents
mentioned in Clause 8 presented by the negotiating bank.
当卖方在有效期内完成了装运港的装运，开证行通过确认议付行提交的条款 8 中所述的单证并付款给
卖方的时候，货物的所有权由卖方转至买方。
11.2 Risk in the Coal shall pass from the Seller to the Buyer in accordance with the CFR provisions of
INCOTERMS 2000 (as amended from time to time).
根据 INCOTERMS 2000（不时修订）的 CFR 条款，煤炭风险应从卖方转移至买方。

11.3 For coal that is rejected under the Contract, title and risk shall revert to the Seller immediately upon
rejection by the Buyer.
如买方根据合同规定拒收货物，则在买方告知卖方拒收通知的同时，货物的所有权和风险损失将立
即转移给卖方。

CLAUSE 12 INSURANCE 保险
12.1 Ocean marine cargo transportation insurance is to be covered by the Buyer.
由买方负责购买国际货物运输保险。

CLAUSE 13 TAXES, OBLIGATIONS AND IMPORT 税费、义务和进口
13.1 The Seller shall bear at their own risk and expense the cost of obtaining the export license or other official
permission required for the execution of this Contract.
卖方必须自担风险和承担获取执行本合同所要求的出口许可证或其它官方许可费用。
13.2 All taxes and charges arising from the execution of the contract at the port of loading shall be to the Seller’s
account.
卖方负责执行本合同装货港地产生的所有税负和费用。

CLAUSE 14 FORCE MAJEURE 不可抗力

14.1 “Force Majeure” shall mean any event or circumstances beyond the reasonable control of the Party whose is
affected and cannot perform its obligation under this Contract. This circumstance includes but is not limited
to decree or restraint of government at the Buyer or the Seller’s country, natural disasters, strikes, war, riot,
civil commotion, fire, explosion, sabotage, perils of the sea, or embargo. The event of Force Majeure shall
be legalized by local authority.
不可抗力是指任何超过合同项下直接受影响的一方能力控制的事件，包括但不限于买卖双方政府的
政令或者是限制，自然灾害，罢工，战争，暴乱，骚动，火灾，爆炸，蓄意破坏，海啸或者贸易禁
运。不可抗力事件应由地方当局认可。
14.2 For the duration of a Force Majeure, the Seller and/or Buyer shall be released from their respective
obligation to deliver or accept delivery of Coal hereunder without liability to the other. The Seller and Buyer
shall however co-operate to minimize the adverse effect of such Force Majeure to the extent possible.
因不可抗力，卖方及/或买方应免除其各自关于交付或接受本协议下的蒸汽煤货物的义务，双方不承
担责任。买卖双方要进行最大程度的合作使由于发生不可抗力而导致的不利影响减少到最低。
14.3 In the event of a Force Majeure, the Party directly affected shall promptly notify the other Party, and shall
within ten (10) days thereafter advise in writing the full particulars of the relevant event and supporting
evidence as well as local authority certification.
不可抗力直接受影响的一方应该以传真或者电报的形式在 10 天之内将具体详情通知另一方，提供相
关证据以及地方当局的证明。
14.4 Upon the removal or resolution of a Force Majeure, the affected Party shall promptly notify the other Party.
The Parties’ obligations to perform the Contract shall resume in force as soon as the Force Majeure
condition ceases.
一旦不可抗力消除或者得到解决，受影响的一方应该迅速地通知另一方，合同双方优义务在不可抗
力消除后尽快继续履行合同。
14.5 In the event that Seller/Buyer cannot agree within one month of the cessation of a force majeure having
occurred, upon rescheduling of delivery of quantity of Coal affected by such case of Force Majeure, either
Party shall have the right to cancel such quantity of Coal without liability to the other.
如果卖方/买方在发生了不可抗力停止的一个月内未能达成共识，因不可抗力的影响，货物数量交付
要重新安排，任何一方均有权取消货物数量而无需对另一方负责。

14.6 Any waiver/extension of time in respect of the delivery of any instalment or part of the goods due to Force
Majeure shall not be deemed to be a waiver/extension of time in respect of the remaining deliveries.
由于不可抗力导致的对任何部分货物的放弃/延期、分批发货将不视为对所余货物的真正意义的放弃
/延期。

CLAUSE 15 FAILURE TO PERFORM THE CONTRACT 未履约

15.1 Breach 违约
Any failure of either party to perform its obligations under this contract, except for the events of force
majeure referred to in Article 14, shall be deemed to be a breach. The other party has the right to terminate

 the Contract or suspend the performance of the contract until the party in breach corrects the breach. If such
breach occurs, the injured party may directly Sue for compensation.
除因第十四条款所述的不可抗力事件外, 如果任何一方未能履行合同项下的义务，即视为违约。另一
方有权终止合同或暂停执行合同，直至违约方改正了违约行为。如发生上述违约行为，受损方可以直
接起诉，要求赔偿。
15.2 If the seller breaches or fails to perform any of its obligations under the contract, The buyer has the right to
forfeit the amount of the deposit.
如果卖方违背或未履行合同中规定的任何义务，买方有权没收保函中的金额。

CLAUSE 16 CLAIMS 索赔
16.1 Any claims that either party may have, due to an occurrence, have to be submitted to the other party within a
period of 15 working days from the date of that occurrence.
任何一方向另一方提赔,必须自发生日起 15 工作日之内提出.
16.2 If within thirty (30) calendar days from date of loading of the vessel, the Buyer fails to inform the Seller of
non-compliance, the commodity will be deemed to have been accepted by the Buyer, and the Seller will no
longer accept any claims.
装运港检测报告出具后 30 天内,买方没有通知卖方要求索赔,那视为买方接受了此商品,卖方将不再
接受提赔要求。
16.3 All claims will be executed in writing and both parties agree to acknowledge such claims by written
acceptance thereof.
双方认同所有索赔的要求必须以书面形式提出。

CLAUSE 17 ARBITRATION 仲裁
17.1 Any dispute arising from or in connection with this contract shall be submitted to Singapore
International Arbitration Centre (SIAC),Singpore International Arbitration Center for arbitration
which shall be conducted in accordance with the (SIAC’s arbitration rules in effect at the time of
applying for arbitration. The arbitral award is final and binding upon both parties.
凡因本合同引起的或与本合同有关的任何争议，均应提交新加坡国际仲裁中心，按照申请仲裁
时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
CLAUSE 18 GENERAL TERMS 总则
18.1 Applicable Law 适用的法律
This contract shall be subject to Laws of Singapore. English is the only lawful language in the Contract.
本合同适用的法律为新加坡法律，英文为唯一法定语言。
18.2 This agreement contains the entire understanding between the parties with respect to the transactions
contemplated hereby and can only be amended by a written agreement. Any prior agreement, written or
verbal is deemed merged herein and shall be superseded by this Agreement.
双方对达成的本合同内容完全理解，凡合同修改必须以书面形式，合同签订前所有的书面及口头往来
的信函等均被本合同取代。
18.3 Grammatical mistakes, typing errors, if any, shall not be regarded as contradictions.
本合同中的语法错误、拼写错误，如果有的话，将不被视为矛盾所在。
18.4 All signed appendices, annexes and supplements shall constitute an integral part of the present Contract.
所有签署的附件,补充等均作为本合同不可分割的一部分。
18.5 The contents of any notice or message sent by either party to the other party shall be in writing and
delivered to the other party by letter, telegram or post. The English version of this Contract shall be the final
legal version.

18.6 Neither party is entitled to transfer part or the entirety of his rights and/or obligations under this Contract to
a third part without the other party’s approval in writing.
任何一方未经另外一方书面同意，无权将本合同的部分或全部义务转移给第三方。
18.7 Conditions that have not been specified in the present Contract shall be governed by INCOTERMS 2000
with latest amendments.
本合同未涉及的条款/条件应按照 2000 国际贸易术语通则的最新修改案规定执行。
18.8 EDT (Electronic document transmission) shall be deemed to be valid and enforceable in respect of the
provisions of this Contract. Either Party shall be in a position request a hard copy of any previous electronic
transmitted document.
电子版文件应视为有效和有约束力,任何一方有权向对方索取任何电子版文件的正本。
18.9 Both Parties agree that the signed and sealed fax or EDT copies of the Contract are fully binding and
enforceable until the hard copy of the Contract is exchanged.
双方同意收到正本合同前，所签署的电子版的合同具有完全的效力和约束力。

confidential information.From the effective date of the contract until 2 years after the completion of the
entire contract,neither party to the contract shall disclose confidential information to any third party,except
when required by the government,relevant authorities,or as stipulated by law.In the event of any losses
incurred by the non-disclosing party due to a breach of confidentiality by the disclosing party,the disclosing
party shall be liable for compensation.

行完毕之日后 2 年内，除政府及相关部门要求披露或法律另有规定外，合同任何一方均不得向任何第
三方透露保密信息。如因任何一方泄密导致守约方损失的，泄密方应当承担赔偿责任。

20.2 This Contract is compiled in 3 (two) originals, with every Party retaining 1 (one) original. Until the exchange
of originals, all the 3 Parties agree that the signed or stamped copies of the Contract will be in full force and
effect.
本合同共计 3 份正本,买卖 3 方签字后各执 1 份正本合同,三方同意在收到原件前，签署的或盖章的复
