 Terms & Conditions
Definitions:
HAILSTONE: The HAILSTONE legal entity selling the Products. Purchaser: The legal entity purchasing the Products. Products: HAILSTONE crushing and screening equipment,
spare parts, wear parts and related technical documentation as referred to in Clause 2 below. Contract: means only such documents as are expressly made part of this
contract by HAILSTONE and the Purchaser. Such documents may include HAILSTONE's quotation, technical specifications, purchase order, purchase order acknowledgment,
letter of award and other attachments, but they do not include any other terms, conditions or documents, whether printed on a purchase order form or otherwise. All
purchase orders are subject to HAILSTONE's written acceptance. All Contract changes must be agreed to in writing by both parties. HAILSTONE's quotations shall be binding
upon HAILSTONE only if and to the extent that (i) HAILSTONE receives a purchase order based on HAILSTONE's quotation and (ii) HAILSTONE acknowledges such purchase
order in writing.
1 HAILSTONEAGREES TO SELL THE PRODUCTS AT THE AGREED PRICES CONDITIONED UPON PURCHASER'S ACCEPTANCE OF THESE TERMS AND CONDITIONS. THESE
HAILSTONE AGGREGATES SALES TERMS GOVERN ALL SALES INCLUDING ORDERS PLACED ELECTRONICALLY. IF A SEPARATE AGREEMENT IS MUTUALLY AGREED AND
EXECUTED, SUCH AGREEMENT SHALL PREVAIL OVER THESE HAILSTONE AGGREGATES SALES TERMS. ANY TERMS AND CONDITIONS PROPOSED BY THE PURCHASER SHALL
BE NULL AND VOID.
2 SCOPE. The scope of the Products sold by HAILSTONE is
exclusively described in HAILSTONE's specification of products attached or referred to in this sale and purchase of the Products.Unless otherwise agreed, in writing, the
scope does not include any services of HAILSTONE including,but not limited to, installation of the Products.
3 TERMS OF PAYMENT.
a) Advance amount shall be 30% of order amount (exclusive of all duties and taxes) along with the purchase order, or DO from hailstone approved banks along with
PO.Balance amount shall be paid in complete to initiate the delivery within 30days. Any delay in payment will extend the delivery time subsequently.
4 DELIVERY.Should the releasing of delivery order or receipt
of the advance payment or customer fulfilling their obligations, be delayed, the Target Erection and Commissioning Date will be automatically postponed accordingly.
HAILSTONE will inform the Purchaser about a new, revised Target Erection and Commissioning Date. If the actual Erection and Commissioning has not, for reasons not
attributable to HAILSTONE, occurred within one months from the date of the last relevant delivery of the goods under this order, the date at which such one month period
lapses, shall be called the "Deemed Delivery Completion Date" and the delivery of the Complete Plant shall be deemed to have been completed as of such "Deemed Delivery
Completion Date". Provided, however, that HAILSTONE obligation to erect and commission the Plant shall subsist.

5 EFFECTIVE DATE OF ORDER:

Effective Date of the order shall be the date of receipt letter of contract award to HAILSTONE's and subject to the buyer releasing the advance payment, receipt of Delivery
Order from reputed financer and all commercial clearances. In case of delay in making the advance payment and / or delay in delivery order / or customer's failure to meet
their obligations, all HAILSTONE obligations under theorder shall be extended by a time period equal to such delay.

6 TAXES & DUTIES

Buyer shall provide, in time, all other applicable certificates, declarations of forms under the tax laws, to avail of concessional rate of Sales Tax. If these are not provided,
sales tax shall be charged at the rates applicable and payments shall be released immediately against all such claims of additional/differential tax.
HAILSTONE shall be entitled to collect tax at source ("TCS") from the Buyer as per the applicable rate in accordance with Section 206C(1H) of the Income Tax Act and the
applicable rules of India on the sale value including freight and packing charges and applicable GST. Certificate regarding collection of such TCS shall be issued by
HAILSTONE to the Buyer."The prices quoted are exclusive of works contract tax, if applicable, under this contract /order. If works contract tax is levied, the same shall be
reimbursed to HAILSTONE at actual against documentary evidence. Similarly if there are any other levy or taxes such as State Entry Tax, Octroi, VAT, etc. applicable/imposed
by State or Central Government during the contract execution period and/or if there is any upward revision in the rate of taxes, duties etc., the same shall be reimbursed to
HAILSTONE at actual.

7 MECHANICAL & ELECTRICAL ERECTION

Mechanical & Electrical erection / installation work has been considered for 30 days for. If for reasons not attributed to HAILSTONE, like non-availability of civil foundation/
power/crane/other facilities, the erection work extends, then the same will be on chargeable basis @ Rs.7500 per day of delay.

8 Price Escalation
If execution of plant is delayed due to reasons attributable to customer and prices of input material went up more than 5% then customer should bear the escalated cost.
Cost escalation would be worked on prices of input material on the date of placing order and on the date of supplying material to customer

9 Warranty
The Equipment shall be under warranty for a period of 12 months or 2000 hours, from the date of commissioning or 18 months from the date of shipment/despatch,
whichever is earlier, for any manufacturing defect or workmanship resulting in non-performance of the equipment. HAILSTONE standard Warranty terms will apply
This Warranty is subject to the condition that the Crushers and all other equipment are operated and maintained as per guidelines specified in the Instruction Manuals and
recommendations and usage of genuine Wear & Spare Parts supplied by HAILSTONE.

10 General Lien
Supplier shall have a lien on the equipment supplied by them till all payments due to them are fully paid. The equipment shall not be put into commercial operation or
beneficial use without supplier's consent / until supplier withdraw their lien in writing.
11 Limitation of liability
HAILSTONE shall under no circumstances be liable for loss of production, loss of profit and other indirect and consequential losses.
12 Amendment to order
This order may be amended, by mutual consent, in writing specifically and which shall be duly signed by authorized representatives of HAILSTONE and the buyer. Any delay
in fulfillment of the purchaser's obligations as set out, including effecting timely payments, shall represent an amendment to the contractual completion schedule by a
corresponding period.
13 Force Majeure
If at any time, during execution of the Order, the performance in whole or part of buyer and/or HAILSTONE obligation(s) is/are prevented, affected, delayed by reasons of
one or more of the force majeure events, such as acts of God, war, civil commotion, sabotage, embargoes, internal unrest, floods, explosion, quarantine restrictions, port
congestion,seizure or sinking of ships, strikes, lockouts, epidemics, earth quake, fire, voltage fluctuation, power cuts and interruptions exceeding 10 days, changes in
Governmental rules and regulations affecting works, any other conditions beyond HAILSTONE's control, when occurring at HAILSTONE's works, Sub-Contractor's works and/
or at project site, the agreed time of completion of the obligations shall get extended. Neither party shall be deemed to be in default of its obligations whilst performance
thereof is prevented by Force Majeure,and thus the time limits for the performance of such obligation shall accordingly be extended by a period equal to that during which
the Force Majeure prevails.

14 Dispute resolution & arbitration

a Dispute Resolution: Disputes or difference whatsoever arising between the parties out of or relating to the meaning, and/or operation of this order and/or breach of order
thereof shall be settled in the following manner.
b Negotiation between Executives: The parties hereto shall attempt in good faith to resolve disputes or claims arising out of or relating to the order promptly by
negotiations between executives who have the authority to settle the controversy. Within 10 days after delivery of said notice, such executives of the parties shall meet at a
mutually acceptable time and place thereafter as often as they reasonably deem necessary to exchange relevant information and to attempt to resolve within 30 days of the
original notice,or if the parties fail to meet within 30 days either party may initiate Arbitration proceedings as provided hereinafter.
All negotiations pursuant to this clause are to be confidential and shall be treated as negotiations for the compromise or settlement of a dispute for purposes of applicable
Rules of Evidence and shall not in any way be construed as acceptance/rejection for the Arbitration proceedings. In the event of such dispute is not settled either party shall
give the notice in writing or the disputes shall be settled through a process of Arbitration.

15 Arbitration
If the parties fail to settle the question, dispute or difference through negotiations, the same shall be referred to Arbitration as per the provisions of the Indian Arbitration
Act 1996 and the rules made there under and any statutory modifications or re-enactments thereof that may be made from time to time and actually in force at the time of
reference. The cost of Arbitration shall be borne equally by the parties. The venue of the Arbitration shall be Kerala.

 16 Specifications
Specifications, dimensions, designs, descriptions, etc. mentioned in this proposal are not binding in minute details and may be subject to minor alterations without affecting
the specified performance, during detailed engineering. Further, please note that the layout, conveyor and structural estimates have been prepared considering a Flat
ground. Any increase due to change in layout depending upon the actual contour of the ground shall be to your account on proportionate basis.
17 Jurisdiction
The courts of Kerala shall have exclusive jurisdiction in the matters arising under this order.
18 General Conditions
Product features and specifications are subject to change without prior notice or obligation. Due to continuous product development, we reserve the right to change the
specifications without notice. Photographs and drawings are provided for illustrative purpose only and may vary from the standard product. Hailstone's liability shall be
limited to the equipment.
19 PURCHASER'S PERMITS, APPROVALS, DATA.The Purchaser
shall provide and pay for all permits and licenses required for the completion of installation and operation of the Products. The Purchaser shall provide and pay for all
necessary recovery, treatment, registration and reporting measures of electronic, electrical and other waste and hazardous substances. Timely performance by HAILSTONE
is contingent upon Purchaser supplying to HAILSTONE, when needed, all required technical information and data, including drawing approval, as well as all required
commercial documentation.
20 COVID-19 The parties are aware that the Coronavirus
COVID-19 ("Outbreak") was declared a pandemic by the World Health Organization on March 11th, 2020. This Outbreak may or may not impact the normal execution and
performance of this Contract. Should there be an impact to performance of this Contract, the parties agree: (a) the affected party will notify the other in writing, outlining
the effect of the Outbreak on its performance under this Contract, (b) HAILSTONE shall have no liability for damages to the Purchaser, including but not limited to liquidated
damages,penalties, fines or fees, whether arising out of or in connection with the Outbreak; With over 24 service locations across India our service crew is fully trained and
is equipped to carry out erection and commissioning of the machine, routine and preventive maintenance as well as training of operating and maintenance personnel.
Besides this extensive service support our engineers interact with the customer on a periodic basis to ensure smooth operation right from the start. An overview is as
follows.
Helping in preparation of the day to day checklist for the equipment of the plant, weekly and annual inspection points.
. Training of Customer's field staff for day to day Operation & Maintenance.
. Imparting knowledge to Customer's field staff in respect of Process Control and Automation. . Imparting knowledge to Customer's field staff to change equipment
settings to encounter variations in feed and if different product gradations are required.
. Lubrication requirement of the equipment and drawing up Lubrication schedule.
. Operational improvements for enhancing efficiency of the plant.
. Supervision of wear parts changing.
. Inspection of wear parts and other equipment components to help the customer for planning, procuring, stocking and timely changing of the same.
.Assisting in routine maintenance of the equipment. .Assisting to overcome any normal breakdowns in the equipment and in case of any major breakdowns,
assisting in preliminary investigations, coordinating the reports for analyzing the cause and remedies. Foreign expert service will be taken if required.
. Necessary log requirements for the equipment and the plant can be formulated for wear parts life calculation, production etc.
. In order to ensure that the customer derives the required performance from our products, we have also been advising the customer on the correct application and
ways and means to exploit the unique features of our machines.

Deputation of service engineer:HAILSTONE shall depute one

service engineer for 7 days at customer site after successful commissioning of the Plant to provide on line support till all operating systems have been set according to
HAILSTONE standards and operator skills have developed to a satisfactory level.

Service Packages offered by HAILSTONE:HAILSTONE offers various type of service packages to its customers. Some of these are following:-
. Level 1:Provides Parts & Maintenance support for HAILSTONE Equipment and plants. Can be a part of an AMC or on Call basis.
. Level 2:Wear is an expensive cost in any crushing operation. This program consists, inspection of Wear areas in the plant and recommendations for improvement.
. Level 3:Annual Maintenance Contract where plant is visited by service engineers at agreed schedules.

Training:We conduct the training for operators and maintenance staff during the commissioning of plant. HAILSTONE will initially provide a comprehensive training to your
Plant Operators on all the operational and maintenance aspects of the Plant free of cost. During the entire Project duration, if further training is required or your
operational staff needs refresher sessions, same shall be organized as per agreed terms.

22 PERFORMANCE VERIFICATION:
a Time for Performance Verification Test The performance of the Plant shall be verified in a test to be carried out immediately after the machines have been erected, the
plant tuned for operation under no-load and load conditions and HAILSTONE's representative has given notice that the machine is ready for performance test, prior to the
commercial operation of plant.
The Performance Verification Test shall be verified in 2 consecutive days of tests. In case the same is not possible, these days shall be spread over a maximum period not
exceeding 5 days. This test shall be carried out within the test period terminating 2 months from the date of commissioning.
If, for reasons beyond the control of the HAILSTONE, the test has not taken place within the test period, the plant shall be considered to be accepted by the Buyer.
b Performance Testing
The test shall be carried out by the Buyer in the presence of and under the leadership of a representative assigned by HAILSTONE. The number of tests to be conducted on
each of the test dates, shall be mutually agreed upon, prior to commencement of the Test Period, based on facilities for tests, as locally available at site. The computed
result of the test shall be an average of the results as obtained for capacity and gradation during the test period. The Buyer shall provide operating personnel, material, fuel,
utilities, consumable and all miscellaneous materials and services required for performance testing. After each test, the test result shall be documented in a test report
issued by HAILSTONE and signed by both parties. The Test report shall clearly state the conditions under which the test was conducted, achieved performance of the Plant
and whether or not the performance as per Article 2 was reached

c Capacity & Gradaon Determinaon Capacity is measured by simultaneously stopping the discharge conveyor for the final products at the agreed sizes condioned upon
purchasers' acceptance, when the plant is operang in full capacity and has reached a situaon of steady flow. Samples are taken on this conveyor. Capacity is determined as a
funcon of the belt speed and the material weight on the conveyor area i.e., the belt is stopped and the weight of the material on a one meter length of conveyor is
established. This weight mulplied by the belt speed, will give the actual capacity.
The formula is:
Capacity = Weight of Material x Belt Speed x (3600 /1000)
where: -
Capacity will be in MTPH
Weight of Material in kg
Belt Speed in m/s.
The sum of the product capacies are to be compared with the total capacity indicated above.
d Adjustment of the machine
Should the plant during the test not meet the performance given above, and the reason for the shorall is proven to be caused by the plant delivered by HAILSTONE.
HAILSTONE will undertake adjustments/r epair/replacement within a reasonable me, as mutually agreed with you, and will make new tests
