It gives us pleasure to inform you that Putzmeister Concrete Machines Private Limited, a 100% subsidiary of Putzmeister of Germany, located
in Goa, is manufacturing whole range of products backed with our latest technology and after sales services. We have direct presence in
various cities of India to cater to after sales requirement of our various customers.

Delivery Terms
 
Price to be regarded: Ex-works Goa, unless agreed otherwise.

Delivery Time from today’s point of view: 3- 4 weeks after receipt of technically & commercially clear order along with requisite advance.

Taxes, Duties & Other Govt. levies: Goods and Service Tax, as applicable, shall be charged extra at the rate, prevailing at the time of
dispatch. Current rate of GST is 18%. Any additional taxes, duties or government levy, if applicable, shall be borne by the Purchaser. Further,
the Purchaser shall be obliged to state and inform its GST Registration Number prior to invoicing.

Freight & Transit Insurance: Freight and Transit Insurance from Goa to the purchaser’s delivery point shall be charged extra, Unless agreed
otherwise. Unloading of the equipment from the truck / trailer is in purchaser’s scope.

Payment: 40% advance and balance against Proforma Invoice prior to dispatch.

Warranty: PCM undertakes at its option and reasonable discretion to rectify or replace free of charge any such parts as may be materially
impaired or rendered unserviceable for faulty design, inferior material or poor workmanship within 12 months from Date of First Use or Date of
Commissioning or 15 months from the date of delivery or 1500 operation hours, whichever is earlier provided that the equipment is operated in
accordance with the Operation and Maintenance Instructions. Customer shall notify in writing about such a defect immediately upon discovery.

Any parts removed for replacement shall become the property of PCM.
Following parts are not covered in warranty:- Rubber parts including End Hose, wear parts, parts coming in contact with concrete, electronic
components if any and consumables. No guarantee shall be assumed against defects resulting from the following:- Improper or inexpert use,
faulty erection or start-up by customer or third person, natural wear and tear, improper or negligent handling, excessive loading, faulty civil
engineering work, extreme atmospheric conditions, chemical, electro-chemical, electrical and other natural influences unless these are due to a
fault which PCM have assumed responsibility in writing.

Validity: Mentioned prices to be regarded valid till 30 days from offer

GENERAL TERMS & CONDITIONS

Definition: ‘PCM’ refers to Putzmeister Concrete Machines Pvt. Ltd. and ‘customer’ refers to Purchaser or the buyer to whom the offer has
been made or to whom the materials will be shipped to.

Scope of Supply: All components, parts & accessories to constitute the product as per technical specifications, detailed in PCM’s offer and
prices indicated, unless otherwise accepted by PCM in writing.

Compliance of offer: PCM have complied with the customer enquiry where feasible and economically viable. PCM’s offer is completely
defined in the attached documentation and no assumptions may be made to compliance with customer standard specifications should there be
no clause-by-clause comment provided. Therefore PCM’s offer will have precedence over any documentation included or referred to in the
enquiry documentation.

Delivery: Ex-works Goa OR as the case may be as specified in the offer. Such a period shall only commence after receipt of the following:
a. A technically clear order
b. Configuration as well as all overall dimensions and technical details are clear and acceptable
c. All commercial pre-requisites including advance are met

Delayed Delivery: Unless agreed to expressly in writing by PCM, no variation in delivery period shall be reckoned. If delivery is made after the
agreed contractual date at the customer’s/financer’s request or due to non-readiness of site we will store the material provided if 100 %
payment is made. However it must be appreciated that storage facilities are not readily available at the port or at place of local supply and that
the cost of hiring a suitable building including transport and mobile crane for offloading will be to customer’s/financer’s account, as the case
may be. PCM shall not be held liable for weather deterioration to paintwork, exposed cables or for any other factors not in control of PCM. Any
restoration charges will be to Customer’s account.

Transportation: Consignment shall be shipped through PCM approved transporter. Should the customer specify its transporter and such
specified transporter rejects or conditionally accepts the material, PCM reserves the right to ship the material through any PCM approved
transporter without any further intimation to the customer, at customer’s cost. Unloading of the equipment from the truck / trailer shall be in
customer scope.

Transit Insurance: Transit Insurance, if included in the landed cost to customer, will be indicated in the offer.

Prices: Basic Prices are Ex-works Goa. Packing will be charged extra, wherever applicable if mentioned so in our offer.

Terms of Payment: Unless agreed otherwise by PCM in writing, through RTGS or demand draft, payable at Goa. All payments have to be
made to PCM without any deductions. All charges for issuance of cheque or demand draft shall be to customers account. Any delay in
payment beyond due date shall attract a penal charge of 2% of the order value for every month or part thereof, unless expressly condoned by
PCM in writing.

All payments made to PCM as an advance for the order placed may be refunded, at the sole discretion of PCM

Validity: This offer is valid for acceptance for 30 days from the offer date unless otherwise specifically mentioned. However, it is subject to
reconfirmation from PCM thereafter.

Warranty: PCM undertakes at its option and reasonable discretion to rectify or replace free of charge any such parts as may be materially

Force Majeure: No liability shall result to PCM from delay in performance or non-performance, including but not limited to acts of God, fire,
flood, war, Government regulations, direction or requests, accident, strikes, lock-outs, labour trouble or shortage or inability to obtain necessary
raw materials, equipment or transportation.

Termination: In case of termination of Contract / Purchase order, arising out of customer's request, the cost arising out of termination before
receipt of termination intimation shall be to customer's account as per the standard conditions of PCM, taking into account the scope of work
completed, work in process, material procured, materials for which purchase commitments have been made, reasonable overhead and
expenses and fair profit for PCM.
In case of the termination of Contract / Purchase order revoked, fresh Contract / Purchase order value may be reworked jointly between PCM
and the Customer.

Liability: The rights and obligations of the parties are finally and conclusively limited to those expressly provided for in the contract. It is
expressly agreed that under no circumstances shall either of the parties be liable for economic loss or consequential or indirect damages of
any kind suffered by the other party, including but not limited to, loss of anticipated profit, loss of business loss of contract or any other type of
loss.

Arbitration: PCM and the customer shall make every attempt to resolve in an amicable way any dispute concerning the interpretation of the
offer and the order the Customer may place on PCM. Any dispute, which in course of time, cannot be resolved by PCM and the Customer and
any controversy or claim otherwise arising out of or in connection with this offer / the customer's order or breach thereof, shall be finally settled
by arbitration according to the rules of conciliation and Arbitrations. Reference to Arbitration shall be subject to the provision of the Indian
Arbitration Act, 1940 and subsequent modifications thereto. Place of Arbitrations shall be Goa, India, Arbitrations shall be conducted in English
Language.

Jurisdiction: The Courts in Goa shall have the sole jurisdiction in case of this order.

Indivisibility: Our offer is based on the complete package as offered except where items are clearly identified as optional extras. PCM
reserves the right to adjust its prices, should only a part of the package offered be ordered.

Product changes / Improvement: This quotation is subject to the provisions of technical changes and development. PCM further reserves the
right to revise the prices for modification and changes due to revision in technical specifications by customer or PCM.

Inspection: No allowance for third party inspectors has been made. The full costs will be for the customer’s account should this be required.
