DEED OF TRUST

THIS DEED OF TRUST is made and executed on 1st Day of September 2016 by Sri. R.P.
CHANDRASEKARAN, (ADHAR ID No. 3078 5346 4440) (Mobile No. 9842262276) S/o R.M.Palanisamy,
(hereinafter called the FOUNDER) residing at 87G, Rangasamuthram, Panikkampatti (PO), Palladam -
641664, Tirupur District, Tamil Nadu.

SRI RAMANA MAHARSHI TRUST

WHEREAS, the founder is desirous of constituting and establishing a PUBLIC CHARITABLE TRUST, for the
objects and purposes specified hereinunder.

WHEREAS, the founder has requested the Trustees named hereunder to act as Trustees of the Trust and
they have agreed to so act and the Founder has decided to endow an initial Corpus Fund of Rupees Five
Thousand and entrust the said fund to the trustees to be held by them for the charitable purposes
detailed hereunder.

NOW THE INSTRUMENT WITNESSETH

1. The founder doth hereby constitute a PUBLIC CHARITABLE TRUST under the name hereinafter
mentioned and appoints the Trustees hereunder and hereby set apart, endows and hands over to the
Trustees, the sum of Rupees Five Thousand only to be held by them as the initial corpus fund of the
Trust to be administered by them in accordance with the provisions of this Deed and used for the
objects and purposes of the Trust hereby

created.

2.NAME:
The Trust shall be called "SRI RAMANA MAHARSHI TRUST" and its office shall beat S.F.No: 16/1B, 14/2,
14/3, Nachipalayam Village, Palathurai (PO), Coimbatore (South) Taluk, Coimbatore District, Tamil Nadu,
PIN: 641105, which is a rented premises and /or such other place as the Trustees may decide from time
to time.

3. OBJECTS:

The objects of the Trust are:

al To establish, run, maintain and / or takeover and administer of centers, institutions for the promotion
of Education, Healthcare and Yoga and Care of Destitute, Disabled, Orphans and other needy people,
irrespective of caste, creed, colour, religion or community.

b) Education: To establish, maintain, run, develop, improve, grant donations for and to aid and assist in
the establishment, maintenance, running, development, improvement and extension of nursery,
secondary schools, medical, law and Engineering colleges, industrial and vocational and other Arts,
crafts, science schools and colleges, hostels for the benefit of students and to run generally all kinds of
educational institutions and to grant individual scholarships and other aids for poor, deserving and
needy students for their education.

1 Health Care: To establish, maintain, run, develop, improve,

grant donations for and to aid and assist in the establishment, maintenance, running, development,
improvement and extension of medical institution, nursing home, clinics and hospitals. To run free
medical camps, free eye camps and free medical centers and to grant individual medical aids for poor,
deserving and needy people for their health care.

2 Yoga:To establish, maintain, run, develop, improve, grant donations for and to aid and assist in the
establishment, maintenance, running, development, improvement and extension of Yoga Centers,
Meditation Centers and retreat centers. To teach and spread the ancient teachings of yoga for the
mental and physical wellbeing and spiritual progress of all humanity.

3 Home for Destitute: To run, maintain, develop or take over old home for mentally and physically
retarded/challenged persons, orphanages, home for destitute, crèches etc.,

4 To establish, Own, Purchase, the necessary infrastructure like Land, Building, workshop and other
immovable and movable assets for promotion Education, Healthcare, Yoga and Care of Destitute,
Disabled and Orphans and the needy people.
5 To establish, maintain, run, develop, improve, grant donations for and to aid and assist in the
establishment, maintenance, running, development, improvement and extension of Education,
Healthcare, Yoga and Care of Destitute, Disabled and Orphans.

6 To accept donations, grants, presents and gifts, either in cash or in kind or in any other form of assets
for the purpose of the Trust and to adopt all lawful course, means and measures for raising funds for the
Trust.

7 The Trust shall device ways and means to improve socio economic development and undertake such
projects for the socio economic development in the country and the state. particularly the
Nachipalayam Village, Palathurai (PO), Coimbatore (South) Taluk,Coimbatore District.

8 And in general to do all such other acts, things and matters as are conducive to the achievements of
the objects of the Trust, provided however nothing shall be deemed to include any object which is not a
"Charitable Purpose".

9 Subject to the above said objects of charity, the Trust shall not carry on any activity with the intention
of earning profit.

4.TRUSTEES:

The Trust Board shall comprise, a minimum of three trustees and

a maximum of Ninetrustees and shall not be reduced to less thanthreeas a result of unfilled vacancies.
The Trust Board shall be competent to transact all and every business of the trust notwithstanding the
vacancies remaining unfilled.

about 48 years, residing at Door No.3/10C, Aathupalayam Road, Opp: AVP School, No:11Chettypalayam
Village, Thirumuruganpoondi (PO), Tirupur, Tirupur District PIN-641652, Tamil Nadu. -(2), and

Sri.DHAMODHARAN M, (DRIVING LICENCE ID No. TN4119940000394) (Mobile No. 9363119856)S/o


Mandrachalam, aged about 49 years, residing at Door No.132A/82, Nethaji Main Road,
Udayampalayam, Coimbatore, Coimbatore District, PIN- 641028, Tamil Nadu. (3), shallconstitute the
First Trust Board and these three trustees are the permanent trustees.

5. The Founder shall become the Managing Trustee and would hold the office thenceforth for his life
time and the parties herein named as permanent trustees shall hold office till their life time and are not
liable to retire.

Nomination, Reappointment of Permanent Trusties & ReAppointment of Managing Trustee:

a) The permanent trustee during his/her life time, shall reserve the right to nominate any person to
succeed him/her as the permanent trustee and such nominated legal heir of such permanent trustee
shall be vested with all the rights of a permanent trustee in the conduct of the affairs of the Trust.

b) If the Permanent Trustees shall not nominate anybody to succeed him/her to the membership of the
trustee after his/her life time, then any vacancy of the Permanent Trustees rising the resignation, death,
nomination, inactiveness or incapacity shall be filled up by the continuing Permanent Trustees, having
due regard to the interest of the selected person in the objects of the Trust.

c) If the post of Managing trustee becomes vacant due to the resignation, death, nomination,
inactiveness or incapacity, then one of the Permanent Trustees shall be appointed to post of Managing
Trustee by the Permanent Trustees.

d) Until a Managing Trustee is appointed in the manner indicated above, the member senior most in age
in the Trust Board shall perform the duties of the Managing Trustee.

f. The Trustees shall have power to receive any grants from the Central or State Governments or other
Charitable Trusts or Intuitions.

g. The Trustees shall have power to receive any grants, donations, contributions from a country outside
India.
h. The Trustees shall have power to acquire any movable or immovable properties or investments from
the Trust funds.

i. The Managing Trustee, shall have power to borrow and spend the funds to such limit for the
furtherance of the objects of the Trust as may be fixed by the Board of Trustees from time to time and
for the purposes of securing loan from Bank and Financial Institutions, he is further authorised to create
charges over the properties and assets of the Trust, whenever it is necessary subject to ratification by
the Board of Trustees. He is also empowered to give the Trust's properties as security to the Central or
State Government if Government notifications may SO requires.

j. The Trustees shall have the powers to do all such other acts and things and matter to achieve the
objects of this Trust. Meeting of Trustees:

e) A Managing Trustee as appointed under clause (d) above shall hold office for a period of three years
and shall be entitled for extention of further period of three years at a time.

f) The nominations of legal hier during the life time of the Managing trustee or Permanent Trustees may
be cancelled by the executor of the nominations and fresh nominations may be executed at any time
after the cancelations of said nominations.

7. Appointment of Non-Permanent Trustees:

a) Subject to the maximum and minimum members of the Trust Board, stated in the above clause (4),
thepermanent trustees reserve the right of appointing Non-Permanent Trustees.

b) Non-Permanent Trustees appointed as per clause (a) above shall hold office for a period of three
years and at the end the third year they shall retire from the Board of Trustees.

c) The permanent trustees reserve the right of the removal of the any of the Non-Permanent Trustees
appointed as per clause (a) above before the completion of the three year tenure of appointment of
such NonPermanent trustee.

d) A seven days prior notice shall be given tosuch Non-Permanent trustee before his/her removal.

e) Subject to the maximum members of the Trust Board, stated in the above clause (4), the permanent
trustees reserve the right of appointing as permanent trusteeany of the Non-Permanent Trustees who is
a member of the Board for a period not less than one year, by amending the trust deed.

f) An additional Trustee may be co-opted by the Trustees for the time being in office if considered
desirable for the better fulfillment of the objects of the Trust, in consultation, with and as recommended
by the Board of Trustees.

8. TRUST PROPERTY

a. There is no movable (or) immovable properties in the name of the trust

other than the nucleus fund of Rs.5,000/- (Rupees Five Thousand only) endowed by the Founder at
present.

b. Other moneys that may be gifted, donated, endowed or contributed by the Founder or other persons
from time to time.

c. Gifts of any other movable properties or immovable properties made to this Trust.

d. Grants, if any, received from the Central or State Governments or other Trusts or Institutions.

e. Properties, movable and immovable and investments acquired by the Trustees from the Trust Funds.
Properties may be endowed by way of gift or donation and the trustees may accept them.

9. POWERS AND DUTIES OF TRUSTEES:

a. The Trustees shall invest the trust funds and administer the Trust properties in the best interest of the
Trust and any surplus funds of the Trust shall be invested in the manner as laid down under section.
11(5)and / or other relevant updated provisions of the Income Tax Act.

b. The Trustees may sell, lease or otherwise dispose of any property belonging to it and in this behalf
authorise the Managing Trustee to execute the Deeds and have them registered.

c. In accordance with the powers delegated to him by the Trust Board either generally or specifically, the
Managing Trustee shall be in overall management of the Trust and its properties with the assistance of a
Trustee who is nominated as the Treasurer of the Trust.

d. The Trustees shall have power to institute, conduct, compromise or otherwise settle or abandon any
legal or other proceedings in respect of any claims by or against the Trust, Trustees or its employees in
any

matters.

e. The Trustees shall have the power to receive any donations, contributions in each or in kind and gifts
of properties, both movable and immovable.

The Trustees shall meet as often as is necessary and shall endeavour to meet at least thrice in a year.
Decision shall be taken by a majority vote and the Managing Trustee shall have a casting vote in the
event of tie. The Managing Trustee may, however, considered desirable, get a resolution passed by
circulation.

Minute Book:

The Trustees shall maintain a Minute Book in which the decisions taken and resolutions passed in their
meeting shall be recorded and signed by the Managing Trustee. The quorum for a meeting of the
Trustees shall be 2 Members of the Board or 1/3 of the total number live members of the Board
whichever is higher.

The Managing Trustee shall preside over the meetings of the trustees, and in his absence, the senior
most in age among the trustees shall preside.

Office Bearers:

The Trustees shall have power to appoint, fix the terms & conditions, tenure of the Office bearers, such
as Secretary, Treasurer etc. Suitable bye-laws in this regard shall be framed and amended by the
Trustees from time to time.e.

Bank Account:

The Trust shall open a Bank account with one or more of the Nationalized Banks and/or Schedule Banks
and the account may be operated by the any two of permanent trustees jointly.

Books of Accounts:

The Trust shall maintain proper accounts and the same shall be closed each year as on 31st March. The
financial year of the Trust shall be 1st April to 31st March of every year.
A Receipt and Payments Account and an Income and Expenditure Account for the year ending on 31st
March and a Balance Sheet as at 31st March of the year shall be prepared and placed at a meeting of
the Trust within six months after the expiration of each financial year. They shall be signed by the
Managing Trustee and one of other trustees.

The Trust shall get the accounts and the Balance Sheet audited by a qualified Chartered Accountant.

Power to frame Rules & Regulations:

To Trustees frame necessary rules and regulations for proper and convenient administration of the trust
and to act according to such rules and regulations.

Power to Amend the Clauses:

The Board of Trustees may by simple majority, add to, amend, alter or vary any or such of the clauses
under this deed or the rules and regulations framed under this deed as the Board of Trustees may
consider fit without impairing the existing objects of the Trust, without such additions or alterations
(including any additional objects which may be incorporated therein) impairing the eligibility of this
Public Trust for the income tax concessions under the Income Tax Act. Such amendments shall be
carried out only with the approval of the Commissioner of Income tax holding jurisdiction over the Trust.

17. Carrying charitable activities with in India:

The Trust shall carry on its activity only with in the territories of India. Beneficiaries:

The benefits of the Trust while being stated in the above said clauses shall be open to all, irrespective of
caste, creed, religion, sex, etc.,

Utilisation of Income for Trust objects:

The income and property of the Trust whatsoever derived shall be applied solely towards the objects of
the Trust and no portion of it shall be utilised for payments to trustees, members by way of profit,
interest, dividends etc., except that may be reimbursed of actual expenditure incurred by them on
behalf of the Trust. They are also entitled to receive remuneration for the fulltime service rendered to
the Trust as decided by the Trustees.

Dissolution or winding up:


If at any time the Trustees are of opinion that they are unable to achieve the objects of the Trust
satisfactorily or manage its properties and funds or in the event of dissolution or winding up of the trust,
the Trustees shall transfer the management of the Trust and its properties to any other Public Charitable
Trust or an association of persons having some of its objects similar to those of this Trust. The decision
should be implemented by a resolution accepted by not less than three fourth of the total number of
trustees.

Irrevocable Trust:

The Trust shall be irrevocable.
