NON-EXCLUSIVE AGENT SALE AGREEMENT

This Agreement ("Agreement") was made and entered into on 26/02/2024 by and between PT. Lokal
Living ("Agent"), with an address of Jalan Persada No.102, Kerobokan, Bali, Indonesia, and Yunus
Alaan Parlindungan ("Client"), owner of Villa Josh Ocean View ID 327307100683008 with an address
of Perum Cherry Field Cluster Grand Celeste Blok 88K, Lengkong, Bojongsoang Kabupaten Bandung
Jawa Barat

1. Length of Agreement. This agreement is valid for 12 months from the date of signing.

2. Authorization. The Client authorizes the Agent to sell the Property described in Paragraph 3 on
their behalf. The Owner states that they have full right to Sell/Lease the Property and they know of
no encumbrances, which would prevent the selling of this property.

3. Description of Property. The property is described as follows with all details attached:

4-unit private villa with mezzanine in Ungasan near Melasti beach with optional furnished or
non-furnished

4. Commission. The Client agrees to pay the Property Agent a commission of 5% of the sale price
should the Agent find the purchaser ready, willing, and able to pay the sum of 4,500,000,000 IDR
fully furnished or 3,800,000,000 IDR non-furnished, or the final negotiated price for the property
which the owner accepts. Said commissions are payable upon release of the deposit held by the
notaries upon a clear due diligence report confirming the sale can proceed.

5. Introduction of the client. The Client agrees In consideration of the real estate agent's introduction
of a prospective buyer to the property, the Client agrees to pay the Agent a commission by the terms
and conditions outlined in this agreement. If this Agreement expires or is terminated, and within
Twelve Months (12 Months) after the expiration or termination, the Client enters into an agreement
to sell/lease said property that was introduced by the Agent during the term of this Agreement, the
Client agrees to pay the Agent a commission by the terms and conditions outlined in this agreement
or as otherwise agreed upon by the parties in writing. This clause shall survive the expiration or
termination of this Agreement.

6. Forfeit of Deposit. A deposit is to be kept at the agreed Notaris during the Due Diligence period. If
the Due Diligence clears and if a deposit of money is forfeited from a purchaser produced by the
Agent due to negligence by the purchaser to complete the transaction in due course, half shall be
retained by the Agent, providing that this amount does not exceed the agreed commission, and the
remaining shall be paid to the Client.

7. Intellectual property rights: The owner will provide photos of said property for marketing and
promotional purposes. If it is deemed necessary for the Agent to provide photos, videos, and Media
content at the cost of the Agent these are deemed the sole intellectual property rights of the Agent,
and any use or redistribution of such content without the approval of the Agent will incur a Payment
of 10 million IDR for the unauthorized use. Such payment will be required to be made immediately to
the Agent.

8. Obligation of the Client.


a. The Client must provide to the Agent any color copies of documentation about the
Property, which is necessary to expedite the sale.
Including but not limited to:
1: copy of freehold certificate
2: Copy of lease agreement
3: copy of building permit IMB
4: copy of owner ID
5: copy of yearly tax PBB
b. The Client should provide the property for viewing to potential buyers so long as 24-hour
due notice of intent to show is provided by the Agent.
c. The Client shall provide an inventory of the furniture and fixtures to the Agent to be
available at the time of viewing the property.
d. The Client agrees to have the property listed with PT. Lokal Living is used for marketing as
appropriate to achieve a sale.

Confidentiality clause – Both parties at this moment agree that any information related to this
agreement, including but not limited to the transaction outcome and any other details about the sale
or disposal of the property, shall be treated as confidential and shall not be disclosed to any third
party except as required by applicable law or necessary to facilitate the marketing and disposal of the
property.
Both parties further agree not to release any information received before or after the signing of this
agreement, including but not limited to purchase prices, terms of the transaction, and any other
confidential information related to the property sale or disposal, without the prior written consent of
the other party.
If either party is required by law to disclose any information related to this agreement, that party
shall notify the other party immediately and provide the other party with an opportunity to seek an
appropriate protective order or other legal remedy.
This confidentiality clause shall survive this agreement's termination and remain in effect
indefinitely.
