CONTRACT OF PARTNERSHIP (GENERAL)

KNOW ALL MEN BY THESE PRESENTS:

That we, the undersigned, Joielyn Cabiltes, John Llyod Caluag, Kimberly Rose Gasatan,
Julie Nicole Tare, and Fitz Kinnielop Tupaz all of legal age, and residents of Leyte, Philippines,
have this day voluntarily associated ourselves together for the purposes of forming a partnership,
effective this date, under the conditions and terms hereinafter set forth, and subject to the
provisions of existing laws;

AND WE HEREBY CERTIFY:

I.

That the names, surnames and residences of the partners of the said partnership are as
follows:

II.

That the name of said partnership shall be 3J’s & FK Partnership and shall operate and
transact business under said firm name.

III.

That the principal office of the partnership shall be located at Campetic Rd, Palo, Leyte,
Philippines which office may be changed if necessary.

IV.

That the capital of said partnership is P8,250,000 of which P2,200,000 cash and
inventories valued at P300,000 has been contributed by Julie Nicole Tare. John Llyod Caluag
contributed a building with an agreed value of P820,000. In addition, a P100,000 mortgage was
attached to the building which was to be assumed as agreed upon by the partners. Kimberly Rose
Gasatan contributed cash of P1,000,000 and office equipment valued at P830,000. Joielyn
Cabiltes contributed P1,200,000 and a piece of land with a current market value of P2,000,000.
Lastly, Fitz Kinnielop Tupaz will contribute his special skills and talents in managing the
partnership.

V.
That the purpose of which said partnership is formed are as follows:
1.)To conduct business related to the development, and production of high-quality beauty
products;

2.)To operate as a boutique and salon of high-quality beauty products under the name 3J’s and
FK Partnership; and

3.)To engage in business related to providing beauty services.

VI.

That term for which this partnership is to exist is six (6) years counted from the date
hereof.

VII.

That the firm shall be under the management of Fitz Kennielop Tupaz and as such
manager, he shall have charge of the management of the affairs of the partnership; and he shall
have the power to use the firm name and in otherwise performing such acts as are necessary in
the management of the firm.
VIII.

That said manager shall receive a monthly allowance of Sixty Thousand Pesos (P60,000).

IX.

That profits and losses after the allowance, as the case may be, shall be divided and
distributed equally among the partners in the partnership.

IN WITNESS WHEREOF, the parties have hereunto set their hands this 10th day of
February, 2024 in Palo, Leyte.

 BEFORE ME, a Notary Public in the City of Tacloban, personally appeared
in person with his Community Tax Certificate No. 143 issued at Tacloban City on February 10,
2024, known to me and to me known to be the same persons who executed the foregoing
instrument, and he acknowledged to me that the same is his free act and deed.
