Appendix 1

Terms of Employment, Salary Details & Company Policy

Background Verification: This offer of employment is valid only upon you passing background verification
successfully.

Promotion: Your future increments or promotion or any other salary increase shall be based on merit
considering your periodic and consistent overall performance and other parameters fixed on time to time
at the discretion of the management and shall not be considered merely as a matter of notice period.

Services: During the tenure of your services, you will wholly devote yourself to the work assigned to you
and will not undertake any other employment either on a full or part-time basis without prior permission of
the Company in writing. Any contravention of this condition will entail the termination of your services from
the Company.

You will keep the Company informed within one week of any change in your residential address that may
happen during the course of employment of your service with the Company.

Notice Period: In the first 6 months of being hired, your employment may be terminated by giving 1
month’s (30 days) notice in writing from either side. After 6 months of being hired, your employment may
be terminated by giving 2 months (60 days) notice in writing from either side. However, in the event that
disciplinary action is contemplated or pending against you, Amazech shall have the right not to accept your
resignation, pending a decision by the management. Any shortfall in the notice period served will be
recovered from the employee for full and final exit formalities to be completed.

Unauthorized absence or absence without permission from duty for a continuous period of 7 days would
make you lose your lien on employment. In such case, the Company shall be entitled to terminate your
employment forthwith and recover payment in lieu of failure to serve notice period.

Leave: Every employee is eligible for leave as per the prevailing leave policy.

Confidential: All documents, presentations, source code, prints, trade secrets, technical information,
reports, statements, correspondence, etc., written or unwritten, and also information and instructions that
pass through you or come to your knowledge shall be treated as confidential. You shall not utilize them for
your own use or disclose to other persons during or after your employment.

You will not give out to anyone, by word of mouth or otherwise, particulars of our business or
administrative or organizational matters of a confidential nature which may be your privilege to know by
virtue of your being our employee.

Rules and Regulations: You shall faithfully and to the best of your ability to perform your duties that may
be entrusted to you from time to time by the management. You will be bound to rules and regulations and
orders promulgated by the management in relation to conduct, discipline and policy matters.

Company Property: While you are in the employment of the company, you may be given or handed over
company’s property and /or equipment for official use and you shall take care of them including their
upkeep. On cessation of the employment with the Company, you shall return all computer, documents,
books, papers, relating to the affairs of the Company, purchased with the company’s money which may
have come to you, and also any property of the Company in your possession.

Loans and advances: Any balance of advance or loan taken by you from the company shall be fully
recovered from your salary and any other legal dues at the time of your leaving from the services of the
Company.

Taxes: As per company law and law of the land, standard deductions of professional tax, Income tax, and
any other tax will be deducted as applicable on the salary mentioned below.

Responsibility: While working as an employee if you enter into any business transactions with any party on
behalf of the Company within your permissible limits, it shall be your responsibility to ensure recovery of
outstanding. If any outstanding remains at the time of leaving the services of the company, it shall be your
responsibility to recover for remittance to the company before you proceed to settle your legal dues in full
and final settlement of your account.

Zero Tolerance Drug & Alcohol Abuse Policy:


Amazech is committed to providing a safe work environment and to fostering the well-being and health
of its employees. That commitment is jeopardized when any employee/contractor/sub-contractor illegally
uses drugs on or off the job, comes to work under their influence, possesses, distributes or sells drugs in
the workplace, or abuses alcohol on the job.
- It is a violation of company policy for any employee/contractor or sub-contractor to use, possess,
sell, trade, offer for sale, or offer to buy illegal drugs or otherwise engage in the illegal use of
drugs on or off the job,
- It is a violation of company policy for any employee/contractor or sub-contractor to report to work
under the influence of or while possessing in his or her body, blood or urine, illegal drugs in any
detectable amount.
- It is a violation of company policy for any employee to report to work under the influence of or
impaired by alcohol.
- Violations of this policy are subject to disciplinary action up to and including immediate
termination.

- Amazech reserves the right to test employees/contractors/subcontractors for drug and/or alcohol
abuse if there is reasonable cause to do so.
