It has been agreed to sell and buy ground black pepper under the following terms and
conditions:
1. COMMODITY: Vietnam ground black pepper grade 1
2. QUALITY:
 Moisture : 12% max.
 Volatile matter content : 1 ml/100g min.
 Total ash content on dry matter calculated by mass: 7% max.
 Total ash content on dry matter calculated by mass :1.2% max.
3. QUANTITY : 100 MTS + 1% ( at seller’s option).
4. PRICE : USD 6,100/MT. FOB Cat Lai port Incoterms 2020
Total amount: 610000
In words: Six hundred and ten thousand US Dollars
5. PACKING : In strongly sewn new single jute bags of 50 kgs net each.
Shipment in container 3.85 x 20’ of 521 bags each.

6. SHIPMENT : - Not later than 28 Feb 2024.
- Port of loading : Sai Gon port.
- Port of destination: Any port in US
- Partial shipment : not allowed.
- Transshipment: not allowed.
7. INSURANCE : To be covered by Buyer.
8. PAYMENT : By irrevocable L/C at sight.
- Issuing Bank: Sacombank, Ho Chi Minh City Branch.
- Date of issue: Within 7 days from the signing date of this contract.
- Date and place of expiry: 28 Feb 2024 in Viet Nam.
- Payment documents:
+ Signed Commercial Invoice issued by the Seller in triplicate.
+ 3/3 (Full set) of originals clean B/L
+ One (1) original and two (2) copies Certificate of Quantity, Weight, Quality
issued by SGS.
+ One (1) original and two (2) copies Certificate of Origin issued by Authorized
authority.
+ Two (2) originals and two (2) copies of the Insurance Policy of Bao Viet
Insurance Company and endorsed in blank.
+ Packing list in triplicate.
+ Beneficiary's Certificate that one full set of non-negotiable shipping documents
have been sent by DHL to the Buyer.
+ Bill of Exchange.
9. ARBITRATION:
In the execution course of this contract, all disputes not reaching an amicable
agreement shall be settled by Vietnam International Arbitration Center - VIAC
whose awards shall be final and binding for both parties. Arbitration fees and
other related charges shall be borne by the losing party, unless otherwise agreed.
10. GENERAL CONDITIONS:
This contract is made in 06 English originals, 03 for each party of equal value.
This contract comes into effect from the signing date, any amendment and
additional clause to these conditions shall be valid only if made in written form by
telex or fax and confirmed by both parties.
