Preface
Daraz’s Supplier Code of Conduct is applicable on all Suppliers and Service Providers, working with Daraz
including agents, trading companies and service providers.

For simplicity, the term “Supplier” will be used interchangeably to represent Suppliers and Service
Providers throughout the document.

Our Suppliers shall agree to our Supplier Code of Conduct (CoC) and adhere to our principles at all times,
i.e., in all situations involving any entity of the Daraz directly or indirectly. Our Suppliers should aim to
establish appropriate training measures to allow their managers and employees to gain an appropriate
level of knowledge and understanding of the applicable laws, regulations, and generally recognized
standards, as well as standards expected by Daraz and mentioned in this document.

We expect our Suppliers to uphold Daraz values while engaging with their Suppliers and Clients and
develop a common culture and mindsight to pull in the same direction for a win-win outcome.

Objective:
It is the policy of the Company to follow the highest business ethics and standards of conduct. Supplier
are expected to carry out their duties and responsibilities in a professional, legal and ethical manner and
as per industry standards while working with Daraz, in accordance with the principles given in this
document, and without contravening the laws of the country.

Policy Scope:
Principals of Code of Conduct outlined here are applicable to all the suppliers when they are onboarded
and working with Daraz.

Policy shall be effective from 1st December 2023 and covers;

 Collusion:
We expect all suppliers to conduct their activities in a manner consistent with applicable
antitrust and competition laws “the Competition Act 2010”). Antitrust and competition laws are
designed to encourage and protect free and fair competition. the Aforementioned law is
applicable to any relationship with the competitors, customers, service providers, and suppliers.
Antitrust and competition laws prohibit practices that include: (1) Agreements or arrangements
(including informal understandings, such as oral “gentlemen’s agreements”) between
competitors that reduce or restrict competition with each other, such as price-fixing, bid-rigging,
allocations of customers or territories or agreements not to deal with third parties.

 Bribery, Kickbacks & Corruption (ABAC):


Bribery refers to the giving or offering of money, goods, or other forms of rewards to a recipient
to bring about a change in their behavior or decisions in the interest of the buyer or giver. Daraz
does not tolerate any form of bribery or corruption. Offering or accepting a bribe in any form,
directly or indirectly, is strictly prohibited. Suppliers shall fully comply with applicable national
and international regulations and are expected to conduct business in a professional, fair, and
lawful manner. Suppliers are expected to have established processes and controls to prevent
any kind of bribery and corruption. Suppliers are expected to comply with all applicable Anti-
bribery and Anti-Corruption Laws, rules and regulation existing under Pakistan Law If the
Supplier is found to be involved in any kind of briber and/or corruption, the Supplier may be
monetarily penalized in addition to being blacklisted from working with Daraz as per Daraz’s sole
discretion.

 Giving and Accepting Gifts:


Gifts are not acceptable, even as samples to Daraz employees. Below is the detailed view against
this clause.

o Giving cash or cash equivalents, including cheques, money orders, vouchers, gift
certificates, loans, stock or stock options, to Daraz employees is not acceptable in any
circumstances.
o Any vendor who is found guilty of paying or receiving bribes will be immediately
blacklisted and reported, as warranted, to the appropriate authorities. A kickback or
bribe includes any item intended to improperly obtain favourable treatment or biasness
in decision making.

 Wages and Working Hours:


o The wages, hours of work and other conditions of work provided by Suppliers should be
not less favourable than the best conditions prevailing as per the local and
Governmental laws. Suppliers shall comply with applicable laws and regulations in this
regard, including those relating to minimum wages, overtime, maximum hours and
legally mandated benefits.
o Suppliers are expected to provide their employees with fair and competitive
compensation and benefits which shall aim at providing an adequate standard of living
for employees and their families. Suppliers’ employees should be paid in a timely
manner and deductions from wages are permitted only under conditions and to the
extent prescribed by the Applicable Laws and regulations.

 Child Labour & Forced Labour:


Daraz expects suppliers NOT to:
o Use any form of forced or involuntary labor.

o Participate in any way with human trafficking, specifically the recruitment,
transportation, transfer, harboring, or receipt of persons by improper means (such as
force, abduction, fraud, or coercion).
o Employ or use workers who fail to meet minimum age requirements. Minimum age is
determined to be whichever is higher between applicable child labor laws in Pakistan

 Declaration of Conflict of Interest:


Conflict of interest can be defined as a situation or relationship that compromises or induces
biasness in the decision-making process of an individual or Procurement function in this case.
Suppliers must disclose all Personal or Business situations or relationships with any of the
existing employees, permanent, contractual or third-party, herewith to Daraz prior to being
onboarded as a Daraz Supplier. Suppliers shall not enter into a financial or any other relationship
with a Daraz employee (permanent, contractual and third-party) that creates any actual or
potential conflict of interest for Daraz or its employee(s). Suppliers understand that a conflict of
interest arises when the material personal interests of the Daraz employee are inconsistent with
the responsibilities of his/her position with Daraz. Upon disclosure, Daraz Procurement
Committee will provide approval on all such cases before onboarding of the Supplier. If the
Supplier is found to have not disclosed any such situation or relationship with any of Daraz’s
employees prior to being onboarded, Daraz may take action, at its discretion, to protect
company interest.

 Environmental Protection:
Daraz is committed to preserving the environment and combating climate change. We want to
work with organizations that share these goals.
As a minimum, we expect suppliers to:

o Comply with all applicable environmental laws and regulations.


o Minimize the negative environmental impacts of their operations, products and supply
chains, including but not limited to air pollution, greenhouse gas emissions, water
discharge, hazardous waste disposal, and poisonous substances.
o Use resources efficiently, apply energy-efficient and environmentally friendly
technologies and reduce waste, as well as emissions to air, water, and soil.

o Where suppliers' activities include chemicals or other materials that pose a risk to the

o Ensure an appropriate environmental, health, and safety management system is in
place.
o Be proactive in identifying, reducing, or avoiding risks to the environment and people.
o Chemicals or other materials that pose a risk to the environment must be identified and
handled in such a way that handling, use, storage, and disposal are carried out safely.
o Ensure they have emergency and contingency plans in place in the case of accidents and
incidents in their facilities.
o Suppliers are expected to reduce and manage risks from involvement in the production
and disposal of hazardous-products and from the production or use of certain persistent
organic pollutants.

 Intellectual Property / Company Assets:


Daraz assets comprise intellectual property, designs, patent rights, copyright, trademarks and/or
service marks, logos, and other distinctive brand features, business strategies, financial data,
and other confidential information, as well as physical assets (hereafter: “intellectual property
and company assets”). Suppliers do not acquire any rights over Daraz’s intellectual property and
company assets. Suppliers are obliged to protect and respect Daraz’s intellectual property and
company assets. Any use of Daraz’s intellectual property and company assets by the Supplier
requires prior authorization from Daraz. Suppliers shall not contest or challenge, or take any
action inconsistent with or that may damage or impair ownership of the intellectual property
and company assets of Daraz. Disclosure towards third parties requires the prior written consent
of Daraz. Required disclosure towards authorities under applicable laws or regulations, shall
where legally permissible, be notified in advance by the supplier to Daraz.

 Due Diligence & Prevention of Financial Crimes:


Daraz is committed to preventing all forms of financial crimes, especially money laundering,
terrorist financing, sanctions violations, trade embargoes, and frauds as covered and outlined by
State Bank of Pakistan and SECP. By signing this document, our Suppliers are agreeing to
compliance on above.

Involvement of the Supplier in any financial crimes shall result in Supplier’s blacklisting and legal
actions being taken against them available to Daraz as a remedy at law.

 Non-discrimination & Professional Standards:


Daraz expects suppliers to:
Aim for the highest possible professional standards. In particular, to maintain a respectful and
dignified relationship with everyone the supplier engages with, this includes its own suppliers,
customers, and employees, as well as customers and employees of Daraz. The supplier's
engagement should be free of harassment, abuse of any kind, harsh and inhumane treatment;
not discriminate against people based on personal characteristics, including but not limited to
gender, gender identity or expression, sexual orientation, race, ethnicity, faith, and mental &
physical disabilities; and comply with local laws and regulations.

 Data Privacy and Security:


Suppliers shall provide complete and accurate information to facilitate third-party or in-house
due diligence efforts undertaken by Daraz and comply with the applicable laws and regulations
in the country or countries where they operate. Suppliers shall notify Daraz of any suspected or
actual data breach concerning the services provided.

 Whistleblowing:
We expect all the suppliers to promptly report any suspicious activity or any non-compliance
with this COC. Daraz, will protect whistleblower’s identity. To do so, all suppliers have to share
proper evidence on the following options available to them:
o Contact their respective Daraz representative

 Dispute Resolution:
In case of any dispute arising between end-user and Supplier, during the delivery of goods or
services, Procurement will serve as mediator. Supplier to ensue;
o Report nature of dispute to Procurement
o To deliver ONLY goods and services, as outlined in the PO and (or) BOQ. For additional
work, a separate PO need to be issued.
o If scope of work is reduced or changed, Supplier to immediately loop in Procurement.
o Escalate to Procurement immediately in case facing delay in receiving of Goods and (or)
services. If Procurement’s response is unsatisfactory, Supplier must demand to escalate
matter to Head of Procurement/Relevant Senior Management for immediate resolution.
o Escalate to Procurement immediately in case facing delay in payment as per credit term.
If Procurement’s response is unsatisfactory, Supplier must demand to escalate matter to
Head of Procurement for immediate resolution.

Adherence to the underlying CoC is of the utmost importance to Daraz. If there is a suspicion of
non-compliance or a violation of one or more points of the CoC listed above, Daraz reserves the
right to re-assess the supplier. If this suspicion is confirmed, the business partnership will be
reevaluated and possibly terminated according to our contractual rights and applicable law.
Should the confirmed breach be related to a violation of fundamental human rights or laws (for
example, child labor), then the relationship shall immediately be terminated, and may lead to
legal proceedings, where applicable.

Policy regarding CoC Breaches: Where misconduct of non-compliant Suppliers has been
established, the following mechanism/procedure shall be adopted against Suppliers engaged in a
business relationship with the Daraz for breaches / violations committed of this Code of Conduct:

Zero Tolerance: Non-compliance with statuary laws and any actions that have financial implications
on Daraz, will not be tolerated. Same will be applicable to Daraz. In such cases, business arrangement
will be immediately terminated and depending on the nature of violation, further course of action will
be decided which may but is not limited to any legal remedy available to Daraz.

Warnings: In case of non-compliance with standard processes, that would impact the audit trail or
compromise P2P cycle, warning will be issued. Supplier to align a deadline until which, the mentioned
issue needs to be resolved. Otherwise, Daraz will have the discretion to take strict action in self-interest.

Improvement Areas: These are best practices, which Daraz would expect its suppliers to have.
