THIS DEED OF ASSIGNMENT MADE THE ________ DAY OF __________ 20__________

BETWEEN : MR OLUSEYI BAJULAIYE, MRS OLUKEMI AWOLESI, MR. OLUWASEGUN

BAJULAIYE and DR. (MR) MOYOSORE ADEJUMO all of Plot 379B, George Crescent , Off
Wempco Road, Ogba Ikeja, Lagos State (Hereinafter referred to as the “ASSIGNORS”
which expression shall where the context so admits include their heirs, administrators,
executors and Assigns) of the one part. AND MR. WASIU AYINDE of No 3, Mayekodunmi
Street, Off Allen Avenue, Ikeja, Lagos State (hereinafter referred to as “ THE ASSIGNEE”
which expression shall where the context so admits include his heirs, administrators and
assigns) of the other part.

WHERE AS:

1. By Virtue of the deed of conveyance referred as the No 44 at rope 44 in volume

1492 of the land registry at Lagos, Allhaja Sabalemotu Ayinke became seized in
fee single absolute of the hereditaments therein.
2. Under and by virtue of the deed of Conveyance register as No 54 at Rope 54 in
Volume 1595 of the land Registry Lagos now out Alausa-Ikeja, the said Alhaja
Ayinke convey a portion of her aforementioned hereditement described as plot 30
on the allotment plan No OGK/117/50 to MADAM HANNAH TINUOLA ONI in fee
simple absolute .
3. MADAM HANNAH TINUOLA ONI is the postinator of the present “Assignor”
4. The said MADAM HANNAH TINUOLA ONI was at her death survived by her son,
PA BAJULAIYE CHRISTOPHER OLUFUNMILAYO
5. They said , PA BAJULAIYE CHRISTOPHER BAJULAIYE exercised various acts of
ownership and possession on the said parcel of land the building thereon
(hereinafter called the property)
6. The Assignoors” are the surviving children of late, PA BAJULAIYE and they have
been in effective possessions of the said property in like manner as their
predecessors in title jointly exercising numerous cogent and positive acts of
ownership without hindrances.
7. The vendors have agreed to assign their entire interest in the said property to the
Assignee absolutely.

NOW THIS DEED WITNESSETH THAT in pursuance of the said agreement and in
consideration of the sum of 70,000.000 (Seventy Million Naira Only) paid by the
Assignee to the Assignors (receipt whereof the Assignors hereby acknowledged).
The Assignors as BENEFICIAL OWNERS hereby affirm, Convey, transfer and indeed
demised unto the Assignee all that property situate, lying and being at No 4 Osaye
Street, Ogba Ikeja Local Government Area of Lagos State More Particularly described and
delineated on survey plan No___________drawn by a licensed surveyor, which plan is
attached to these presents to HAVE AND TO HOLD SAME UNTO and for the use of the
Assigee absolutely free from all known encumbrances.

THE ASSIGNORS HEREBY CONVENANT WITH THE ASSIGNEE AS FOLLOWS:-

1. That they have full power and right to sell the said property and that same will
be quietly enjoyed by the Assignee and his successors –in-title and assigns
without interruption or disturbance from the Assignors or persons claiming by
through, under or in trust for them or any persons claiming by paramount title.
2. To indemnify the assignee against any rival claimant on the said property.
3. To sign all documents, the Assignee may need to perfect this title to the
property at anytime same is presented by the Assignee.
4. To indemnity the Assignee in the event of losses incurred due to any defect in
the title of the Assignors, including misrepresentation or non-disclosure of facts
material to this transaction.
5. That where it is impossible for necessary consent to be obtained to this
transaction, the Assignors shall this transaction, the Assignors shall set up and
hold the said property in trust for the Assignee to the total exclusion of all
others
