DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale entered into this 14 th day of August 2019, by and
between:

VENDOR/S : EMMANUEL A. ALMORADIE, of legal age, Filipino


citizen, and a resident of Brgy. Ibingay, City of Masbate;

VENDEE/S : DANNY A. FUNELAS, of legal age, Filipino citizen, and a


resident of Brgy. Kinamaligan, City of Masbate;

WITNESSETH: that

A. WHEREAS the VENDOR/S are the true and absolute owners of parcel of land situated
at Purok 2, Barangay Espinosa, City of Masbate consisting of 121 sq.m, more
particularly described below:

“A parcel of land located at Purok 2, Barangay Espinosa,


City of Masbate with an area of One Hundred Twenty One (121)
sqm more or less, bounded on the North by Lot of Lorenzo Lerit; on
the east by Benedicto Cañares; on the West by Anselmo Verano;
and on the South by Barangay Road.”

B. WHEREAS, the VENDOR/S offered to sell the entire portion of the above described
Property to herein VENDEE at a price certain and agreed upon under the conditions
set forth herein.

NOW THEREFORE, for and in consideration of the foregoing premises and the stipulations
herein set forth, the parties hereto agree as follows:

1. Consideration. For and in consideration of the amount of Two Hundred


Twenty Thousand Pesos (Php 220,000.00) in hand received in cash, herein VENDOR agrees to
sell, transfer and convey unto herein VENDEE all his ownership rights, claims and interests to
the above mentioned Property and that by his receipt of the full consideration paid to him by the
VENDEE, such payment is to the full satisfaction of the VENDOR and is understood to cover
in full the value of any and all improvements found thereon at the time of execution of this
Deed.
2. Warranties of the VENDOR/S. That the VENDOR/S hereby represents and
warrants that:
2.1 the Property is free from any and all liens, encumbrances or third
party adverse claims of whatever kind or nature, whether actual or
contingent, arising from law, contract or otherwise and that it shall warrant
and forever defend its ownership against claims of third persons or entity
and shall consequently hold the VENDEE free and blameless from any
such claims;

2.2 VENDOR/S has been in open, continuous, actual, exclusive


possession and occupation of the subject property under a bona fide
claim of acquisition or ownership and in this respect, there is no pending
proceedings, whether judicial, quasi-judicial or administrative, instituted
by or against the VENDOR/S which could impair or diminish the value of
the Property subject of this Deed or otherwise defeat or cast a cloud on
the title to such property.

2.3 He has no knowledge of any past or any pending or threatened
claims, actions, suits, litigation or governmental proceeding affecting the
Property or would have a material adverse impact on the VENDEE’S
ability to use and /or take full possession of the Property ;

2.4 There are no agreements or understandings, oral or written, with


any third person, entity or governmental authority affecting the Property
which could give rise to claims affecting the Property.

3. Agreement to Vacate the Premises. Upon receipt by the


VENDOR/S of the full payment of the consideration herein agreed upon, and the
execution of any and all documents and ancillary agreements in relation hereto, the
VENDOR hereby agrees to fully , voluntarily and immediately vacate the Property
following the execution of this Deed and allow VENDEE full and unimpeded access to
the Property herein described.

6. Execution in Counterparts. This Agreement may be executed in two or


more counterparts, each of which shall be deemed an original, but all of which, taken
together, shall constitute and be deemed to constitute one and the same instrument .
