This is with reference to the your above captioned offer, subsequent discussion for supply of "Pressure Safety Valve" for
Chhara LNG Connectivity Pipeline Project (hereinafter referred to as “Project”) awarded to Ace Pipeline - LC Infra
Consortium by Gujarat State Petronet Ltd. (hereinafter referred to as “GSPL” or “Owner”). We, Ace Pipeline Contracts
(P) Ltd., on behalf of Ace Pipeline - LC Infra Consortium (herein after referred to as “EPC Contractor”) are pleased to
place this Purchase Order upon Ratnamani Metals and Tube Ltd (hereinafter referred to as "Ratnamani" or "Vendor") for
the supply of Long Radius Bend in conformance to tender specifications / datasheets /quality assurance plan drawn for
GSPL for the above said project by Larsen & Toubro Limited which has been appointed as the Owners Engineer (OE) to
GSPL for this Project. as per Terms and Conditions specified below.

The detailed scope, prices and other terms and conditions governing this Purchase Order are as below:

1.Conformance to Project Specifications

Items for supply under this Purchase Order shall be strictly in accordance with project. Specifications and requirements
stipulated by the PMC including but not limited to:

•Standard Specification No 6-71-0021 Rev 5

•ITP 6-81-0088 Rev 3

You shall submit Quality Assurance Plan (QAP), Cutting plan & Procedure for hot induction bends within 03 days of
placement of this Purchase Order for onward approval of Client /Owner.

2. Scope of work

•Bare pipes shall be supplied as FIM along with test certificates at your manufacturing unit at Bhimsar (without any
defects)

•Un loading of pipes by RTML crane / Forklift

•Inspection of pipes by RTML QA-QC Personnel
•Fabrication of bends shall be as per GAIL/ EIL specification
•Price quoted are Ex-works Bhimsar ( Anjar ) Gujrat.
•Quantity Variation shall be mutually agreed
•Storage or dump yard management cost is not considered. The storage of bends will not be charged.

3. Inspection :

a) All bends shall be subject to stage wise Third-Party Inspection (TPI) by Main Contractor appointed Third Party
Inspection agency in accordance with approved Quality Assurance Plan approved by Owner. For this project we have
appointed M/s. TUV Sud as TPI Agency which shall be confirmed once again before inspection. Cost of TPI shall be borne
by Ace Pipeline Contracts Pvt. Limited.

b)A call for inspection shall be placed on us at least 7 Days prior to inspection stage as per approved QAP. This inspection
call shall be by an email to purchase@aceenergy.in and accompanied by details of items to be inspected, activity to be
performed, location, date and time.

c)The inspectors / engineers from TPI Agency shall be provided unrestricted access, at all times while work on this
purchase order is being performed, to all parts of the manufacturer’s works that will concern the manufacture of the
valves ordered. Further facilities such as testing laboratories with tools, tackles, instruments shall be made available to
inspectors / engineers from TPI Agencies so that inspection can be carried out to their satisfaction.

d)Material shall be made ready for dispatch only after issuance of Inspection Release Note by TPIA.

4.Delivery Schedule
The Supplier shall make delivery of all bends under this Purchase Order within 8-10 weeks after receipt & acceptance of
mother pipes & approval of documents.

5. Documents :
The following documents shall be submitted before dispatch.

1.100% of invoice in original for buyer

2.GR/LR.
3.Packing list in 3 copies before dispatch
4.Material Test certificates and Third-Party Inspection Release Note should be provided with the material. (2 copies + 1-
Electronic Copy).

All the documents shall have following template:

6. Warranty
Warranty of LR Bends against any manufacturing defects or faulty workmanship for the period of 18 months from the
date of dispatch or 12 months from the date commissioning whichever is earlier. Any claim for visual defect shall be
submitted at the time of final inspection or at the time of loading of bends on trailer for dispatch.

8. Payment Terms
Payment for the materials shall be upon receipt of Tax Invoice and shall be made as follows:
100% shall be paid against Proforma Invoice on receipt of Inspection Release Note by TPIA & before dispatch of bends.

You shall furnish a GST invoice and enable us to obtain Input Credit of GST. In case such input credit is not available to us
we shall debit the same from your account.

9. Law and Dispute Resolution

It is hereby clarified that this Order shall be subject to and governed by and interpreted in accordance with the laws
prevailing in India and all disputes arising out of or in connection with this Order shall be settled as per the Laws
applicable in India and jurisdiction shall be the Courts of Mumbai.

10. Confidentiality
Both parties shall keep the conditions under this Purchase Order confidential, and shall not disclose it to any third party
unless it is necessary for ensuring compliance with applicable laws and to complete the statutory compliance in India.
