AFFIDAVIT OF UNDERTAKING

This Undertaking Agreement ("Agreement") is made between Agross Agri Trading

and the Bureau of Plant Industry-Plant Product Safety Services Division, a
governmental agency of the Philippines (hereinafter referred to as “BPI-
PPSSD").

The BPI-PPSSD is tasked with ensuring compliance with regulations pertaining

to plant products, including inspection of office space and warehouse.
Now, therefore, in consideration of the mutual covenants and agreements con-
tained herein, the parties hereby agree as follows:

1. Access to Premises: to allow BPI Personnel to conduct inspection of office

and warehouse

2. Time of Inspection: Inspections will happen during an agreed regular busi-

ness hours.

3. Cooperation: Agross Agri Trading will fully assist BPI-PPSSD during inspec-
tions, providing necessary information and access to records.

4. Confidentiality: The Company acknowledges that any information obtained by

the BPI-PPSSD personnel during the course of inspections shall be treated as
confidential and used solely for regulatory purposes.

5. Governing Law: This Agreement shall be governed by and construed in accor-

dance with the laws of the Philippines.
