1. General
The Project Company shall prepare and maintain records for the Project Assets and Kahramaa Facilities,
and shall supply information to Ashghal, at such a time and in a format specified by Ashghal. The
exhaustive list of required records and details shall be agreed with Ashghal.
The Ashghal to receive, review and approve the Reviewable Data defined in this Schedule 9 – Reporting
Requirements and any relevant explanatory documents.
In the event that Ashghal instructs the Project Company to undertake one or more Expansion Phases
pursuant to clause 7.2 of the Agreement, the Project Company shall comply with this Schedule 9 -
Reporting and Submission Requirements for each of the Expansion Phases as applicable.

1.1 Submittal Format


1.1.1 General Monitoring and Reporting Format
All programmes, programme reports, programme updates, recovery schedules logical network
diagrams, resource curves generated from schedules, data files, shall be submitted in three coloured sets
on size A3 and A0 sheets or as otherwise directed by Ashghal.
Hardcopy submittals shall be accompanied by one electronic copy via medium advised by Ashghal. The
electronic copies shall be in native forms (Primavera, .xer, ExcelTM, WordTM, etc) and as accepted by
Ashghal.
The above submission requirements are in addition to the requirements of loading all the required data
by the Project Company into the electronic document management system maintained by Ashghal.
1.1.2 Design and Drawing Submittal
Each design and drawing deliverable shall be a comprehensive package, addressing all of the requirements
specified.
All deliverables shall be submitted in both hard and soft copy as required by Ashghal. Soft copies of the
deliverables shall include one book-marked ‘pdf’ single document file of the same appearance as the hard
copy deliverable, fully referenced and searchable, together with all of the original format files.
Individual CAD files shall be used for each drawing, together with design and reference files where
required by the Qatar Sewerage and Drainage Design Manual (QSDDM), volume 6 CAD manual (Ashghal,
2005). All drawings shall be issued as clipped CAD files with all reference files merged into the master file
(i.e., one file for one drawing) and as ‘pdf’ files, with all drawing files (including design/reference files)
issued on CD / DVD ROM.
The Project Company shall submit all textual documents on CD / DVD in ‘pdf’ as well as word or excel or
any other format as per agreement with Ashghal. Paper and electronic copies of documents shall be
submitted, together with a register stating the document reference, date, title and data file name in a
format agreed with Ashghal.

2. Reviewable Data Relating to the Works

2.1 Submission Requirements


Table 1 defines the minimum Reviewable Data and requirements for the submission of that Reviewable
Data relating to the Project Assets and Kahramaa Facilities by the Project Company.
However, the Project Company shall agree the exhaustive list of the Reviewable Data with Ashghal.

2.2 Submission Details


The Project Company shall submit to Ashghal all the documents and reports stipulated in the Agreement
and Schedules. The following sections describe the minimum requirements of details to be included in
each submission, however Project Company shall agree with Ashghal on the exhaustive details that are
needed as part of the submission:
2.2.1 Design Management Plan
The Project Company shall provide Design Management Plan in accordance with requirements set out
in Schedule 2-Design and Construction Requirements and any other requirements stipulated elsewhere
in the Agreement and as agreed with Ashghal.
Minimum requirements shall include but not limited to:
 a list of design codes and standards to be used;
 basic design assumptions;
 methodology for detailed design;
 identification of any detailed surveys or site investigations required including ground investigation
addendum;
 identification of any physical or mathematical modelling required;
 materials selection;
 reliability and redundancy proposals;
 a detailed description of the Project Assets and Kahramaa Facilities and how Project Company shall
meet the objectives;
 a list of the design deliverables for submission to Ashghal;
 a detailed implementation program including a detailed design programme clearly indicating
approval stages;
 report on coordination and management modelling requirements
 Design plan for corrosion protection lining (CPL)
2.2.2 Detailed Project Report
The Project Company shall produce a Detailed Project Report to include design calculation, drawings in
accordance with requirements set out in this Schedule 9 Reporting and Submission Requirements. The
content of the Detailed Project Report shall be agreed with Ashghal.
This shall include but not limited to:
 site investigation reports
 geotechnical reports
 design calculations
 process calculation
 hydraulic flow diagrams
 process and instrumentation diagrams
 civil discipline designs and drawings
 mechanical discipline designs and drawings
 electrical discipline designs and drawings
 instrumentation designs and drawings
 equipment design and schedule
 all detailed modeling reports in accordance with requirements set out in Schedule 2-Design and
Construction Requirements; such as hydraulic CFD modelling, physical modelling, dispersion
odour modelling, septicity modelling of TPS and.
 The Project Company shall provide all the design documents stated in the Schedule 2 Design and
Construction Requirements.
 a HAZOP Study report.

2.2.3 Construction Plan


The Project Company shall develop, maintain and comply with a Construction Plan in accordance with
this Schedule 9 – Reporting and Submission Requirements.
The Construction Plan shall include as a minimum the following:
 Construction Programme;
 Contingency Plan for Construction Period;
 Quality Management Plan;
 Environmental Management Plan;
 Health and Safety Management Plan; and
 Traffic Management Plan.
Each plan that forms part of the Construction Plan shall:
 describe how the Project Company plans to deliver the Project Assets and Kahramaa Facilities
demonstrating a clear critical path for bringing the Project Assets and Kahramaa Facilities into
commercial operation by the scheduled Project Commercial Operation Date;
 outline the order and timing of the major operations including key dates and major activities such
as submission and review of Reviewable Data; temporary works; procurement of equipment;
construction; and Acceptance Testing in accordance with Schedule 3 – Acceptance and Availability
Test Requirements;
 be sufficiently detailed to enable an experienced third party, who does not have prior knowledge of
the Project, to take over the Project Assets and Kahramaa Facilities without undue delay or
disruption;
 describe communications strategy and procedures for interfacing between all parties and covering
inter alia: parties within Ashghal; the interfaces between designers, constructors and operators,
and other relevant Competent Authority and utilities;
 describe reporting procedures; and
 describe use of IT and software.
The Construction Plan shall include information on the parties undertaking each component of the
Project Assets, including:
 team structure and management;
 employment of contractors;
 named persons responsible for health and safety with contact details; and
 details of responsible persons for each site at daytime and out of hours contact details.
In addition to the general requirements, the Construction Plan shall include, as a minimum:
 overview of Project Assets and Kahramaa Facilities to be constructed;
 outline and detail construction procedures for Project Site clearance, demolition of unused
structures, if required for the purposes of the Project, and the main construction and installation
activities;
 indicative Inspection and Test Plan;
 quality control and reports preparation that will be applied to ensure quality of workmanship and
to ensure that the requirements of the Agreement have been met;
 security arrangements during Construction Period;
 periods when the Project Company will be undertaking any activity in relation to provision of the
Project Assets and Kahramaa Facilities which can impact Ashghal’s ability to continue normal
operations, and how normal operations shall be maintained;
 a plan for managing public relations; and
 any further land requirements deemed necessary by the Project Company.

2.2.4 Construction Programme


Any amendments to the Construction Programme shall be implemented in accordance with the
requirements of Agreement.
The Construction Programme shall include, as a minimum:
 all project milestones, including the
a. closing date;
b. Date for installing the Metering and Monitoring System, as required pursuant to Clause
11.1 to the Agreement;
c. scheduled Project Commercial Operation Date; Agreement.
 the date when the Project Company plans to achieve all the requirements relating to each Project
Milestone;
 a clear critical path for each project milestones; and
 the order and timing of the major activities forming part of the Project Company's design and
construction as well as Acceptance Testing of the Project Assets and Kahramaa Facilities through
to the Project Commercial Operation Date.
Major activities which the Project Company shall include in the Construction Programme include:
 details of design activities and durations;
 details of construction of temporary facilities;
 details of equipment procurement; and
 construction details, including:
o the date of starting work on the Project Site and on each principal element of the work on the
Project Site, together with the major components of these items;
o the period during which the permanent buildings will be established on the Project Site;
o the start and finish date for the installation of the key equipment for each of the Project Assets
and Kahramaa Facilities, to the extent applicable;
o all necessary permits and Approvals including the date when each is required;
o details of Acceptance Tests, as set out in Schedule 3 – Acceptance and Availability Test
Requirements, including periods during which each aspect of Acceptance Testing will be
carried out (including inspection, pre-commissioning, Commissioning, and Commercial
Operation Tests); and
o plans for the rectification of defects; and details of any decommissioning and demolition of
redundant facilities

The Construction Programme shall be:


 provided in the form of a logic-linked Gantt chart;
 updated as required; and
 developed using software that can be read by the current and immediately previous versions of
industry standard planning software.

Each updated Construction Programme shall also include, as a minimum:


 the original baseline start and finish dates for each activity;
 the actual progress achieved on each activity;
 the current start and finish dates for each activity;
 its effect on the timing of remaining work; and
 how the Project Company plans to deal with any delays.

2.2.5 Contingency Plan for Construction Period


The Project Company shall prepare a Contingency Plan for construction period to cover the period until

Project Commercial Operation Date for Project Assets and Kahramaa Facilities. The Contingency Plan
for construction period shall include a plan of how the Project Company shall inform Ashghal of
emergencies.
The Contingency Plan for construction period shall set out detailed procedures, allocation of resources
and personnel to manage such incidents or events that have or may present the potential to significantly
affect the activities or personnel of Ashghal or the Project Company, the public or the environment.
2.2.6 Quality Management Plan – Construction (including certification of the Quality
Management System)
The Quality Management Plan shall set out the policies, guidelines and procedures to be followed by the
Project Company in undertaking the Project and shall be in accordance with required Approvals, and
Good Utility Practices.

The Quality Management Plan shall as a minimum:

 be structured so as to address issues related to the Project Assets;


 detail all activities in each of the stages of the construction period; and
 identify the individuals responsible for these activities.
2.2.7 Environmental Management Plan - Construction (including certification of the
Environmental Management System)
The Environmental Management Plan shall set out the policies, guidelines and procedures to be followed
by the Project Company in undertaking the Project and shall be in accordance with the requirements of
environmental management for Construction set out in Part 5, Environmental Requirements, Schedule
2 Design and Construction Requirements, applicable Laws, Approvals, Good Utility Practices and any
obligations set out elsewhere in the Agreement. The Environmental Management Plan shall as a
minimum:

 be structured so as to address issues related to the construction of the Project Assets;


 detail all activities in each of the stages of the construction period; and
 identify the individuals responsible for these activities.
 Environmental Management System certification by recognised organization
 Any plans that are needed by other Competent Authorities such as construction Environmental
Management Plan (CEMP), construction waste management plan (CWMP), environmental social
impact assessment (ESIA) dewatering permit and any other permits.
2.2.8 Health and Safety Management Plan - Construction (including certification of the
H&S Management System)
The Health and Safety Management Plan shall set out the policies, guidelines and procedures to be
followed by the Project Company in undertaking the Project and shall be in accordance with the
requirements of Health and Safety Management for Construction as per QCS 2014, applicable Laws,
Approvals, and Good Utility Practices. The Health and Safety Management Plan shall as a minimum:
 be structured so as to address issues related to the Project Assets;
 detail all activities in each of the stages of the construction period; and
 identify the individuals responsible for these activities.
2.2.9 Traffic Management Plan – Construction
The Project Company shall submit a Traffic Management Plan for the Project Site for the duration of the
Construction. The Traffic Management Plan shall include, but not be limited to, the following details:

(i) mitigation measures preventing any accidents to personnel working on the Project Site
and any other persons that may be affected by construction activities,

(ii) mitigation measures preventing disturbance to the following as a minimum: Third


Parties, construction of other components of the Project Assets and Kahramaa Facilities.

For the avoidance of doubt, the Project Company shall obtain any necessary approvals from relevant
authorities for road closures or diversions and provide appropriate traffic control or diversion signs if
needed.
2.2.10 HAZOP and CHAZOP Study Reports
2.2.10.1 HAZOP Study Report
The HAZOP study shall be carried out in accordance with the requirements set out in Schedule 2 design
and Construction Requirements and Good Utility Practice.

Project Company shall prepare and submit a HAZOP Study Report in the agreed format and content
with Ashghal. The Report shall minimum contain the study methodologies, recommendations suggested
by different parties and final list of recommendations that are implemented and considered for
implementation.

2.2.10.2 CHAZOP Study Report


The CHAZOP study shall be carried out in accordance with the requirements set out in Schedule 2 design
and Construction Requirements and Good Utility Practice.

Project Company shall prepare and submit a CHAZOP Study Report in the agreed format and content
with Ashghal. The Report shall minimum contain the study methodologies, recommendations suggested
by different parties and final list of recommendations that are implemented and considered for
implementation.
2.2.11 Construction Drawings
The Construction Drawings shall include but not limited to the following:
 site boundary and layout drawings;
 general arrangement drawings;
 hydraulic profiles;
 process and instrumentation diagrams;
 process flow diagrams and mass balance;
 structural detail drawings;
 architectural and building detail drawings;
 mechanical and electrical equipment installation drawings;
 piping drawings;
 site services and ducting drawings;
 electrical single line diagrams;
 map of pipeline and approved traffic access; and
 any other drawings or diagrams necessary for Construction.
The drawings shall be both digital and paper to suitable scales and shall include appropriate narrative
in accordance with international standards. All drawings shall follow the International System of units
(SI) with all measurements and dimensions quoted in SI units.

The Project Company shall keep a register of all construction drawings and shall ensure that the register
is complete and up-to-date at all times including the latest revision of all drawings. The drawings
register shall be laid out in a systematic and logical manner to facilitate the identification of drawings.

2.2.12 Construction Reports


The monthly Construction Reports in a format agreed with Ashghal shall be prepared by the Project
Company and submitted to Ashghal in one (1) original and five (5) copies. The reporting period shall be
to the end of the relevant calendar month.

Each report shall:


 provide Ashghal with information reasonably required to assess the progress of the construction
and Accepting Testing of the Project Assets; and
 highlight current and potential future issues that may hinder progress.

Each report shall include, as a minimum:


 charts and detailed descriptions of progress (a progress update), including each stage of design,
Project Company’s documents, procurement, manufacture, delivery to Project Site, construction or
replacement, erection, testing, commissioning, and trial operation. The progress update shall
include:
o reference to the up-to-date Construction Programme;
o progress against project milestones as specified in section 2.24 of this Schedule 9 – Reporting
and Submission Requirements;
o an update on the submission;
o progress in obtaining all necessary approvals or permits;
 photographs showing the status of manufacture or replacement and of progress on the Project Site;
 for the manufacture or replacement of each Major Equipment, the name of the manufacturer,
manufacture location, percentage progress, and the actual or expected dates of:
o commencement of manufacture,
o Project Company’s inspections,
o tests, and
o shipment and arrival at the Project Site;
 reports of Site Acceptance Tests, prepared pursuant to section 2.4 of Schedule 3 – Availability and
Acceptance Testing;
 safety statistics, including details of any hazardous incidents and activities relating to
environmental aspects and public relations;
 comparisons of actual and planned progress, with details of any events or circumstances which may
jeopardise the completion in accordance with the Agreement, and the measures being (or to be)
adopted to overcome delays; and
 labour resource data including a histogram of the actual and projected workforce on the Project
Site.
2.2.13 Progress Meeting Minutes
Minutes of each meeting shall be prepared in a format agreed with Ashghal and issued to Ashghal within
seven (7) days of the date of the meeting.
2.2.14 Visual records of Construction progress
As part of the monthly reporting, the Project Company shall supply digital photographs in electronic
format of such parts of the construction works in progress and completed.

The digital photographs shall be clear and shall not be retouched. The photographs shall not be supplied
to any third parties without the written permission of Ashghal.

The Project Company shall submit the photographs pursuant to requirements set out in section 5.16,
Part 1 Project Overview and Design Requirements, Schedule 2 Design and Constructions Requirements.

2.2.15 As-Built Drawings & As-Built Drawings Register


The Project Company shall revise and update As-Built Drawings and As-Built Drawings Register as per
the requirements set out in section 5.17, Part 1 - Project Overview and Design Requirements, Schedule
2 Design and Constructions Requirements.
2.2.16 Inspection and Testing Plan
The Inspection and Testing Plan shall have various subsidiary plans as listed below or as agreed with
Ashghal.

 Inspections
 Pre-Commissioning Plan
 Commissioning Plan
 Commercial Operation Testing Plan

The submission of the subsidiary plans shall comply with the requirements set out in Schedule 3 –
Testing and Commissioning Requirements and Schedule 7 – Metering and Monitoring Requirements.
The Inspection and Testing Plan shall provide a comprehensive explanation of how the Project Company
will organize the inspection, pre-commissioning, Commissioning and Commercial Operation Testing of
the Project Assets and Kahramaa Facilities in accordance with Schedule 3 - Availability and Acceptance
Tests Requirements and Schedule 7 – Metering and Monitoring Requirements.

In addition to the general requirements, the Inspection and Testing Plan shall include, as a minimum:

 description of inspection activities;


 description of the pre-commissioning activities;
 description of Commissioning activities;
 description of Commercial Operation Testing activities
 factory acceptance test activities
 site acceptance activities
 details of how and where measurements will be taken;
 clear explanations of how the constraints on testing and Commissioning are to be managed;
 arrangements for obtaining any permits required by the relevant Competent Authorities;
 a summary of any temporary or permanent facilities to be provided;
 arrangements for operating and maintaining the Project Assets during testing and commissioning;
 arrangements for the provision of electricity, chemicals, reagents, and all other consumables;
 arrangements for the procurement of water for tests;
 arrangements for the disposal of by-products of from Acceptance Testing; and
 training of personnel.
2.2.17 Acceptance Test Reports
2.2.17.1 Pre – Commissioning Report
Upon completion of pre-commissioning, the Project Company shall submit a Pre-Commissioning
Report to demonstrate that the requirements for pre-commissioning have been met. The content of the
Pre-Commissioning Report shall be agreed between the Project Company and Ashghal, however
minimum requirements may contain the following but not limited to below requirements.

 Inspection and Test Plan showing all work required under the dry tests and wet tests have been
completed and the associated results;
 All non-complying points and limitations arising from inspections and tests;
 All formal commitments that are required from the suppliers and subcontractor(s) to rectify faults
found during the pre-commissioning;
 Proof of compliance with statutory and regulatory requirements; and

 Calibration certificates for equipment or instruments used for testing


 plant operating peculiarities and observations; and
 all recorded data taken during each stage of Commissioning.
2.2.17.2 Commissioning Report
After completion of Commissioning, the Project Company shall submit a Commissioning Report to
demonstrate that the requirements for Commissioning have been met. The content of the
Commissioning Report shall be agreed between the Project Company and Ashghal. The Commissioning
Report shall, as a minimum contain the following.

 Step by step chronological findings and incidents from the commencement to end of
Commissioning
 Inspection and Test Plan showing all work required under Commissioning has been completed and
the associated results, including flows, pollutant loads, chemical and power consumption;
 All non-compliance events and limitations arising from Commissioning
 Proof of compliance with statutory and regulatory requirements;
 Calibration certificates for equipment or instruments used for testing
 Plant operating peculiarities and observations and
 All recorded data taken during each stage of Commissioning.
All relevant information and experiences gained during these tests, including readings such as flow,
effluent quality, noise, odour, vibration, power consumption, shall be integrated into project documents
including operation and maintenance manuals, As-built drawings, P&I Diagrams, etc.

2.2.17.3 Commercial Operation Test Report


During the Commercial Operation Testing Period, the Project Company shall provide weekly test reports
to Ashghal.
The weekly test reports shall include test results, a log of alarms and any equipment failures.

Upon completion of the Commercial Operation Testing, the Project Company shall prepare separate
Commercial Operation Test Report for Project Assets and Kahramaa Facilities describing and
documenting each test.

The report shall include at a minimum the following but not limited to the information below:
 A certification stating that Commercial Operation Testing was conducted in accordance with the
Commercial Operation Test Plan.
 Results of each performance test including a determination of the extent to which the Project Assets
and Kahramaa Assets comply with the Commercial Operation Testing, the Guaranteed Output
Performance Requirements and all other requirements under the Agreement.
 Summary of the performance of the Project Assets and Kahramaa Facilities clearly showing the
required Guaranteed Output Performance Requirements and actual performance flows, chemical
and power consumption history of the Commercial Operation Testing, i.e. chronological diary of
findings and incidents including:
o logs of alarms and operator attendance;
o operating peculiarities and observations;
o results of any statutory testing and inspection; and
o modifications to the process operation.
 All required data measured and recorded during the Commercial Operation Testing including all
laboratory analyses, chemical consumption, instrument calibrations, pressures and other
measurements. Copies of data sheets, log sheets, calculations, laboratory reports and test sheets
shall be provided.

 Summary of performance of each component under Kahramaa Facilities and their compliance with
agreed performance requirements along with evidence of acceptance of such tests from Kahramaa
personnel shall be performed.
 All necessary certifications relating to testing, evaluation, analyses and performance.
 Record of all equipment failures, repairs and preventative maintenance.
 Summary of all data and calculations demonstrating the ability of the Shared Facilities and STW
Facilities to meet the Guaranteed Output Performance Requirements
 Any additional data reasonably requested by Ashghal to be included in such report.

2.2.18 Availability Test Reports


2.2.18.1 Asset Inspection Survey Report

After completion of Asset Inspection Survey, the Project Company shall submit to Ashghal a report
summarising the observation and results of the Asset Inspection Survey, including all information
reasonably necessary to evaluate the applicable results pursuant to the requirements set out in section
6.4.1, Schedule 3 – Acceptance and Availability Test Requirements.

2.2.18.2 Availability Performance Test Report


After completion of Availability Performance Tests, the Project Company shall submit to Ashghal a
written report summarising the observation and results of the Availability Performance Tests, including
all information reasonably necessary to evaluate the applicable results pursuant to the requirements set
out in section 6.4.2 Schedule 3 – Acceptance and Availability Test Requirements.

3.2 Submission Details


The following sections describe the minimum requirements of details to be included in each submission,
however Project Company shall agree with Ashghal on the exhaustive details that are needed as part of the
submission

3.2.1 Operation and Maintenance Plan


The Operation and Maintenance Plan, which shall be implemented pursuant to section 2.1 of Schedule 4 –
Service Requirements and the Agreement shall include, as a minimum:
 Asset Management Plan (including a detailed Asset Register)
 Disposal Management Plan;
 Odour Management Plan;
 Availability Testing Plan
 Operation and maintenance requirements (including operation and maintenance manuals);
 Contingency Plan;
 Staffing Plan;
 Quality Management Plan;
 Environmental and Social Management Plan;
 Health and Safety Management Plan; and
 Traffic Management Plan (services).
Each plan that forms part of the Operation and Maintenance Plan shall:
 be structured so as to cover the Services at the Project Assets;
 be consistent with Good Utility Practices;
 be sufficiently detailed to enable an experienced operator, who does not have previous knowledge of the
assets, to take over the delivery of the Services without undue delay or disruption; and
 be consistent with Guaranteed Output Performance Requirements at Schedule 6 where applicable.
Each plan that forms part of the Operation and Maintenance Plan shall include, as a minimum:
 the relationship between that particular plan and other plans maintained by the Project Company and
the management systems;
 parties contributing to and affected by the activities covered by the Operation and Maintenance Plan;
 employment of contractors;
 team structure and management;
 named persons responsible for health and safety with contact details;
 details of responsible persons for the Project Site and day-time and out of hours contact details;
 communications strategy and procedures for interfacing between all parties and covering inter alia:
parties within Ashghal, the interfaces between designers, constructors and operators, other Competent
Authorities, third parties, and utilities;
 reporting procedures;

 use of IT and software;


 strategy and procedures to comply with health and safety requirements in accordance with Good Utility
Practice;
 strategy and procedures for ensuring the minimisation of environmental impact;
 quality procedures including checking and approval, document management and control, change
control;
 the numbers of key human resources; and
 any additional requirements specific to the particular plan as set out in the following sections.
3.2.2 Asset Management Plan
The Asset Management Plan shall demonstrate compliance with requirements of Asset Management Service
set out in section 2.3 of Schedule 4 - Services Requirements.
The Asset Management Plan shall include, as a minimum:
 a detailed Asset Register;
 a regime of inspection, assessment, maintenance and renewal of assets based on the condition and
performance of individual assets and their criticality to the delivery of the Services;
 a methodology for forecasting the levels of investment in systems, processes and resources to provide
the Services;
 detailed costing of maintenance and renewal activities;
 the development of inspection, assessment, maintenance and renewal regimes and capital works to meet
the requirements of the Agreement;
 the planned and actual investment profile showing investment by year;
 asset modelling techniques to determine asset usage to deliver the optimum whole life solution; and
 development of optimum operating requirements to integrate the delivery of maintenance and renewal
activity to minimise operational disruption.
3.2.3 Asset Register
The Asset Register shall be a comprehensive database containing details of all the assets used by the Project
Company to deliver the Services. As a minimum the Asset Register shall include but not limited to the
following:
 fixed assets;
 moveable plant and equipment;
 consumables;
 spares; and
 chemicals.
3.2.4 Disposal Management Plan
The Disposal Management Plan shall detail the planned delivery of Disposal Management Service in
compliance with requirements set out in clause 2.4 of Schedule 4 - Services Requirements and Schedule 6 -
Guaranteed Output Performance Specification.

3.2.5 Odour Management Plan


The Odour Management Plan shall detail the planned delivery of odour management Service in compliance
with requirements set out in clause 2.5 of Schedule 4 - Services Requirements. clause 6.3 of Schedule 3 –
Availability and Acceptance Requirements.
3.2.6 Availability Testing Plan
The Availability Testing Plan shall detail the planned Availability Test schedule in compliance with
requirements set out in clause 6.3 of Schedule 3 – Availability and Acceptance Requirements.
3.2.7 Operation and Maintenance Requirements and Manuals
The operation and maintenance requirements shall detail the Project Company’s procedures for operating
and maintaining the Project Assets.
The operation and maintenance requirements shall include, as a minimum:
 the Project Site and its national grid references;
 brief description of the assets at the Project Assets;
 generic list of routine operations and maintenance tasks and frequency thereof at the Project Assets;
 procedures for logging of routine operations and maintenance and notifying when exceptional
maintenance is required;
 procedures for updating operation and maintenance manuals;
 procedures for reporting incidents to Ashghal;
 mechanisms and procedures for reporting breakdowns and faults, both during and outside of normal
working hours. These shall include response procedures to be employed for deployment of maintenance
personnel;
 procedures to ensure that the operation of the assets is maintained whilst repair/maintenance is being
undertaken;
 details of security procedures;
 details of training of personnel; and
 details of how other requirements of the Agreement are to be complied with.
The operation and maintenance manual shall include, as a minimum:
 a description of the assets that make up the Project Assets;
 general arrangement, schematic and process and instrumentation diagrams;
 general day to day operation and maintenance activities;
 weekly, monthly and other routine maintenance schedules;
 list of confined spaces and working procedures in those spaces;
 details of spare parts consumed/replaced with reason and date;
 stock of spare parts and where located;
 documented local procedures for controlling incidents and events in accordance with the Contingency
Plan;
 manufacturer's plant and equipment manuals;

 a list of consumables, including chemicals, to be used by the Project Assets; and


 log of routine maintenance and exception reports.
3.2.8 Scheduled Maintenance Programme
The Scheduled Maintenance Programme shall include all scheduled maintenance activities in compliance
with Schedule 4 - Services Requirements.
3.2.9 Capital Maintenance Programme
The Capital Maintenance Programme shall include all capital maintenance activities in compliance with
section 2.7 of Schedule 4 - Services Requirements.
3.2.10 Contingency Plan
In developing and maintaining the Contingency Plan, the Project Company shall consult and coordinate to
such extent as may be necessary with Ashghal, other Competent Authorities and any other bodies likely to
be involved in handling any Contingency Event, so as to ensure that the Contingency Plan is complementary
to and coordinated with the activities carried out by the relevant bodies as a result of a Contingency Event.
The Contingency Plan shall:
 set out detailed procedures which are to apply in relation to the management and control of any incident
or event that may occur and that has the potential to adversely affect the operation of the Project Assets
or the provision of the Services or the operations or activities of Ashghal;
 be able to interface directly with Ashghal’s own major incident plan (if any); and
 be fully consistent with the Operation and Maintenance Plan and fully integrated into the Quality
Management System.
The Contingency Plan shall include, as a minimum:
 procedures for early identification, recognition and categorisation of potential Contingency Events;
 procedures for reporting and communicating internally and to Ashghal and informing other affected
parties and advising those affected parties of any precautions and/or measures to be taken to deal with
the effects of the Contingency Event, having regard to the nature of the event, the type of asset affected,
the number of people or premises affected and the operations of Ashghal or other persons affected;
 the roles and responsibilities of the Project Company’s personnel in dealing with any Contingency
Events;
 guidance to the Project Company’s personnel on actions to be taken to minimise the impact of a
Contingency Event;
 contact details of all relevant bodies;
 details of how Contingency Events will be controlled or managed, including a schedule of intended
response times from a call out notice being posted;
 the equipment proposed to be used to respond to each type of Contingency Event;
 the training of personnel to respond to Contingency Events, including general guidance notes and
details of, and a programme for, seminars, exercises and simulations;
 a mechanism for testing the continued effectiveness of the Contingency Plan;
 details of strategically stored stockpiles of sufficient types and quantities of equipment and materials,
including pumps, tanks, hoses and chemicals, to deal with any Contingency Events;
 details of analytical services, dissemination of information and other back up services;

 details of security work to be carried out on vital installations and protection and surveillance on other
installations or facilities; and
 details of suitably equipped permanent or mobile accommodation to act as command and control
centres.
The Project Company shall review and update the Contingency Plan on an annual basis on the anniversary
of the Project Commercial Operation Date.
3.2.11 Staffing Plan
The Staffing Plan shall demonstrate that the operators and maintenance personnel for the Services are in
sufficient number and are appropriately qualified, skilled and experienced in their respective trades or
occupations to perform the Services and fulfil the requirements of Project Company’s staffing as set out in
section 2.9 of Schedule 4 - Services Requirements.
3.2.12 Quality Management Plan – Services (including certification of the Quality Management
System)
The Quality Management Plan shall set out the policies, guidelines and procedures to be followed by the
Project Company in undertaking the Project and shall be in accordance with the requirements of quality
management set out in section 2.10.2 of Schedule 4 - Services Requirements, applicable Laws, Approvals,
and Good Utility Practice.
The Quality Management Plan shall as a minimum:
 be structured so as to address issues related to the Project Assets;
 detail all activities in each of the stages of the O&M Period; and
 identify the individuals responsible for these activities.
 include a Certification of Quality Management System
3.2.13 Environmental Management Plan - Services (including certification of the Environmental
Management System)
The Environmental Management Plan shall set out the policies, guidelines and procedures to be followed by
the Project Company in undertaking the Project and shall be in accordance with the requirements of
Environmental Management set out in section 2.10.3 of Schedule 4 - Services Requirements, applicable
Laws, Approvals, and Good Utility Practices. The Environmental Management Plan shall as a minimum:
 be structured so as to address issues related to the Project Assets;
 detail all activities in each of the stages of the Commercial Operation Period;
 identify the individuals responsible for these activities; and
 preparation of operational Environmental Management Plan (OEMP) in line with the requirements set
out in Section 1.10, Part 5 Environmental Requirements, Schedule 2 Design and Construction
Requirements and also based on compliance with MME requirements
 include a certification of Environmental Management System by a recognised organization
3.2.14 Health and Safety Management Plan - Services (including certification of the H&S
Management System)
The Health and Safety Management Plan shall set out the policies, guidelines and procedures to be followed
by the Project Company in undertaking the Project and shall be in accordance with the requirements of
Health and Safety Management set out in Schedule 4 - Services Requirements, applicable Laws, Approvals,
and Good Utility Practices. The Health and Safety Management Plan shall as a minimum:

 be structured so as to address issues related to the Project Assets;


 detail all activities in each of the stages of the Commercial Operation Period; and
 identify the individuals responsible for these activities.
 include a Certification of Health and Safety Management System from a recognized organization
3.2.15 Traffic Management Plan – Services
The Project Company shall submit a Traffic Management Plan for the Project Site during of the Commercial
Operation Period. The Traffic Management Plan shall include, but not be limited to, the following details:

(i) mitigation measures preventing any accidents to personnel working in the Project and any
other persons that may be affected by operations and maintenance activities,

(ii) mitigation measures preventing disturbance to the following as a minimum: third parties, and
operation of any components of the Project Assets required to achieve Guaranteed Output
Performance Requirements during the Commercial Operation Period

For the avoidance of doubt, the Project Company shall obtain any necessary approvals from relevant
authorities for road closures or diversions and provide appropriate traffic control or diversion signs if needed.
3.2.16 GOPR Adherence Reports
The Guaranteed Output Performance Requirements (GOPR) Adherence Report shall detail measurement of
the Project Company’s performance within the corresponding reporting period against each requirement
defined in Schedule 6 - Guaranteed Output Performance Specification. The frequency, format and details
shall be agreed with Ashghal.
3.2.17 Daily, Monthly and Quarterly Reporting Requirements
3.2.17.1 Daily Operating Reports

The daily operating reports should include the results of the daily online metering, monitoring and testing
as per the requirements set out in Schedule 7 Metering and Monitoring Requirements and as set out in any
other Schedules.

Further the Daily Operating Reports shall also stipulate details related to failed output from any of the Project
Assets such as listed below;

 the daily quantity and quality of TSE that does not comply with quality requirements stipulated
Schedule 6 - Guaranteed Output Performance Requirements,
 the daily quantity and quality of by Products that does not comply with the requirements stipulated
Schedule 6 - Guaranteed Output Performance Requirements,
 the daily quantity of Shared Facility Output that fails the Shared Facility Output performance
requirements
 any other details required to be included as may be agreed with Ashghal

The Project Company shall also provide Daily Availability Reports on a Daily basis in accordance with
requirements stipulated in section 1.5, Schedule 7 Metering and Monitoring Requirements.

3.2.17.2 Monthly Operating Reports


Each Monthly Operating Report shall provide Ashghal with information reasonably required to assess the
adequacy of the delivery of the Services and be structured to cover the Commercial Operation Period as a
whole.
Each Monthly Operating Report shall:
 include all information required to substantiate the support information to be provided with invoices as
set out in clause 10.2 of the Agreement and Schedule 12 – Invoicing and Payment Procedure;
 include a summary in tabular and graphical format of the payment deductions made in previous months
since the Project Commercial Operation Date;
 include information in the GOPR Adherence Report, as set out in this Schedule 9 – Reporting and
Submission Requirements at section 3.2.15, reporting on compliance with the Guaranteed Output
Performance Requirements set out in Schedule 6 of the Agreement and any failure to meet the same.
 other information as set out below and in Schedule 4 - Services Requirements; and
 information relating to payment deductions as per the requirements set out in Schedule 11 Payment
Mechanism
The information regarding payment deductions shall include, as a minimum:
 a summary of the failure events;
 for each failure event an explanation of the cause; the start time, end time and duration in hours; and
how it was, or is being, brought to an end; and
 the process for preventing recurrence in the future.
The other information shall include, as a minimum:
 any material development in relation to the operation or maintenance of the Project Assets, in particular
details of any emergency;
 major maintenance and renewals including activities in the period; and details of any routine or
unscheduled maintenance outages;
 reference to any material changes to any of the plans required in this Schedule 9 – Reporting and
Submission Requirements;
 personnel and resources, including any changes in personnel;
 public health declaration register, prepared in accordance with section 3.2.17 of this Schedule 9;
 health and safety (including procedure for medical safeguards, accident records, and any safety audits
carried out by the Project Company during the operating month);
 changes in legislation, actual or anticipated;
 environmental or public relations issues (including any spillage of fuel, chemicals and of any other
incident which could result in pollution to the environment); and
 any other relevant issues.

3.2.17.3 Financial and Legal Reporting Requirements


Project Company must provide quarterly financial statements (including cash flow statement, income
statement and balance sheet) to Ashghal at the end of every quarter during the Term. Along with its quarterly
financial statements, the Project Company shall provide a certification that no regulatory, litigation or

arbitration proceedings relating to the Project have been commenced during the preceding reporting period
against the Project Company by any third-party or government agency, that it is in compliance with the
Project Company Undertakings at Clause 21.3 of the Agreement that it is in compliance with all applicable
Legal Requirements in accordance with Clauses 13.5 and 13.6, and that all Approvals required for the
operation of the Project Assets are valid and in effect. Ashghal reserves the right to add additional Legal and
Financial Reporting requirements as may be reasonably necessary to ensure Project Company's compliance
with the Agreement.
3.2.18 Public Health Declarations
All personnel employed by the Project Company, or any of the Project Company’s contractors, working in
contact with the Project Assets shall complete a public health declaration certificate confirming appropriate
medical clearance before the work commences. The Project Company shall maintain an up to date register
of personnel who have completed this declaration. The Project Company shall submit the register in the
Monthly Operating Reports. No employee of the Project Company or any of its contractors shall be permitted
to work at the Project Assets unless they have completed this health declaration certificate.
3.2.19 Procedure for medical safeguards
The Project Company shall develop a procedure for medical safeguards in line with applicable Laws and Good
Utility Practice and shall submit in the Monthly Operating Reports.
3.2.20 Results of each planned and unplanned inspection, calibration or test of the Monitoring
Device
The submission shall comply with the requirements set out in Schedule 7 – Metering and Monitoring
Requirements.
3.2.21 Results of on-line and periodic tests as per the Metering and Monitoring Systems
The submission shall comply with the requirements set out in Schedule 7 – Metering and Monitoring
Requirements.
3.2.22 Handback Transition Plan
The Handback Transition Plan shall comply with the requirements set out in Schedule 8 – Handback
Requirements.
3.2.23 Initial Handback Report
The Initial Handback Report shall comply with the requirements set out in section 2.3 of Schedule 8 –
Handback Requirements.
3.2.24 Final Handback Report
The Final Handback Report, if required, shall comply with the requirements set out in section 2.4 of Schedule
8 – Handback Requirements.
3.2.25 Handback Testing Report
The Handback Testing Report shall comply with the requirements set out in section 3.1 of Schedule 8 –
Handback Requirements.

4. Reviewable Procedures
The provisions of this section 4 (Review Procedure) (the "Review Procedure") shall apply whenever any
item, documents or course of action are required to be submitted to Ashghal for No Objection.

4.1 General
Each submission under the Review Procedure shall be accompanied by a copy of the document to be
reviewed (including, where applicable, any Reviewable Data) or a statement of the proposed course of
action (the entire contents of a submission being referred to in this section as a "Submitted Item").

In relation to each Submitted Item, the following procedure shall apply:

4.1.1 as soon as possible, and in any event within ten (10) Business Days of the date of Ashghal's
receipt of a Submitted Item, Ashghal shall return one (1) copy of the relevant submitted item to
the Project Company endorsed "No Objection" or "comments" as appropriate (subject to and in
accordance with this Review Procedure);
4.1.2 if Ashghal fails to return a copy of any Submitted Item (including any re-submitted Submitted
Item) duly endorsed in accordance with this section 4.1 within the time period required therefor,
Ashghal shall be deemed to have returned the submitted item to the Project Company endorsed
"No Objection";
4.1.3 if Ashghal raises comments on any Submitted Item in accordance with this section 4.1, Ashghal
shall state the ground upon which such comments are based and reasonable evidence or other
information reasonably necessary to substantiate that ground.

4.2 Grounds of Objection


Ashghal may return a Submitted Item to the Project Company endorsed "comments" as contemplated in
section 4.1.1 if:

4.2.1 the Submitted Item would, on the balance of probabilities:


4.2.1.1 breach any Law or violate the terms or conditions of any Approval;
4.2.1.2 adversely affect the Project Company's ability to perform its obligations under this
Agreement;
4.2.1.3 adversely affect any right of Ashghal under the Agreement or its ability to enforce
any such right or to perform its obligations under the Agreement;
4.2.1.4 adversely affect Ashghal' ability to carry out its statutory functions; or
4.2.1.5 increase Ashghal's liabilities or potential or contingent liabilities under the
Agreement; or
4.2.2 the Submitted Item is not in accordance with the requirements of the Agreement, Schedule 2
(Design and Construction Requirements), Schedule 4 (Service Requirements), Schedule 5
(Influent Quantity and Quality Parameters) or Schedule 6 (Guaranteed Output Performance
Requirements).

4.3 Effect of Review


Any Submitted Item which is returned or deemed to have been returned by Ashghal endorsed "No Objection"
may be complied with or implemented (as the case may be) by the Project Company, it being acknowledged
and agreed that "No Objection" does not convey Ashghal approval or acceptance of liability in any way with
respect to the content of the Submitted Item.

If Ashghal returns the Submitted Item to the Project Company endorsed "comments", the Project Company
shall comply with such Submitted Item after amendment in accordance with the comments unless the Project
Company disputes that any such comment is on grounds permitted by this Agreement. Any Dispute arising
with respect to any such Submitted Item that cannot be resolved pursuant to Clause 23.1 of the Agreement
shall be referred to the Independent Expert for resolution pursuant to Clause 23.2 of the Agreement.
