EQUIPMENT SHARING AGREEMENT

This Equipment / Device Sharing Agreement (the "Equipment Sharing Agreement") is made between [ONEDATA SOFTWARE SOLUTIONS INDIA
PVT LTD], a [TAMIL NADU] corporation with its principal place of business at [65, AA Arcade First Floor, Villankurichi Rd, Subramaniam Avenue,
Coimbatore 641035] (the "ONEDATA SOFTWARE SOLUTIONS INDIA PVT LTD"),
WHEREAS, the Employee desires to use the Equipment, subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
Equipment / Device Use: The Company hereby grants the Employee the right to use the Equipment for the purpose of [Testing & Development]
during the term of this Agreement.

Purpose: The Equipment is provided to the Employee for the sole purpose of performing their duties as an employee of the Company. The
Employee shall not use the Equipment for any other purpose without prior written approval from the Company.
Care and Maintenance: The Employee shall be responsible for the care and maintenance of the Equipment, including but not limited to keeping
the Equipment in good condition, protecting it from damage, and reporting any damage or malfunction to the Company immediately.
Return of Equipment: Upon the termination of the Employee's employment with the Company or upon the Company's request, the Employee
shall immediately return the Equipment to the Company in the same condition as it was when received, reasonable wear and tear excepted.
Loss or Damage: The Employee shall be liable for any loss or damage to the Equipment that occurs during the period of use. The Employee shall
be responsible for the repair or replacement of the Equipment, at the Company's option, if it is lost or damaged during the period of use.
Termination: This Agreement may be terminated by either party at any time upon written notice to the other party.
Condition of Equipment: The Employee acknowledges that the Equipment is in good condition and suitable for its intended use. The Employee
agrees to use the Equipment in a careful and proper manner and to return the Equipment in the same condition as when received, ordinary wear
and tear excepted.
Indemnification: The Employee shall indemnify and hold harmless the Company, its officers, directors, agents, and employees from any and all
claims, damages, or expenses arising out of the use of the Equipment by the Employee.
Liability: The Company shall not be liable to the Employee or any third party for any loss, damage, or injury arising out of the use of the
Equipment by the Employee.
Insurance: The Employee shall maintain liability insurance coverage during the term of this Agreement for any loss, damage, or injury arising out
of the use of the Equipment by the Employee.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of [insert state].
Entire Agreement: This Agreement constitutes the entire understanding of the parties with respect to the subject matter hereof and supersedes
all prior negotiations, understandings, and agreements between the parties.
Amendment: This Agreement may be amended or modified only by written instrument executed by both parties.
