CONTRACT OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Agreement made and entered into by and between:

JOEL R. GARCIA, of legal age, Filipino citizen, married, and a resident of Cauayan
City, Isabela, Philippines, hereinafter referred to as the "FIRST PARTY";

- and –

__________________________, of legal age, Filipino, single/married, and a resident of

______________________________, Isabela, Philippines, hereinafter referred to as the
"SECOND PARTY";

WITNESSETH That:

WHEREAS, the FIRST PARTY is the registered owner of parcels of land under
Transfer Certificate of Title No. 035-2022004176 and 035-2022004175 consisting of
an aggregate area of Thirteen Thousand Seven Hundred Eleven (13,711) square
meters, more or less;

NOW THEREFORE, for and in consideration of the foregoing premises, the FIRST and
SECOND PARTY agreed to the following:

TERMS AND CONDITIONS

1. PURPOSES: That the SECOND PARTY intends to buy the abovesaid property from
the FIRST PARTY;

2. TERM: The term of this Agreement shall be on a per Contract basis;

3. PERCENTAGE: The FIRST PARTY agreed to pay the SECOND PARTY at least Three
Percent (3%) of the bid amount;

4. PAYMENT: The SECOND PARTY shall pay the FIRST PARTY in cash or in check;

5. DEFAULT PAYMENT: In case of default, the FIRST PARTY has the right to forfeit
the payments made by the SECOND PARTY;

6. UTILIZATION OF PROPERTY: The SECOND PARTY may introduce improvements

and use he subject property upon payment of the 30% downpayment.

This CONTRACT AGREEMENT shall be valid and binding between the parties, their
successors-in-interest and assigns.

IN WITNESS WHEREOF, parties herein affixed their signatures on the date and place
above written.
