MEMORANDUM OF AGREEMENT MEMORANDUM OF AGREEMENT

This Memorandum of Agreement made and entered into this ___ day of
________________, 2024 at the City of Cauayan, Province of Isabela, by and between:

HEDY MA. LUISA MELENDRES GABRIEL, of legal age, Filipino

citizen and a resident of Ilagan City, Isabela, hereinafter
referred to as the “FIRST PARTY”

- and -

JOEL R. GARCIA and PILAR R. GARCIA, both of legal

ages, Filipino citizens, married. and residents of the
Cauayan City, Isabela, hereinafter referred to as the
“SECOND PARTIES”

-WITNESSETH -

WHEREAS, FIRST PARTY is the Attorney-in-Fact of Librada G. Tamargo, the

registered owner of a property in Brgy. Mapunso, Plaza Aldean, Tanay, Rizal;

WHEREAS, the SECOND PARTIES are the registered owner of a house and lot
in Brgy. Antonino, Alicia, Isabela and is worth THREE MILLION FIVE HUNDRED
THOUSAND PESOS (P3,500,000.00);

WHEREAS, the FIRST PARTY intends to sell the aforesaid property in Tanay,
Rizal which will be negotiated to by the SECOND PARTIES;

NOW THEREFORE, in consideration of the foregoing premises and the mutual

covenants and conditions hereinafter set forth, the parties hereby agree as follows:

1. The FIRST and SECOND PARTIES hereby agreed that in the event the project
in Tanay, Rizal will prosper, the SECOND PARTY will gratuitously give his
property in Brgy. Antonino, Alicia, Isabela to the FIRST PARTY. This is under the
condition that all the necessary papers pertinent to the transfer and sale of the
subject property will be fixed and resolved by the parties;

2. The foregoing terms and conditions of this Agreement are not contrary to law,
morals, good customs or public policy;

3. This Agreement constitutes the complete and exclusive statement of the terms
and conditions of the Agreement between the parties with respect to the subject
matter referred to herein. No statement or agreement, oral or written made prior
to the execution hereof, and no prior conduct or practice of either party shall vary
or modify the written terms and conditions set forth in this Agreement. No
amendments, alterations, additions, or variations of the terms and conditions of
this Agreement shall be valid unless made in writing and signed by bother parties
hereto.

4. This Agreement shall be kept confidential by the parties and their

representatives. Written consent from the other party must be obtained before
this Agreement or its contents may be disclosed to a third party.
 IN WITNESS WHEREOF, I have hereunto set our hands this ____ day of _______,
2024, in Cauayan City, Isabela, Philippines.
