Good governance can attain better


performance and better
management in businesses as well
as in public institutions. As
Wolfensohn (1999:21) tells us the
governance of corporations is now as
important in the world economy as
the government of countries.

Traditionally, three groups - the board


of directors, top management and
creditors - govern the organisation in
addition to shareholders (Post,
Lawrence & Weber, 2002).

The board of directors is a central


factor in corporate governance as
they hold the legal responsibility for
establishing objectives, and
reviewing managements
performance to be sure that the
organisation is well run.

Pasal 33, BAB IX PENYELENGGARAAN & Pengorganisasian RS.
Setiap RS harus memilki organisasi yang efektif, efisien, dan
akuntable
Ayat 1.: Organisasi
RS. Disusun dengan tujuan untuk mencapai Visi, Misi, dengan
menjalankan Tata Kelola perusahaan yang baik ( Good Corporate
Government) dan tata kelola klinis yang baik (Good Clinical
Government)
Pasal 36, : Pengelolaan Klinis
Setiap RS harus menyelenggarakan tata kelola RS dan tata
kelola klinis yang baik

TATA KELOLA RS YANG BAIK


adalah penerapan fungsi fungsi
manajemen RS yang berdasarkan
prinsip prinsip : transparansi,
akuntabilitas, independensi dan
responsibilitas, kesetaraan dan
kewajaran

TATA KELOLA KLINIS YANG


BAIK
adalah menerapkan fungsi
manajemen klinis yang meliputi
kepemimpinan klinis, audit klinis,
data klinis, risiko klinis, berbasis
bukti, peningkatan kinerja,
pengelolaan keluhan, mekanisme
monitor hasil pelayanan,
pengembangan profesional, dan
akreditasi RS
