GENERAL TERMS AND CONDITIONS OF TENDER

SCOPE OF WORK : Details of the scope of work including specification and guarantee
are given in the tender papers.

Both these sealed envelopes, duly super scribed as Techno Commercial Bid and
Price Bid must be put in one separate sealed envelope super scribed as TENDER
for_SUPPLY,AND APPLICATION OF THERMAL INSULATION DUE ON : 15.03.2013
before submitting the same in the tender box kept at HIL Corporate office at above
mentioned address. The price quoted should either be typed or written in clear legible
terms both in figures and in words. In case of variation in figures and words the words
version shall be taken as final. Over writing in the tender is not allowed. Correction
made in the tender should be initialed by the tenderer and each page of the terms and
conditions, tender forms duly filled in should be signed and dated by the tenderer.
Tenderers may also download the Tender document from HIL Website (www.hil-india.com) and submit their
offer as mentioned above .

LAST DATE FOR SUBMITTING TENDER : The sealed tender should be sent so
as to reach on or before 15.03.2013 at 14.00 Hrs. Tender received after this date
and time may not be entertained and considered.

DUE DATE FOR OPENING TENDER :The Techno commercial bids under sealed
envelopes will be opened at 14.30
Hrs on 15.03.2013 -in the HIL office in the
presence of such Tenderers or their duly authorized representative who desire to be
present personally.

TENDER PRICE: The price break-up should be quoted for all the materials/
equipments/services separately and should be given separately in the prescribed
format.
There would generally be no negotiations hence please submit your most competitive
prices while submitting the price bid.
8.
STATUTORY LEVIES AND TAXES: Sales Tax, Excise duty and any other taxes or
levies payable if any in addition to the quoted item-wise price should be mentioned
separately. HIL shall provide the C form to avail the concessional Central Sales Tax
rate. Since HIL is a manufacturer of pesticides it would be possible for HIL to obtain
material and equipment at concessional duty rates for the specific purchase for utilizing
the same in the production of insecticides/pesticides provided the intimation is given to
Hindustan Insecticides Ltd., for necessary action.
Please note that any tax/levies imposed by the State Govt./Local authorities other than
octroi after submitting the tender shall not be considered by HIL and the cost attributed
on this account will be borne by the Tenderers. However any change in Excise duty
and CST shall be on HILs a/c after order placement.

EMD shall be given in the form of a Bank Draft/Pay Order in favor of M/s. Hindustan
Insecticides Ltd., Rasayani on any Scheduled Bank at Panvel/Rasayani. Tender
received without EMD shall be rejected. Request for adjustment of EMD against
pending bills will not be entertained. EMD deposited against our earlier tenders shall not
be adjusted. EMD is to be deposited along with this tender a fresh. The EMD amount
shall be converted into Security Deposit for all the successful Tenderers and same shall
be refunded to them after completing the order satisfactorily. No interest shall be payable
by HIL on EMD/ Security Deposit amount. Small scale Units registered with NSIC are
exempted from Tender Document fee & EMD but Authenticated copy of the valid NSIC
certificate should be submitted along with Techno commercial bid of the tender to qualify
for such exemptions.
FORFEITURE OF EARNEST MONEY : If any Tenderer subsequently withdraws
his tender or makes any modification/alteration unilaterally in the tender after opening of
the tender, the earnest money shall be liable to be forfeited.
VALIDITY PERIOD OF THE TENDER :The tender should be valid for a period of
120 days. During the pendency of order no revision of price shall be entertained.
Conditional tenders will not be accepted. Price breakup should be shown distinctly in
the Price Bid. Price offered by the tenderers should remain firm during the validity of
order from the date of issue of LOI/Placement of order as the case may be. The
supplies shall be taken in staggered manner as per HIL's requirement.
ACCEPTANCE OF TENDER : M/s. Hindustan Insecticides Limited, reserves the right
to accept or reject any or all tenders without assigning any reason. There
would
generally be no negotiations hence please submit your most competitive prices while
submitting the price bid. HIL may seek clarification on the tendered prices and the terms
and conditions before accepting any tender.
INCOMPLETE TENDER OR LATE TENDER : Tenders received late, unsealed or
without superscription and without Earnest Money deposit or incomplete in any other
respect are liable to be rejected. For such cases the decision of the tender opening
committee constituted by HIL management will be final.

-4LIQUIDATED DAMAGE: Any breach of the terms of the purchase order contract
including timely completion of the order as per the schedule and to the satisfaction of
HIL as per specification and scope of work laid down, in full or in part that would put HIL
to loss HIL shall have right to impose a liquidated damages @ % of the total value for
every week or part thereof of delay, subject to a maximum of 5% of the total order value
for such failure to comply with the terms and conditions of the Work Order.
19. RISK PURCHASE: In the event of failure or delay on the part of the supplier to fulfil his
obligation in the execution of the order/contract to HILs satisfaction, HIL shall have the
right to terminate the order/contract and make necessary alternate arrangements for
completion of the order/contract through other means at delinquent suppliers risk and
cost. In such an event the earnest money deposit will be forfeited without prejudice to
HILs right to claim compensation from supplier for the loss incurred by HIL as a result
of suppliers failure to fulfill his obligation under the contract/order conditions. The
damages so claimed by HIL will be in addition to the liquidated damages recoverable by
HIL as mentioned in our liquidated damage clause. The supplier shall have no claim for
compensation for any loss that may accrue from any material he might have collected or
engagements, he may have entered into on account of the order/contract.
20. FORCE MAJEURE: If the execution of the work by the successful tenderer is delayed
beyond the stipulated period given in the work order as a result of outbreak of war, acts of
God, fire, flood and earth quakes, strikes, riots or acts of nature the supplier shall not be
held responsible for such delay and HIL and the supplier shall immediately consult with
each other to determine the measures to be taken.
The contractor shall have to provide proof of existence of such condition of force majeure
as
stipulated above to entire satisfaction of HIL duly certified by an appropriate
authority as required by HIL in the event of enforcement of the force majeure clause to
justify the delay in execution of the work. The contractor shall not be allowed to sublet or
assign the work awarded hereunder to any other party unless approved by HIL in writing.
21. ARBITRATION/CONCILIATION: All disputes and differences arising between the parties in
respect of the order/contract or breach thereof will be decided by a sole arbitrator appointed
by General Manager, HIL . The Arbitration is to be proceeded under the Indian Arbitration
Act and the rules framed there under. The decision of the arbitration of all the parties to the
proceeding will be binding and the laws applicable will be Law of India. The venue for
arbitration shall be Rasayani.
22. LEGAL JURISDICTION : Dispute, if any, arising out of supplies made against purchase
order for Rasayani unit shall be subject to the jurisdiction of Panvel or Alibaug courts
respectively for all legal matters pertaining to the Purchase Order, as the case may be.
23. In case any dispute arises then clause no. 21 i.e. arbitration will be applicable first. . Clause
No.22 will not be applicable without arbitration.

ANNEXURE-I (A)
General Instructions
1. The contractor has to submit 10 % of the contract value as security deposit (in the form of D.Draft or
Bank Guarantee) at the time of signing the agreement before starting work for the faithful execution of
the work. This amount will be retained by HIL for 1 year from the date of completion (till the completion
of the guarantee period) of the work as guarantee for the work. If the contractor fails to submit this, 10
% amount will be withheld from the contractors bill towards security deposit.
2. The contractor at his own expense abide all the statutory rules, regulations, laws of the Government of
India, state Government, local bodies and other statutory authorities in the employment of labour for
the work assigned to him.
3. The contractor at his own expense abides all the rules of the company with respect to safety, labour etc.
The contractor should obtain safety clearance in the prescribed format, if required, from the companys
safety department for carrying out the works.
4. The contractor shall be responsible for all obligations under ESI act, PF act and any other acts and
regulations that may be relevant in carrying out the work assigned to him.
5. The contractor shall indemnify the company against any claims from any person engaged by the
contractor in connection with the work for any kind payment.
6. The contractor shall not sublet or subcontract the work or part of the work to any other party without
the prior consent of the company.
7. All the drawings, documents, specifications etc related to the work, given by the company to the
contractor shall remain the property of the company. The contractor shall not disclose the details of the
said documents to anybody or shall not publish any information contained in that without the written
consent of the company.
8. All the tools & tackles required for the work is to be brought by the contractor.
9. During the progress of the work, the contractor has to submit a material reconciliation statement
showing the receipt and the consumption details.

10. Wastage /scrap allowance permitted will be 3.0 %. Wastage more than this will be deducted from the
contractors bill based on the market value of the steel items at the time of billing. All the scrap items
shall be the property of HIL and will have to be returned to stores as per the instruction of the engineer
in charge.
11. All the insulation material will be issued from the HIL stores which are about 500 meters from the site.
Shifting from the stores to site is in contactors scope.
12. Consumables like GI binding wire, tapping screws, straps, bitumen etc are to be brought by the
contractor.
13. After completion of the work, clearance of the site, removal of temporary structures used for erection
works, removal of debris etc are in the contractors scope.
TIME SCHEDULE
1. The work shall be strictly carried out as per the time schedule.
2. The contractor shall plan and arrange all the necessary men, machines and other resources to complete
the work as per the plan and to full satisfaction of HIL.

TECHNICAL SPECIFICATIONS FOR THERMAL INSULATION WORK
GENERAL
Scope of work
The tender covers the supply and application of thermal insulation of piping, vessels and other equipments as
per annexure.
GENERAL CONDITIONS
The general specification for supply of thermal insulation materials is given in annexure-. Supply should
be strictly according to the specifications.
Application of insulation material shall include all items such as straps, screws, fixing support rings,
binding wire, bitumen, welding machines and scaffoldings, etc.
Expansion joints should be provided at required intervals and shall be filled with loose insulation wool.
Name plates, code plates and inspection plates should be left visible by cutting back the insulation and
sealing the insulation around the plate.
Contractor shall be responsible for safe handling and safe custody of the materials issued to him.
The contractor shall protect the adjacent equipments, pavements etc from dripping compounds and
cements and shall clean up or repair damages due to failure of his protective measures at his own cost.
The contractor shall protect the insulation from rain or moisture till the time it is finally handed over and
accepted by HIL.
The contractor shall keep the work area clean and free from debris resulting from his work.
The contractor shall provide labour, tools, hardware and other facilities such as scaffoldings, platforms,
and welding machines etc for the execution of the job.
The contractor has to obtain permission of HIL Engineer before starting job on any pipeline or
equipment.
Contractor shall thoroughly clean the entire surface from dirt, grease, rust and scales and dry the entire
surface to be insulated to the satisfaction of HIL Engineer In-charge.
The contractor should strictly adhere to the time schedule.
APPLICATION SPECIFICATIONS
Applied insulation material should be strictly according to the specifications.
Self tapping screws of suitable size shall be of GI / Cadmium plated.
Aluminium bands shall be 20 mm wide and 22 SWG.
PIPELINES
Insulation will not be applied before completion of site fabrication and pressure testing of pipelines and
equipments. All support and hangers shall be in position and correctly adjusted.
Flanges in pipelines and vessels shall not be lagged until commissioning is complete.
All openings of vessels and other equipments shall be covered to prevent entry of materials.
As far as possible insulation shall be applied in dry weather. In wet weather precautions shall be taken to
ensure that the surfaces to be lagged and insulation are kept dry during application.
The final aluminium cladding shall be applied to the insulation with the least possible delay.
Masks or adequate ventilation shall be ensured while application of insulation.
Pipe sections will be held in place by means of aluminium bands at 450 mm intervals. Where mattresses
are used, these shall be laced with 22 SWG GI lacing wire.
Proper staggering of joints is to be done wherever insulation is applied in layers.
Insulation will be terminated at such a distance from a flanged joint as will allow withdrawal of bolts
without disturbing the insulation.
For pipe lines above 200 mm NB support rings made of MS Flat shall be provided.
Valves, fittings and other flanges can be insulated with boxes filled with loose insulation. Cladding shall
be weatherproof.
Cladding shall be applied with a 50 mm longitudinal lap joint and a 50 mm circumferential lap joint and
shall be secured in place by aluminium straps at a maximum pitch of 450 mm by self taping screws at
approximately 150 mm centres.

To ensure adequate waterproofing laps should be arranged to shed water as follows: On horizontal
lines laps should be on horizontal lines. On vertical lines laps should be away from the prevailing
weather and slightly offset to adjacent pieces.
VESSELS
Vessels which are to be insulated are to be fitted with lugs and studs to support insulation. HIL will
supply lugs and support rings.
Insulating material mattresses shall be well butted to each other and laced with galvanised wire and will
be secured to the vessel.

Support rings of 20 mm, 3 thick MS flats shall be provided at suitable intervals on the support cladding.
Insulation on branch connections shall be bevelled back to allow bolt removal.
Cladding shall be applied with 50 mm overlap at each edge. All horizontal overlaps shall be arranged to
shed rain. The sheeting will be held in place by aluminium bands at 500 mm intervals in addition to the
GI screws.
Protection for dished ends of horizontal and vertical vessels will be fabricated in riveted segmental form
with swaged and lapped joints. The ends will be secured to the vessel sheeting by circumferential band.
COLD INSULATION
All cold insulation shall have continuous vapour seal covering.
Pipe lines with operating temperature below 0C shall have all flanges, valves and fittings insulated.
Cold insulation shall be applied on surface using bitumen as adhesive. The bitumen shall be applied at
minimum of 1.2 kg / m2.
Cold Insulation shall be fixed when bitumen is still tacky. All joints shall be thoroughly sealed with a layer
of bitumen. For multilayer application, all joints shall be staggered and properly sealed. Each layer shall
be fixed using bitumen as adhesive. The bitumen shall be applied at minimum of 1.2 kg / m2.
Flanges, valves and other fittings shall be insulated employing larger sections of pipe coverings of the
same specified thickness as for the adjacent pipes. Bends shall be insulated with mitre cut insulation to
suit curvature of the bend.
Insulation around supports shall be trimmed closely and sealed thoroughly with vapour seal mastic.
After insulation is installed and secured, heavy coat of bitumen emulsion shall be applied by brushing.
While still tacky, a ldpe lined asphalted hessian cloth shall be laid smooth and embedded in the coating..
Fabric should over lap 75 mm at the joints. A final coat of bitumen shall be applied uniformly.
Final aluminium cladding of 22 SWG should be fixed as specified above.
Wastage shall be within 3% limits. Contractor has to submit material reconciliation statement.
INSPECTION
All the materials supplied by the contractor will be subject to inspection by HIL. Material not meeting
the specifications will be rejected. Material shall be replaced by the contractor at his own cost.
The installation procedure shall also be subject to inspection by HIL engineer at all stages. Any material
found damaged or improperly installed shall be removed and reinstalled to the satisfaction of HIL at the
expense of contractor.
The final cladding shall be done only after approval of HIL Engineer I/C.
GUARANTEE
Contractor should offer guarantee against the following for a period specified in the work order. Security
deposit is applicable in this work.
a) Defective workmanship.
b) Defective material.
c) Damage to the equipment during execution of thermal insulation work.
PRICES
Contractor shall furnish a schedule of the unit rate for the supply and application of thermal insulation
materials separately as per annexure-V. The rate for application shall be inclusive of all auxiliary
materials and services. The schedule of rates for vessels, tanks, heat exchangers, etc shall be given on
square meter of the surface area for different thickness.

Rates for flange joints, bends, reducers, tee, valves and other inline fittings shall be as per IS 14164:
1994 and amendments thereof.
Insulated dish ends of vessels , columns or other equipment shall be considered as twice the projected
plan area of the dished ends for the purpose of measurement ( IS 14164: 1994 : 9.1.5)
MEASUREMENTS
All measurements shall be made by the contractor but only in presence of HIL representative.
Measurements shall be as per IS 14164: 1994 and further amendments.
Payments shall be on actual measured area.
