DEED OF ABSOLUTE SALE

Know All Men By These Presents:

This DEED OF ABSOLUTE SALE made and entered into on ____________

2019 at Quezon City, Philippines, by and between:

___________________., with office address at

_________________________, hereinafter referred to as
the “BUYER”

-And-

_________________, Australian, of legal age, and with

address at 63 Thirroul Ave., Blackhealth, NSW2785,
hereinafter referred to as the “SELLER”

WITNESSETH: That

WHEREAS, the SELLER is the true and absolute owner of

___________________ Shares of Stocks issued by BUYER, a corporation duly
organized and existing under the laws of the Philippines.

WHEREAS, the SELLER has offered to sell his Shares of Stocks, together with
all the rights, interest, and actions to the BUYER, and the BUYER has agreed to
purchase the same, subject to the terms and conditions hereinafter set forth.

NOW THEREFORE, in complete satisfaction of all the shares of stock, and

any right, interests, and/or actions, the SELLER hereby sells, transfers, and
conveys, irrevocably and absolutely, unto the BUYER, its heirs, successors, and
assigns, with warranty of a valid and legal title, free and clear of any and all liens,
encumbrances, obligations, liabilities, or pecuniary burdens on the
aforementioned Shares of Stocks, in the total amount of
_____________________________, subject to the following terms and
conditions:

1. The SELLER hereby warrants valid and legal title to the

Shares/Certificates of Stocks herein sold and conveyed and free and
clear of any and all liens, encumbrances, obligations, liabilities, or
pecuniary burdens;

2. The expenses for the payment of any form of tax shall be for the
account of the SELLER. The expenses for the payment of the
documentary stamp tax, the expenses for the preparation of this Deed
of Absolute Sale, the expenses and fees for the registration in favor of
the BUYER, if any shall be for the account of the said SELLER;
 3. The SELLER waives, sells, assigns, all his rights, claims, and interests over
the Shares of Stocks and all rights, interests, actions, whether actual or
inchoate, emanating therein in favor of the BUYER.

IN WITNESS WHEREOF, the parties have hereunto set their hands this
