Before Application for a declaration of dissolution is made to the Registrar:-

Step 1: Obtain the written notice from the Inland Revenue Board of Malaysia (for no
objection to making declaration of dissolution.)
Step 2: That notice to the effect that an application for declaration of dissolution of the LLP
sent to all the partners by registered post.
Step 3: Published in at least one newspaper in national language and English language.
(Appendix A & B).
Step 4: submit the application for dissolution to the Registrar with Statutory Declaration
(Appendix C), a copy of the notice that send to all partner, a written notice from the IRB and
copies of the notice published in newspapers. (within 7 days from the date of publication of
notice in the newspapers). *the application for dissolution and Statutory Declaration
(Appendix C) must be same person.

-Registrar may declare that the LLP is dissolved when no objection.


-In order to take effect of the Registrar declaration of dissolution, LLP have to distribute its
surplus assets (if any) among its partners according to their respective rights and interest and
notify the Registrar within 14 days after the distribution is complete.
