DEED OF ABSOLUTE SALE

SO THE PUBLIC MAY KNOW:

This Deed of Absolute Sale is entered into by and between the following
parties on ____________________ at ____________________, Philippines.

xxxx, of legal age, both single and a resident of xxxx; hereinafter

referred to as the “SELLER”;

-and-

xxxx, of legal age, and a resident of xxxx, hereinafter referred to as

the “BUYER”.

WITNESSETH:

WHEREAS, the Seller are the registered owner of a parcel of land

located at the Municipality of xxxx, Province of xxxx, Philippines, and covered
by Transfer Certificate of Title No. xxxx containing a total area of xxxxx Square
Meters (xxxx), more or less, and more particularly described as follows:

WHEREAS, the buyer has offered to buy and the Seller has agreed to
sell the above-mentioned property for the amount of xxxx (Php xxxx)
Philippine Currency;

NOW THEREFORE, for and in consideration of the sum of xxx Pesos

(Php xxxx) Philippine Currency, hand paid by the Buyer to the Sellers, and
the Sellers do hereby SELL, TRANSFER and CONVEY by way of Absolute Sale
unto the said Buyer, his heirs and assigns, the certain parcel of land together
with all the improvements found thereon, free from all liens and
encumbrances of whatever nature including real estate taxes as of the date of
this sale.

The Sellers warrants that the aforesaid parcel of land is free from any
liens and encumbrances and that said Sellers shall defend the title and rights
of the Buyer from any claims of whatever kind or nature from third persons.

The Buyer shall be liable for the payment of the following:

1. Capital Gains Tax;
2. Real Estate Taxes;
3. Notarial Fees;
4. All other taxes (local or national) including Estate Taxes (Penalties
and interests, if any);
5. Documentary Stamp Tax;
6. Registration Fees; and
7. All other expenses necessary to transfer the title of the property in the
name of the Buyer.
The Seller shall deliver to the Buyer the following documents
simultaneously with the signing of this Deed, to wit:
1. Original Owner’s Duplicate of Transfer Certificate of Title No. xxxx.
 IN WITNESS WHEREOF, the parties and their witnesses hereby affix
their signatures on ____________________ at ____________________, Philippines.
