Deal Memo

This contract is entered into on this _____ day of _______, 2020 by and between Optima
Songs Ltd (hereinafter referred to as “Publisher) and Sophie Tree (hereinafter referred to as
“Artist”).

Both parties agree as follows:

1. Term – The term of this contract will be 4 years from which date this contract is
signed.
The publisher wishes to retain the rights from this contract for a further 25 years
after the contract ends.

2. Territory – This contract allows for the rights of this agreement to be worldwide.

3. Advances – The artist will receive an advance of £7000.

The artist will receive a further £7000 every time she fully recoups provided that it is
not in the last year of the contract.

4. Minimum Commitment – The artist is required to write a minimum of 10 songs in

the term of this contract.

5. Royalties – The artist will receive 70% mechanical royalties, 50% synchs and other
income and will also receive 35% of the publishers share of PRS.
These royalties will be calculated after tax and any collection or agency fees.

6. Payments – The publisher agrees that the artist will be paid every 6 months.
