PARTNERSHIP DEED

(This is in relation to the sale of goods act cap 31 of the laws of Kenya and the partnership act cap 29 of
the laws of Kenya)

This partnership agreement was made on this day of 4th March 2020 between Mercy Wanjiku
Wambugu of P.O BOX 2692-10100 Nyeri and Agnes Mueni of address +254718233194 Zambia, Ngong
within the Republic of Kenya.

1.NAME OF BUSINESS

The parties hereby form a partnership form of business entity with the name of Luxx Wigs , Beauty and
Nail Box.
2. TERM( PERIOD OF PARTNERSHIP)

The partnership agreement shall commence on this day of .............. of ............... untill further notice.

3.CAPITAL

The capital of the business entity shall be under no specific ratio.

4.PROFIT AND LOSS

The net profit of the partnership deed shall be divided equally between partners and the loss shall also
be born between them under a ratio of (50:50.).

5.CONDITIONS

5.1 INDEPENDENCE.

One should not interfere with the business of either partner so as to avoid any conflict within the
business unless otherwise agreed.

5.2 LIABILITY

Incase any damage , theft, accident or loss of any accident that might occur within the business
premises it will be upon both of the parties to contribute equally so as to return the business to its
current status

6. MANAGERIAL ROLES.

In the business both parties to the business under a partnership will jointly manage the business as
registered and individually manage their private businesses registered under one company unless
otherwise as agreed.

7.TERMINATION.

Upon termination one of the partners should give notice one month prior failure to which she should
cater for the bills required that month this is in relation to rent electricity and water .

It should also be noted that no party is allowed to take over the others business unless an agreement to
sell the business to the other party is agreed.
