2. (1) The issue of a sum not exceeding Sixteen Million Four Hundred
Thirty Two Thousand Seven Hundred and Eighty Ringgit Only
(RM16,432,780.00) from the Consolidated Fund for the services of the
year 2005 not provided or not fully provided for by the Supply (2005)
Enactment 2004 [En. No. 5/2004] and the First Supplementary Supply
(2005) Enactment 2005 [En. No. 3/2005] and the Second Supplementary
Supply (2005) Enactment 2005 [En. No. 6/2005] for the services of the
year 2005 is hereby authorised.

(c) tiga orang pegawai Kerajaan iaitu orang yang pada masa

16. Perbadanan boleh dari semasa ke semasa dengan persetujuan
Pihak Berkuasa Negeri meminjam wang sebanyak yang dikehendaki
bagi maksud menjalankan mana-mana kewajipan sama ada menerusi
pinjaman, pengisian bon, debentur atau stok debentur atau menjana
modal dengan pengisuan saham atau stok mengikut pembahagian dan
nilai dan berdasarkan terma yang difikirkan wajar.
Kuasa memberi jaminan
17. Perbadanan boleh dengan persetujuan Pihak Berkuasa Negeri
memberi jaminan ke atas apa-apa pinjaman atau sebarang apa-apa
kemudahan bank overdraf yang dibuat oleh mana-mana orang kepada
apa-apa pertubuhan dalam mana Perbadanan ada mempunyai
kepentingan perniagaan dan tanggungan bagi jaminan itu tidak boleh
melebihi kadar yang sama dengan pesertaan ekuiti yang perbadanan
ada dalam pertubuhan itu.

Pengambilan Tanah
21. (1) Apabila mana-mana harta tak alih yang bukannya tanah
kerajaan perlu diperolehi oleh Perbadanan kerana maksud-maksud
Enakmen ini, harta itu boleh diperolehi mengikut peruntukan dalam
mana-mana undang-undang bertulis yang sedang berkuat kuasa di
dalam negeri ini yang berhubung dengan pengambilan tanah bagi
sesuatu maksud awam, dan apa-apa perisytiharan yang dikehendaki
oleh mana-mana undang-undang bertulis itu bahawa harta itu
diperlukan sedemikian boleh dibuat walaupun pampasan akan dibayar
oleh Perbadanan dan perisytiharan itu hendaklah mempunyai kuat
kuasa seolah-olah ia adalah suatu perisytiharan bahawa tanah itu
diperlukan bagi sesuatu maksud awam mengikut Undang-Undang
bertulis itu.
(2) Segala perbelanjaan dan pampasan yang kena dibayar bagi
pengambilan mana-mana harta tak alih di bawah seksyen ini hendaklah
dibayar oleh Perbadanan.
(3) Jika mana-mana harta tak alih diambil balik di bawah seksyen
ini, Perbadanan hendaklah mengambil cabutan dokumen hakmilik yang
perlu berkenaan dengan harta itu dan hendaklah membayar apa-apa
cukai yang terkena kepada harta itu.

KUMPULAN WANG DAN HASIL PERBADANAN
(h) segala jumlah wang atau harta lain yang mungkin dengan
apa-apa cara menjadi kena dibayar kepada atau
terletakhak pada, Perbadanan berkenaan dengan apa-apa
perkara yang bersampingan dengan fungsi, kuasa dan
kewajipannya; dan

27. (1) Perbadanan hendaklah secepat mungkin selepas hujung setiap
tahun kewangan menyebabkan dibuat dan dihantar kepada Pihak
Berkuasa Negeri dan Pihak Berkuasa Kewangan Negeri laporan tentang
kegiatan Perbadanan dalam tahun kewangan sebelumnya dan
mengandungi keterangan berkenaan dengan penjalanan dan dasar
Perbadanan menurut seperti yang ditetapkan oleh Pihak Berkuasa
Negeri dan Pihak Berkuasa Kewangan Negeri.
(2) Perbadanan hendaklah menyebabkan suatu salinan tiap-tiap
laporan itu dibentangkan dalam Dewan Negeri.
Pengecualian daripada duti setem
28. Perbadanan hendaklah dikecualikan daripada pembayar duti setem
di bawah Akta Setem 1949 [Akta 378].

AKAUN AMANAH PESERTA PROGRAM LADANG RAKYAT
KERAJAAN NEGERI KELANTAN
Akaun amanah
29. (1) Perbadanan hendaklah bertanggungjawab menubuhkan dan
menyelenggarakan suatu akaun amanah dalam Akaun Amanah
Disatukan di bawah subseksyen 9(1) Akta Tatacara Kewangan 1957
bagi Akaun Amanah Peserta Program Ladang Rakyat Kerajaan Negeri
Kelantan, kemudian daripada ini disebut ‘Akaun’.
(2) Akaun ini hendaklah diselenggarakan bagi tujuan untuk
menerima sumbangan yang telah ditetapkan untuk dimasukkan ke dalam
Akaun ini hasil dari pengusahaan program ladang rakyat Negeri
Kelantan sebagai suatu akaun amanah untuk dibahagikan sumbangan
tersebut kepada orang-orang miskin di kalangan penduduk Negeri
Kelantan dan peserta-peserta program ladang rakyat.
(3) Akaun ini hendaklah dikawal oleh Perbadanan menerusi
Pegawai Pengawal akaun amanah dan Pegawai Pengawal akaun amanah
boleh mengarahkan secara bertulis seorang pegawai perakaunan di
bawah kawalan pentadbirannya untuk menjalankan tugas dan
tanggungjawab sebagai Pegawai Pengawal akaun amanah bagi pihak
dan atas namanya.

Pembubaran Perbadanan
30. (1) Pihak Berkuasa Negeri boleh dengan perintah yang disiarkan
dalam Warta memerintah supaya Perbadanan digulungkan dan dibubar
melalui suatu Enakmen yang diluluskan oleh Dewan Negeri.
(2) Apabila Perbadanan dibubarkan, asset Perbadanan hendaklah
selepas membayar semua liabiliti, dilupuskan mengikut apa-apa cara
yang ditetapkan oleh Pihak Berkuasa Negeri.

Jawatankuasa Tatatertib
1. (1) Perbadanan boleh menubuhkan jawatankuasa tatatertib yang berlainan bagi
kategori pegawai dan pekhidmatnya.
(2) Yang berikut hendaklah terpakai bagi sesuatu jawatankuasa tatatertib—
(a) sesuatu jawatankuasa tatatertib hendaklah terdiri daripada apa-apa bilangan
anggota Perbadanan selain Pengerusi atau pegawai Perbadanan atau
apa-apa kombinasi anggota atau pegawai itu; dan

Pengenaan surcaj
4. (1) Seseorang yang sedang atau pernah bekerja dengan Perbadanan boleh disurcaj
jika ternyata kepada Perbadanan bahawa orang itu—
(a) tidak atau gagal memungut apa-apa wang yang terhutang kepada Perbadanan
yang pemungutan wang itu menjadi tanggungjawabnya;
(b) adalah atau pernah bertanggungjawab bagi apa-apa pembayaran wang daripada
Perbadanan yang tidak sepatutnya dibuat atau bagi apa-apa pembayaran wang
yang tidak diluluskan dengan sewajarnya;
(c) adalah atau pernah bertanggungjawab secara langsung atau tak langsung bagi
apa-apa kekurangan dalam atau bagi pemusnahan apa-apa wang, barang
simpanan atau harta lain Perbadanan;
(d) tidak membuat apa-apa pembayaran, atau adalah atau pernah
bertanggungjawab bagi apa-apa kelewatan dalam pembayaran w a n g daripada
Perbadanan kepada mana-mana orang yang kepadanya pembayaran itu kena
dibuat di bawah mana-mana undang-undang atau di bawah mana-mana kontrak
perjanjian atau perkiraan yang dibuat antara orang itu dengan Perbadanan ;
atau
(e) sebagai atau semasa menjadi pegawai perakaunan tidak menyimpan akaun
atau rekod yang sepatutnya.
(2) Dalam perenggan ini, “pegawai perakaunan” termasuklah seseorang pegawai
yang dipertanggungjawabkan dengan–
(a) kewajipan untuk memungut, menerima atau mengakaunkan atau yang
sebenarnya memungut, menerima atau mengakaunkan apa-apa wang
Perbadanan;
(b) kewajipan untuk membuat pembayaran atau yang sebenarnya membuat
pembayaran daripada apa-apa wang Perbadanan; atau
(c) kewajipan untuk menerima, menyimpan, melupus atau mengakaunkan
apa-apa barang simpanan dan harta Perbadanan atau yang sebenarnya
menerima, memegang, melupuskan atau mengakaunkan tentang barang
simpanan dan harta itu.
Notis tunjuk sebab sebelum disurcaj
5. Perbadanan hendaklah sebelum seseorang disurcaj menyampaikan kepadanya suatu
notis bertulis yang memintanya menunjukkan sebab mengapa dia tidak patut disurcaj.
Amaun surcaj
6. Jika penjelasan yang memuaskan hati tidak diterima dalam masa empat belas hari
dari tarikh notis disampaikan kepada seseorang di bawah perenggan 5, Perbadanan
boleh—
(a) dalam hal mana-mana perbuatan atau peninggalan yang disebut dalam
perenggan 4 (1) (a), (b) dan (c), mensurcaj terhadap orang itu wang yang
tidak melebihi amaun yang tidak dipungut, atau apa-apa bayaran yang tidak
sepatutnya dibuat atau nilai yang terkurang dalam harta itu atau nilai harta
yang termusnah itu; dan

(b) dalam hal mana-mana perbuatan atau peninggalan yang disebut dalam
perenggan 4 (1) (d) dan (e), mensurcaj terhadap orang itu apa-apa jumlah
wang yang difikirkan patut oleh Perbadanan.

9. Amaun apa-apa surcaj yang dikenakan di bawah perenggan 6 dan tidak ditarik
balik di bawah perenggan 8 hendaklah menjadi hutang yang kena dibayar kepada
Perbadanan daripada orang yang disurcaj dan boleh didakwa dan didapatkan di dalam
mana-mana mahkamah atas guaman Perbadanan dan boleh juga jika diarahkan oleh
Perbadanan didapatkan melalui potongan—
(a) gaji orang yang disurcaj dengan ansuran bulanan yang sama banyak yang
tidak melebihi satu perempat daripada jumlah gaji bulanan berkenaan orang
itu; atau
10. Dalam membuat apa-apa peraturan di bawah Jadual ini Perbadanan boleh dengan
kelulusan Pihak Berkuasa Negeri menerima pakai dengan membuat apa-apa ubahsuai
yang difikirkannya patut mana-mana peraturan, kaedah, dasar, pekeliling dan arahan
yang diperbuat atau dikeluarkan oleh Kerajaan Persekutuan atau Kerajaan Negeri.

PART ll
THE PERBADANAN
(5) The Perbadanan may request any person, not being a member
of the Perbadanan to attend any meeting or deliberation of the
Perbadanan for the purpose of assisting and advising it on any matter
deliberated, but any person so attending shall have no right to vote at
the said meeting or deliberation.
Quorum
7. (1) The quorum of the Perbadanan shall be six members other than
the Chairman.
(2) The decision of the Perbadanan shall be by majority votes and
where there is an equality of votes, the President shall have the
deciding vote.
(3) The Chief Executive officer shall have no power to vote at any
meeting of the Perbadanan.
(4) Subject to the provision of this Enactment, the Perbadanan shall
determine its own procedure.
Dicsclosure of interest
8. (1) A members of the Perbadanan having directly or indirectly, any
interest in any company or undertaking with which the Perbadanan
proposes to make any contract or having any interest in any such
contract or in any matter under discussions by the Perbadanan shall be
disclose to the Perbadanan fact of his interest and the nature thereof
and, unless specifically authorized by the Chairman, such member shall
take no part in any deliberation or decision of the Perbadanan relating
to the contract or matter.
(2) Subsection (1) shall not apply to the Chief Executive Officer of
the Perbadanan.
Validity of acts and proceedings.
9. No act done or proceeding taken under this Enactment shall be
questioned on the ground of—
(a) any vacancy in the membership of, or of any defect in the
constitution of the Perbadanan;
(b) the contravention by any member of the Perbadanan of
subsection 8; or
(c) any omission, defect or irregularity not affecting the merits of
the case.

PART III
CHIEF EXECUTIVE OFFICER, OFFICERS AND SERVANTS
10. (1) The Perbadanan shall appoint a Chief Executive officer who
shall be a Secretary to the Perbadanan, officers and servants to serve
the Perbadanan on any appointment as it deems fit.
(2) The Chief Executive officer shall be responsible to the
Chairman and shall have the powers, duties and functions as many be
determined by the Perbadanan including-
(a) the preparation of all programs, schemes and projects for
the consideration of the Perbadanan;
(b) the execution of all programs, schemes, and projects of
the Perbadanan; and
(c) the carrying out of the decision and directions of the
Perbadanan
(3) The Chief Executive Officer shall have general control of the
officers and servants of the Perbadanan.
(4) The Chairman, all members, officers and servants or agents of
the Perbadanan while discharging their duties as the Chairman,
members, officers, or agents of the Perbadanan shall be deemed to be
public servants within the meaning of the Penal Code [Act 574].
(5) The Public Authorities Protection Act 1948 [Act 198] shall
apply to any action, suit, prosecution or proceedings against the
Perbadanan or against the Chairman, any member, officers, servants or
agent of the Perbadanan in respect of any act, neglect or default done or
committed by him in such capacity.
Condition of service
11. The Perbadanan may, from time to time with the approval of the
State Authority, make rules with respect to the condition of service of
its officers and servants.

Discipline
12. The Perbadanan shall have the disciplinary powers on all its
officers and servants and shall exercise disciplinary control in
accordance with the provision in the Schedule.
PART IV
Power to borrow
16. The Perbadanan may, from time to time, with the approval of the
State Authority, borrow at such sum required for meeting any of its
obligation otherwise by loan, issue of bonds, debentures or stock
debentures or raising of capital by the issuance of shares or stock of
such class and value and upon such terms as it may den expedient.
Power to stand guarantee
17. The Perbadanan may with the consent of the State Authority stand
as guarantee to any loan or to any bank overdraft facilities made by any
person to any organisation in which the Perbadanan has a
commercial interest and the liability for the guarantee shall not exceed
the same proportion as the equity participation that the Perbadanan has
in the organisation.
Loans may be secured by mortgage
18. The Perbadanan may secure the repayment of any sums borrowed,
by the mortgage or charge, legal or equitable, of any property vested in
the Perbadanan or of any revenue receivable by the Perbadanan under
this Enactment or any other written law.
Delegation of functions, power or duties of the Perbadanan
19. (1) The Perbadanan may, subject to conditions, limitations or
restrictions generally or specifically imposed, delegate to the Chairman,
Deputy Chairman, Chief Executive Officer, public authority, or any
other person the power and authority to carry out on its behalf such of
its functions, duties, and powers vested in or imposed on the Perbadanan
as the Perbadanan may determine to be performed inside or outside the
state, except the power to borrow money, raise loans or make rules and
any function, duty or power so delegated may be performed or exercised
by the Chairman, Deputy Chairman, Chief Executive Officer, public
authority or such other person, as the case may be, in the name and on
behalf of the Perbadanan.
(2) Without prejudice to the generality of subsection (1), the
Perbadanan may delegate to the Chairman, Deputy Chairman, Chief
Executive Officer, or any member, officer or servant or public authority
or any other person to sanction expenditure from the Fund or any other
money under the control of the Perbadanan shall in such case specify.

(2) The Fund and revenue of the Perbadanan shall consist of–
(a) such sums as many be provided from time to time by the
Federal Government or State Government;
(b) all grants, donations, gifts, contributes and bequests made
to or in favour of the Perbadanan;
(c) moneys earned by the operation of any work, project,
agency, scheme or enterprise financed from the Fund;
(d) such moneys as many be paid from time to time to the
Perbadanan and all moneys from time to time falling due
to the Perbadanan in respect of the repayment of any
financing or financial assistance;
(e) moneys earned or arising from any property, investment,
mortgage. charge, lease, tenancy or debentures acquired
by or vested in the Perbadanan;
(f) any property, investment, mortgage, lease, tenancy, charge
or debenture acquired by or vested in the Perbadanan;
(g) sums borrowed by the Perbadanan for the purpose of
meeting any of its obligations or discharge any of its
duties;
(h) all other sums or property which may in any manner
become payable to or vested in the Perbadanan in respect
of any matter incidental to its functions, powers and
duties; and
(i) all other moneys lawfully received by the Perbadanan.
(4) After the end of each financial year and after the accounts of
the Perbadanan have been audited, the Perbadanan shall cause a copy
of the Statement of accounts to be transmitted to the financial Authority
together with a state copy of any observations made by the Auditor
General or by the auditor appointed under subsection (3) on any
statement or on the accounts of the Perbadanan.
(5) A copy of the such statement of accounts shall be laid before
the State Legislative Assembly.
Annual Report
27. (1) The Perbadanan shall as soon as the end of each financial year,
cause to be made and transmitted to the State Authority and State
Financial Authority a report dealing with the activities of the Perbadanan
during the preceding year and containing such information relating to
proceedings and policies of the Perbadanan as prescribed by the State
Authority and State Financial Authority.
(2) The Perbadanan shall cause a copy of such report to be laid
before the State Legislative Assembly.
Exemption from stamp duty
28. The Perbadanan shall be exemptied from the payment of stamp
duty under the stamp Act 1949 [Akta 378]

AKAUN AMANAH PESERTA PROGRAM LADANG RAKYAT
KERAJAAN NEGERI KELANTAN
Trust account
29. (1) Perbadanan shall be responsible to establish and maintain a
trust account in the Consolidated Trust Account under subsection 9 (1)
Financial Procedure Act 1957 for the Akaun Amanah Peserta Program
Ladang Rakyat Kerajaan Negeri Kelantan, here after referred to as
“the Account”.
(2) The account shall be maintained for the purpose of receiving
the fixed contribution to be credited into the Account resulting from the
development of the Ladang Rakyat programme of the State of Kelantan
as a trust account to be distributed to the poor among the people in the
State of Kelantan and to participants of Ladang Rakyat Programme.

DISSOLUTION OF THE PERBADANAN
Dissolution of the Perbadanan
30. (1) The State Authority may by order published in the Gazette
direct that the Perbadanan be wound up and dissolved by an Enactment
passed by the State Legislative Assembly.
(2) Upon the dissolution of the Perbadanan, the assets of the
Perbadanan shall, after payment of all liabilities, be disposed of in such
manner as the State Authority may determine.

MISCELLANEOUS
SCHEDULE
[SECTION 12]
Disciplinary Committee
1. (1) The Perbadanan may establish different disciplinary committee for different
categories of its officers and servants.
(2) The following shall apply to a disciplinary committee-
(a) a disciplinary committee shall consist of any number of members of the
Perbadanan other than the Chairman, or officer of the Perbadanan or any
combination of such members and officers; and
(b) an officer who is a member of a disciplinary committee shall not be lower
in rank than an officer over whom the disciplinary committee of which
he is a member has disciplinary authority.
(3) A disciplinary committee shall exercise its powers in all matters relating to
the discipline of officers and servants placed under its jurisdiction.
(4) In the exercise of its disciplinary functions and powers, a disciplinary
committee shall have the power to take disciplinary action and impose any disciplinary
punishment or any combination of two or more disciplinary punishments as may be
provided for under any disciplinary rules made under 2.
Disciplinary rules
2. (1) The disciplinary rules made under this paragraph—
(a) may create disciplinary offences,
(b) may provide for such disciplinary punishments as the Perbadanan may
deem appropriate and the punishments may extend to-
(i) a warning;
(ii) a fine;
(iii) a forfeiture of emoluments;
(iv) a deferment of salary movement;
(v) a reduction of salary;
(vi) a reduction in rank; and
(vii) a dismissal;
(c) shall provide for an opportunity to the officers and servants against whom
disciplinary proceedings are taken to make representations against the
disciplinary charge laid against him before a decision is arrived at by the
disciplinary committee except in the following cases;
(i) where an officer or servant is dismissed or reduced in rank on the
ground of misconduct in respect of which a criminal charge has
been proved against him;

(3) The Disciplinary Appeal Board may confirm, reverse or vary the decision of a
disciplinary committee.
Imposition of surcharge
4. (1) A person who is or was in the employment of the Perbadanan may be surcharge
if it appears to the Perbadanan that the person—
(a) did not or has failed to collect any moneys owning to the Perbadanan for
the collection of which he is or was responsible;
(b) is or was responsible for any improper payment of moneys from the
Perbadanan or for any payment of money which is not duly approved;
(c) is or was responsible, directly or indirectly, for any deficiency in, or for
the destruction of, any money, store or other property the Perbadanan;
(d) has failed to make any payment, or is or was responsible for any delay in
the payment of moneys from the perbadanan, of any money to any person
to whom such payment is due under any law, or under any contract,
agreement or arrangement entered into between that person and the
Perbadanan; or
(e) being or having been an accounting officer, did not or has failed to keep
proper accounts or records.
(2) In this section, “accounting officer” includes an officer who is charged with–
(a) the duty of collecting, receiving or accounting for, or who in fact collects,
receives or accounts for, any money of the Perbadanan;
(b) the duty of disbursing, or who does in fact disburse, any money of the
Perbadanan; or
(c) the duty of receiving, keeping in custody, disposing of or accounting for,
any store and property of the Perbadanan or who in facts receives, holds,
disposes or accounts for such store and property.
Notice to show cause before surcharge
5. The Perbadanan shall, before a person is surcharged, serve upon him a written
notice requesting on him to show cause why he should not be surcharged.
Amount of surcharge
6. If a satisfactory explanation is not received within fourteen days from the date of
service of a notice is served on a person under paragraph 5, the Perbadanan-
(a) in the case of any of the acts or omissions described in paragraph 4 (1) (a), (b)
and (c), surcharge against the person a sum of money not exceeding the amount
not collected, or of the improper payment made or of the value of the deficiency
in the property or of the property destroyed; and
(b) in the case of any of the acts or omission described in paragraph 4 (1) (d) and
(e), surcharge against the person such sum of money as the Perbadanan deems
fit.

Notification of surcharge
7. The Perbadanan shall notify the person surcharge in respect of any surcharge under
paragraph 5.
Withdrawal of surcharge
8. Notwithstanding paragraphs 6 and 7, the Perbadanan may at any time withdraw
any surcharge in respect of which a satisfactory explanation has been received or if it
otherwise appears that no surcharge should have been imposed, and the Corporation
shall immediately notify the person surcharge of that withdrawal.
Recovery of surcharge
9. The amount of any surcharge imposed under paragraph 6 and not withdrawn under
paragraph 8 shall be a debt due to the Perbadanan from the person surcharge and may
be sued for and recovered in any court on a suit of the perbadanan and may also, if the
Perbadanan directs, be recovered by deduction—
(a) from the salary of the person surcharged by equal monthly installments, each
installment not exceeding one-fourth of the total monthly salary of that person;
or
(b) from the gratuity of the person surcharge.

10. In making any rules under this Schedule the Perbadanan may, with the approval
of the State Authority, adopt with such modifications as it deems fit any regulations,
rules, policies, circulars and directives enacted or issued by the Federal Government
or State Government.

Kumpulan Wang
19. (1) Bagi maksud Enakmen ini suatu kumpulan wang yang akan
ditadbirkan dan dikawal oleh Perbadanan ditubuhkan.
(2) Kumpulan Wang hendaklah terdiri daripada–
(a) wang yang diterima oleh Perbadanan dalam menjalankan
fungsinya sebagai pihak yang memajukan Bandar Baru
Tunjong;
(b) apa-apa jumlah wang yang diperuntukkan dari semasa ke
semasa bagi maksud itu oleh Kerajaan;
(c) wang yang didapati daripada pengendalian apa-apa projek,
skim atau perusahaan yang dibiayai daripada Kumpulan
Wang;
(d) wang yang didapati atau terbit daripada apa-apa harta,
pelaburan, gadai-janji, gadaian atau debentur yang
diperolehi oleh atau yang terletakhak pada Perbadanan;
(e) apa-apa harta, pelaburan, gadai-janji, gadaian atau debentur
yang diperolehi oleh atau yang terletakhak pada
Perbadanan;
(f) jumlah wang yang dipinjam oleh Perbadanan bagi maksud
menjelaskan mana-mana obligasinya atau menunaikan
mana-mana kewajipannya; dan
(g) segala wang atau harta lain yang mungkin dengan apa-apa
cara menjadi kena dibayar kepada, atau terletakhak pada,
Perbadanan berkenaan dengan apa-apa perkara yang
bersampingan dengan fungsi kuasa dan kewajipannya.
Pemeliharaan Kumpulan Wang.
20. Perbadanan hendaklah memelihara Kumpulan Wang dengan
melaksanakan, menjalankan dan menunaikan fungsi, kuasa dan
kewajipannya di bawah Enakmen ini untuk memastikan bahawa jumlah
hasil Perbadanan, tertakluk kepada apa-apa arahan yang diberikan oleh
Pihak Berkuasa Negeri, adalah mencukupi untuk menjelaskan semua
jumlah wang yang boleh dipertanggungkan dengan sepatutnya pada
akaun hasilnya, termasuk susut nilai dan faedah atas modal, dari setahun
ke setahun.

Perbelanjaan yang hendaklah dipertanggungkan pada Kumpulan
Wang
21. Kumpulan Wang hendaklah dibelanjakan bagi maksud—
(a) membayar apa-apa perbelanjaan yang dilakukan dengan sah
oleh Perbadanan, termasuk fi dan kos ukur dan guaman dan fi
dan kos yang lain elaun anggota, dan saraan pegawai dan
perkhidmatan yang dilantik dan diambil kerja oleh Perbadanan,
termasuk elaun persaraan dan ganjaran;
(b) membayar apa-apa belanja, kos atau perbelanjaan lain yang
dilakukan atau setuju terima dengan sepatutnya oleh
Perbadanan dalam melaksanakan fungsinya atau menjalankan
kuasanya di bawah seksyen 4;
(c) membeli atau menyewa loji, kelengkapan, jentera, barang-
barang simpanan dan apa-apa bahan lain, memperolehi tanah
dan mendirikan bangunan, dan menjalankan apa-apa kerja dan
pengusahaan lain dalam melaksanakan fungsinya atau
menjalankan kuasanya di bawah seksyen 4;
(d) membayar balik apa-apa wang yang dipinjam di bawah
Enakmen ini dan faedah yang kena dibayar atasnya; dan
(e) pada amnya, membayar apa-apa perbelanjaan bagi
melaksanakan peruntukan Enakmen ini.
(d) hubungan antara perbadanan itu dengan Perbadanan dan hak pengawalan
Perbadanan ke atas perbadanan itu,
3. Tertakluk kepada peruntukan Enakmen ini dan mana-mana kaedah yang dibuat di
bawah seksyen 32, apa-apa kaedah yang dibuat di bawah perenggan 1 hendaklah
mengikat perbadanan yang berkenaan dengannya kaedah-kaedah itu dibuat dan
hendaklah mempunyai kuatkuasa bagi segala maksud seolah-olah kaedah-kaedah itu
telah diperbuat dalam Enakmen ini.

Daftar perbadanan
6. (1) Perbadanan boleh, dengan kelulusan Pihak Berkuasa Negeri, melalui perintah
yang disiarkan dalam Warta, mengarahkan supaya mana-mana perbadanan yang
ditubuhkan olehnya digulung dan dibubarkan.
(2) Sehingga suatu meterai diadakan oleh perbadanan, suatu cap yang
mengandungi nama perbadanan melingkungi huruf “PBBT” boleh digunakan dan
hendaklah disifatkan sebagai meterai biasa perbadanan itu.
(3) Meterai biasa itu hendaklah disimpan dalam jagaan orang yang diberikuasa
oleh perbadanan dan hendaklah disahkan oleh orang itu; dan semua suratikatan,
dokumen dan suratcara lain yang berupa sebagai dimeteraikan dengan meterai tersebut,
disahkan sebagaimana yang disebut terdahulu, hendaklah disifatkan telah
disempurnakan dengan sah sehingga dibuktikan sebaliknya:
Dengan syarat bahawa apa-apa dokumen atau suratcara yang jika
disempurnakan oleh seseorang yang bukan suatu pertubuhan perbadanan tidak akan
dikehendaki dimeteraikan boleh disempurnakan oleh perbadanan mengikut cara yang
serupa; dan mana-mana dokumen atau suratcara itu boleh disempurnakan bagi pihak
perbadanan oleh mana-mana pegawai atau pekhidmat perbadanan yang diberikuasa
secara am atau khas oleh perbadanan bagi maksud itu.
(4) Meterai biasa tiap-tiap perbadanan hendaklah diberikan pengiktirafan rasmi
dan kehakiman.

THE PERBADANAN
Public servant
7. All members, officers and servants of the Perbadanan, while
discharging their duties as such members, officers and servants, shall
be deemed to be public servants within the meaning of the Penal Code
(Act 574).
PART V
OTHER POWERS AND FUNCTIONS OF THE PERBADANAN
Investment
26. The assets of the Perbadanan shall, in so far as they are not required
to be expended by the Perbadanan under this Enactment, be invested in
such manner as the State Authority may approve.
27. The Perbadanan may employ and pay agents and technical advisers,
including advocates and solicitor, bankers, stockbrokers, surveyors,
valuers and other persons, to transact any business or to do any act
required to be transacted or done in the performance of its functions,
the exercise of its powers or the discharge of its duties or for the better
carrying into effect the purposes of this Enactment.
28. (1) The Perbadanan may from time to time, with the approval of
the State Authority by order published in the Gazette, establish a
corporation, by such name as the Perbadanan may think fit, to carry out
and have the charge, conduct and management of any project, scheme
or enterprise which has been planned or undertaken by the Perbadanan
in the performance of its functions, the exercise of its powers or the
discharge of its duties.
Acquisition of land
29. (1) When any immovable property in the Bandar Baru Tunjong,
not being State land, is needed to be acquired by the Perbadanan for the
purpose of this Enactment, such property may be acquired in accordance
with the provisions of any written law for the time being in force in the
State relating to the acquisition of land for a public purpose, and any
declaration required by any such written law that such land is so needed
may be made notwithstanding that compensation is to paid by the
Perbadanan, and such declaration shall have effect as if it were a
declaration that such land is needed for a public purpose in accordance
with such written law.
(2) All expenses and compensation payable for the acquisition of
any immovable property under this section shall be paid by the
Perbadanan.
(3) Where any immovable property has been acquired under this
section, the Perbadanan shall extract the necessary documents of title
in respect of such property and shall pay any rent to which such property
may be subject.
PART VI
GENERAL
(2) The appointment of any member, other than the representative of the
Government, may at any time, be revoked by the State Authority without assigning
any reason therefore.
(3) A member, other than the representative of the Government, may at any time,
resign his office by letter addressed to the Minister.
(4) Every member shall devote such time to the business of the Perbadanan as is
necessary to discharge his duties effectively.
Vacation of office
(2) Where any person ceases to be a member by reason of any of the provisions
of this Enactment, another person shall be appointed in his place in accordance with
the provisions applying.

Allowance
3. There may be paid to members of the Perbadanan or any other person not being
an officer or servant of the Perbadanan who is within the ambit of the provisions of
this Enactment relating to the terms and conditions of service applicable to his case
such remuneration allowance as the Perbadanan may determine.
Meetings
4. (1) The meeting of the Perbadanan shall be made determined by the Chairman.
(2) The quorum of the Perbadanan shall be four.
(3) The decision of the Perbadanan shall be by majority votes and where there is
an equality of votes, the General Manager shall have the deciding vote.
(4) The Secretary shall be present at all meetings of the Perbadanan but he shall
have no voting power.
(5) Subject to the provisions of this Enactment, the Perbadanan shall determine
its own procedure.
(2) Any minutes made of meetings of the Perbadanan shall, if duly signed, be
admissible in evidence in all legal proceedings without further proof and every meeting
of the Perbadanan in respect of the proceedings of which minutes have been so made
shall be deemed to have been duly convened and held and all members thereat to have
been duly qualified to act.
Validity of acts and proceedings
9. No act done or proceeding taken under this Enactment shall be questioned on the
ground of—
(a) any vacancy in the membership of, or of any defect in the constitution of, the
Perbadanan;
(b) the contravention by any member of the Perbadanan of the provisions of
paragraph 7; or
(c) any omission, defect or irregularity not affecting the merits of the case.
SECOND SCHEDULE
[Subsection 28(2)]
Power of the Perbadanan to make rules in respect of corporation
1. The Perbadanan shall, on or before the date on which any corporation is established
under section 28, make rules in respect of such corporation defining—
(a) the purposes and objects for which the corporation is established;
(b) the rights, powers, duties and functions of such corporation;
(c) the system of management thereof; and
(d) the relations between such corporation and the Perbadanan and the
Perbadanan’s rights of control over such corporation.

Limitation on power to establish corporation
2. Nothing in paragraph I shall be deemed to authorize the Perbadanan to make
rules to establish any corporation for any purpose or object more extensive in scope
than the purposes or objects for which the Perbadanan has been constituted or to
confer on any corporation any right, duty, power or function which is not within the
rights, duties, powers or functions of the Perbadanan under this Enactment.
Effect of rules
3. Subject to the provisions of this Enactment and of any rules made under section
32, any rules made under paragraph I shall be binding on the corporation in respect of
which they were made and shall have effect for all purposes as if they had been enacted
in this Enactment.
Amendment of rules
4. The Perbadanan may at any time amend, revoke or add to any rules made under
paragraph I in respect of any corporation.
Register of corporation
5. The Perbadanan shall keep a register in the prescribed form of all corporations
established by it under section 28 and such register, together with copies of all rules
made under paragraphs I and 4, shall be open to public inspection at such place or
places and at such time as it may prescribe.
Winding up
6. (1) The Perbadanan may, with the approval of the State Authority, by order
published in the Gazette, direct that any corporation established by it be wound up
and dissolved.
(2) Upon the dissolution of any corporation under this paragraph the assets of
the corporation after discharging all its liabilities shall be transferred to and shall vest
in the Perbadanan.
(3) The winding up of a corporation under this paragraph shall be conducted in
such manner as the Perbadanan may prescribe.
(3) The common seal shall be kept in the custody of such person as may be
authorized by the corporation, and shall be authenticated by such person; and all
deeds, documents and other instruments purporting to be sealed with the said seal,
authenticated as aforesaid, shall, until the contrary is proved, be deemed to have been
validly executed:
Provided that any document or instrument which if executed by a person
not bring a body corporate would not be required to be under seal may in like manner
be executed by the corporation; and any such document or instrument may be executed
on behalf of the corporation by any officer or servant of the corporation generally or
specially authorized by the corporation in that behalf.
(4) The common seal of every corporation shall be officially and judicially noticed.

Sistem Saraan Malaysia.
3. ELAUN PERUMAHAN
(a) Pengerusi RM500.00 sebulan
(b) Timbalan Pengerusi RM350.00 sebulan
4. ELAUN MESYUARAT
Pengerusi, Timbalan Pengerusi atau Ahli Suruhanjaya hendaklah
dibayar sebanyak RM50.00 sehari kerana menghadiri mesyuarat
Suruhanjaya atau mana-mana Lembaga di bawahnya: dengan syarat
bahawa elaun tersebut tidak boleh melebihi RM700.00 sebulan.
5. KEMUDAHAN PERUBATAN

Diberi satu bulan cuti rehat bagi satu tahun genap perkhidmatan.
7. ELAUN PERJALANAN
Elaun Perjalanan mengikut kadar yang dibayar kepada pegawai
dalam Kumpulan Pengurusan dan Profesional (Gred N54) Sistem
Saraan Malaysia hendaklah dibayar bagi perjalanan untuk tugas
rasmi.
8. GANJARAN
Suatu ganjaran atas kadar satu bulan gaji bagi tiap-tiap satu tahun
genap perkhidmatan hendaklah dibayar kepada —
(a) Pengerusi,Timbalan Pengerusi atau seseorang Ahli
Suruhanjaya apabila ia terhenti memegang jawatan
disebabkan perletakan jawatan kerana sakit atau habis
tempoh perlantikan, melainkan jika dia dilantik semula

2. SUBSISTENCE ALLOWANCE
The Chairman, Deputy Chairman, members of the Commission
shall be paid as subsistence allowance at the same rate as that payable
to officers in the Managerial and Profession Group (Grade N54)
Malaysian Remuneration System.
3. HOUSING ALLOWANCE
(a) Chairman RM500.00 per month
(b) Deputy Chairman RM350.00 per month
4. MEETING ALLOWANCE
The Chairman, Deputy Chairman or members of the Commission
shall be paid a sum of RM50.00 is respect of each day on which the
member attends the meeting of the Commission or of any Board
thereof: provided that such allowance shall not exceed RM700.00
per month.
5. MEDICAL FACILITIES
The Chairman, Deputy Chairman or Members of the Commission
and their families (extended to legal parent) are to be p r o v i d e d
with the medical facilities in the government hospital in class 1 “A”
(single room) at the rate of RM10.00 per day.
6. LEAVE (Chairman and Deputy Chairman only)
One month’s vacation leave in respect of each completed year
of service shall be granted.
7. MILEAGE ALLOWANCE
A mileage allowance at the rate payable to officers in the
Managerial and Professional Group (Grade N54) Malaysian
Remuneration System.
8. GRATUITY
A gratuity at the rate of one month’s salary for each completed
year of service shall be paid to—
(a) the Chairman, Deputy Chairman or a Member of the
Commission when he ceases to hold office upon his resignation
due to ill health or upon expiry of his term of appointment unless
he is reappointed immediately after the expiry of the term of his
earlier appointment; or
