MEMORANDUM

TO: Sean Costello, Bamboo Ecologic Corporation (BEC)

FROM: Bukidnon Giant Bamboo Corporation (BGB)

SUBJECT: Facility Update

After due consideration, we are pleased to inform you that we have temporarily
designated the space your team is using as a sorting and storage area for bamboo slats
for BEC.

While the area can serve its intended purpose for our current requirements, there may
be increased activities in the near future that warrants additional space of which we
only have limited options considering our limited space. A thirty (30) day prior written
notice shall be given should the need of additional space arise.

For now, we are happy to accommodate your activities consistent with the intended
purpose for the area.

Moreover, BEC intends to make certain and specific capital improvements at the
Aglayan facility on Rod Bioco's property.

Those include, but are not limited to, the following :

TOTAL $9440

The above mentioned additional expenses are also not inclusive of the ongoing $13k per
month budget allocation for BEC operations exclusive of Sean Costello and other key
members’ ongoing salary and bonus obligations.
BEC needs and requires WRITTEN assurances from BGB that BEC will be given a 60-
day notice to vacate the premises of Rod Bioco so that capital improvements can be
dismantled.

BGB will have the opportunity upon issuing a notice to vacate to purchase any and all
property currently owned by BEC.  This may or may not include other equipment not
listed above.

If BGB doesn't pay in full for any and all capital improvements made by BEC then BEC
will have the right to stay until 60 days from the issuance of a notice to vacate.
