PLAINTIFF, by counsel, respectfully states:

PARTIES

Plaintiff ENAGIC PHILIPPINES, INC. ("Enagic") is a

corporation duly organized and existing under and by virtue of
Philippine laws, with principal office at 16F RCBC Savings Corporate
Center, 26th and 25th Streets, BGC, Taguig City. A copy of the respective
Amended Articles of Incorporation and 2018 General Information
Sheets (GIS) of Enagic are attached as Annexes "A" and "B",
respectively.

It is represented in this Complaint by Asato Matsumoto, as

evidenced by the Secretary's Certificate dated zo October zoi8, attached
as Annex "C". It may be served with pleadings, notices and legal
processes through its counsel, DIVINALAW at the address indicated
below.

Defendant JESUS VILLENA is of legal age and Filipino. He may

be served with summons, notices and other legal processes at No. 310
Pearl Street, GEM Village MAA, Davao City.
 Defendant MERLYN YAP is of legal age and Filipino. She may
be served with summons, notices and other legal processes at Emerald
Village Km. 3, Bugac, MA-A Road, MA-A, Davao City.

Defendant JEROME CHIU is of legal age and Filipino. He may

be served with summons, notices and other legal processes at No. in
Pahlia Street, Donas Vine Subdivision Pampanga, Davao City.

ALLEGATIONS COMMON TO ALL CAUSES OF ACTION

Enagic is engaged in the sale and marketing of various

goods, particularly, water treatment system units and other related or
similar articles. Enagic uses the combined direct selling and multi-level
marketing business plan whereby it gets individuals to either join the
business as members and sell Enagic products directly, or to sponsor
(recruit) others to do the same. Members who are able to make sales,
called "distributors", receive commissions for each valid sale made. The
sales are conducted on consignment basis.

Defendants are among Enagic's distributors who

participated in such sales plan, under which, the distributors must
submit all purchase orders and pay the full amount to Enagic within one
month of consignment of the units. A copy of the defendants' duly
accomplished Purchase Process and Application Forms are attached as
Annexes "D" to "I', respectively.

Sometime in 2016, Enagic conducted an audit of its

distributors' records, including purchases and deliverables. It was
discovered that defendants had obtained water treatment system units
from Enagic for consignment to buyers, but the proceeds from the sales
had yet to be turned over to Enagic even years after the purchase.

Enagic's records reveal that, to date, defendant Villena has

an unpaid obligation of Phi' 8,662,980m0 representing thirty-six @6)
units of water treatment system units obtained from Enagic spanning
from 09 December 2015 until 29 April 2017.

us. Defendant Chiu has likewise failed to pay Enagic the

amount of PhP515,200.00 for three (3) units of water treatment system
units all obtained onM

 u. Defendant Yap has likewise failed to pay Enagic the amount
of Php 425,600.00 for three ()units of water treatment system units all
obtained 011 17 May 2017.

Copies of the Statement of Account providing the

breakdown of the foregoing amounts and details of the water treatment
system units obtained by defendants are attached hereto as Annexes
"G", "H" and "l."

While further investigation of defendants' accounts

continued Enagic, through Data C. Pabalinas CMs. Pabalinas")
entered into a Consignment Agreement with defendants Villena and
Yap for three (3) water treatment system units with the following details
on az June zoty:

Annexe '7" and "K", respectively.

On en August 2019, Enagic, through its Branch Manager,

Asato Matsumoto ("Mr. Matsumoto") wrote defendant Yap to inform
her that she had overdue consignments for more than ninety (90) days
which must be immediately settled. A copy of the letter dated m August
zmy is attached as Annex "L".

On 05 October zoiy, Enagic, again through Mr. Matsumoto,

separately sent demand letters to defendants Chiu and Villena. The
letters provided details of the water treatment system units they had
consigned from Enagic and demanded that they settle the overdue
consignments by the end of that month. Copies of the letters dated o5
October zoiyare attached as Annexes "M" and "N", respectively.

When defendants failed to heed these demands, Enagic

referred the matter to their legal counsel, DivinaLaw. Hence, on 09

November 2017, DivinaLaw sent individual demand letters dated 03
November 2017 to defendants, for the following:

Php 515,zoo.00 for defendant Chiu; and

Php 8,662,980.00 for defendant Villena.

Copies of the demand letters dated 03 November 2017 are attached

as Annexes "0" to "P", respectively.

di. On 29 January 2m8, Enagic, through counsel, sent

defendants second demand letters for the following amounts, copies of
which are attached as Annexes "Q" to "S", respectively:

Php 415,200.00 for defendant Chiu;

Php 8,662,95000 for defendant Villena; and
Php 6o4,800.00 for defendant Yap (this was later on corrected
and re-adjusted to Php 425,600.00 upon verification by Enagic of
its records).

19. On 24 May zoth, Enagic, through counsel, again sent

defendants third demand letters for the same amounts, copies of which
are attached as Annexes "T" to "V', respectively.

zo. Through the same letters, Enagic likewise invited

defendants to a conference on 27 June 24218 at to:cio in the morning to
discuss these matters further. Enagic clarified that the demand letters
should be construed as Enagic's final demand for the said amounts, and
that defendants failure to appear in the requested meeting or to settle
the above obligation on or before 27 June 2018 will constrain Enagic to
pursue proper leg.! remedies.

Instead of heeding Enagic's demand by meeting with Enagic

and paying their obligation on 27 June 2018, Enagic, through counsel,
received a copy of defendants Chiu and Yap's respective letters dated zo
June 2018 in the afternoon of 27 June 2018.

In his letter dated zo June 2018, copy of which is attached as

Annex "NV", defendant Chiu acknowledged receipt of the demand letter
dated 2.8 May 2(218 and belatedly informed Enagic of his inability to
attend. He explained that:

 XXX it took me awhile to respond to your letter
since I have been trying to contact my upline Mr.
Jesus Villena. I need to see him because while units
are consigned under my name, those units were taken
by him after they were delivered to me.
23. Furthermore, he attached to his letter an Affidavit from
Villena on the status of the consigned units and defendant Villena's
promise to pay Enagic the total cost of the units.

2.4. Defendant Yap's letter, copy of which is attached as Annex

"X", was of the same tenor. She similarly attached an Affidavit from
defendant Villena on the status of the consigned units and the latter's
promise to pay Enagic the total cost of the units.

23. On 23 October 2018, Enagic sent defendant Yap a final

demand letter dated 22 October 2m8 for the corrected amount of Php
423,6120.00 corresponding to the water purifier units she had obtained
fro E agic, and to give her five (5) days as a final opportunity to settle
the same. A copy of the letter dated 22 October 2018 is attached as
Annex "?'.

26. Defendants refused and, to date, continue to refuse

payment of its obligation despite having admitted to receiving the water
treabnent system units in question and despite admission of their
liabilities for the above amounts.

Hence, this Complaint.

Payment of Sums Due to Ems's

As shown in the foregoing statements of account and

demand letters, defendants had received the water treatment system
units for consignment.

Yet, to date and despite several demands, they have failed

to comply with said obligations which have become long due and
demandable.

Hence, defendant Villena must be held liable for the

amount of Php 8,662,980.00.

 31. By virtue of defendant Chin's letter dated zo June zoiS
acknowledging his obligation to Enagic, as well as defendant Villena's
promise to pay Enagic the total cost of the units in the Affidavit attached
to said letter, defendants Chin and Villena must be jointly ordered to
pay Enagic the amount of Php 515,200.00.

3z. Similarly, by virtue of defendant Yap's letter dated zo June

zoiS acknowledging his obligation to Enagic, as well as defendant
Villena's promise to pay Enagic the total cost of the units in the Affidavit
attached to said letter, defendants Yap and Villena must be jointly
ordered to pay Enagic the amount of Php 425,600.00

Interest

33 Legal interest must also be imposed on the foregoing

principal amounts. When an obligation is breached, and it consists in
the payment of a sum of money, i.e., a loan or forbearance of money, the
interest due should be that which may have been stipulated in writing.
Art. nog of the Civil Code states:

Art 2209 If the obligation consists in the payment of

a sum of money, and the debtor incurs in delay, the
indemnity for damages, there being no stipulation to the
contrary, shall be the payment of the interest agreed upon
and in the absence of stipulation, the legal interest, which is
six per cent per annum.

Furthermore the interest due shall itself earn legal interest

from the time it is judicially demanded. In the absence of stipulation,
the rate of interest shall be n% per annum to be computed from default,
i.e., from judicial or extrajudicial demand under and subject to the
provisions of Article n69 of the Civil Code?

Damages and attorneys fees must likewise he ordered paid

by defendants, on account of their wanton refusal to heed demand and
make payment. Such unwarranted refusal compelled Enagic to incur

costs and to engage the services of counsel to protect its interest and
vindicate its claims.

As an example for the public good, and as a deterrent

against other persons similarly disposed as defendants who evade
performance of their obligations, defendants should be held solidarity
liable to Enagic for exemplary damages in the amount of at least Two
Hundred Thousand Pesos (P200,000.00).

For the unjustified refusal and failure of defendants to pay

their obligation, Enagic was compelled to engage the services of counsel
to recover the same. Consequently, defendants should likewise be held
solidarity liable to Enagic in the total amount of not less than Two
Hundred Thousand Pesos (12200,000.00) in attorney's fees.

PRAYER

WHEREFORE, it is respectfully prayed that after trial, judgment

be rendered, ordering defendants to pay plaintiff the following:

Php 8,662,980.00 for defendant Villena; Php 515,200.00 for

defendants Chiu and Villena, as their joint obligation; and, Nip
425,600.00 for defendants Yap and Villena, as their joint obligation,
plus legal interest from date of demand until paid in full;

At least Two Hundred Thousand Pesos (P200,000.00)

as exemplary damages;

Not less than Two Hundred Thousand Pesos

(12200,000.00) as attorneys fees; and

Costs of suit.

Other equitable reliefs are likewise prayed for.

Due to the different quality of waist throughout the Phillppine amtacelago, prefilters are required for

Due to the quality of water throughout the Philippine archipelago, prefilters are required for optimum operation of all water
ionizer installations. The installation of prefilters will allow the machine filter lobe utilized more efficiently and enhance
the operation of the ionizer.

Note the fallowing recommendations:

Prefiltera used in SOFT WATER should have a minimum o12 canisters with the followirth cartridges:

S micron sediment. Filters dirt, rust and other contaminants. Fiber and ceramic cartridges are available.
Fiber cartridges are disposable. Ceramic cartridges an reusable. Ceramic cartridges are washed manually
When soiled.

Carbon charcoal. Filters chlorine and unpleasant odor. Disposable only.

Ion ExchangeFilter. This filter if required will be installed as it Is Canister. ibis filter acts as a water

WHEREAS, Enagic Philippines, Inc.owns right and title over certain the machines for sale, and
the Consignee desires to take possession of certain Consigned Machines with the intention of
selling it to a third party buyer.

NOW, THEREFORE, in consideration of the foregoing premises the mutual agreement and
covenants contained herein, the parties hereto, agree as follows:

1. RIGHTTOSELL Consignorherehy grants to the Consignee the exclusive right to sell

the consigned machine according to the terms and conditions of this Agreement It is
also further agreed that all sales made by the Consignee shall be In his name and
transfer of machine to other distributor(s) shall he subject to approval and sole
discretion of the Consignor.
2, LIMITATION. Consignee is not granted any right or authority to assume o to create
any obligation or responsibility, expressed or implied in behallof or in the name of the
Consignor or to bind Enagic Philippines. Inc. in any manner.
3. TITLE. Title and ownership of the "Consigned Machine shall remaiclh tEnagic

be transfer to the Buyer.
4 PAYMENT. Consignee should submit all purchase orders and pay full amount to Enagic
Philippines, int within thirty (30)days from the sale contract date orifafter 30 days
from consignment and settle the corresponding amount due through the following
methods;
I. Pay the ml' amount.
ii. Return the machine in its original brand new state and sealed condition. lithe
seal is tampered. it is considered as sold.
For damaged box, the Consignor will charge Php56060 for replacement of
new box.
S. DEFAULT fAYMENT. tithe Consignee defaults in any payment or settlement on the
due date, Enagic Philippines, Inc. reserves the right:
t terminate the commission payment to the Distributor;
After thirty (30) days - 50% deduction from all commissions of the
Distributor
F ilure to liquidate after sixty (60) days shall authorize Enagic Philippines,
c. to deduct 100% from the Consignee/Distributor's upcoming
commissions for the entire payment of consigned machine.
Iv. The Consignee acicnowledges that per prevailing SIR regulations:

the marketing condition.
Enagic Philippines. Inc. reserves the right to interpretadon and decision of
any terms herein at any time.
No additional consigned machines will be released until previous
