DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale (“Deed”) is made and executed this ______ in Tagaytay City,
Cavite, Philippines, by and between:

HERDENIA I. AMAR, single, of legal age, Filipino with residence at Magallanes


Drive, Silang Crossing West, Tagaytay City, hereinafter referred to as SELLER.

and

DOMINIQUE ISABELLA REGINA GATMAYTAN OROLA Filipino, of legal age,


both residing at 22 Crosley Lane Liberty Homes Alabang, Muntinlupa City, herein referred to
as the BUYERS;

WITNESSETH THAT:

WHEREAS, the SELLER is the sole heir of the deceased, CHRISTOPHER AMAR,
registered owner of a parcel of land situated at Silang Junction West, Tagaytay City with an
area of Two Hundred Eighty and Thirty Square Decimeters (280.30), more or less.

A Copy of Affidavit of Self Adjudication by the Sole Heir is attached hereto and made an
integral part hereof as Annex “A”.

WHEREAS, the SELLER offered to sell the said parcel of land she inherited,
covered by a Transfer Certificate of Title No. 1-4521, (“Subject Property”) and the BUYER
agreed to buy the above-mentioned parcel of land.

A Copy of the said Transfer Certificate of Title No. T-14521 is attached hereto and made
an integral part hereof as Annex “B”.

NOW THEREFORE, for and in consideration of the foregoing premises and of the terms
and conditions specified in this Deed, the SELLER hereby SELL, CEDE, TRANSFER and
CONVEY unto the BUYER, the Subject Property, under the following terms and conditions:

Section 1. Purchase Price and Terms of Payment.

Parties agreed that the purchase price of the Subject Property shall be in the total
amount of TWO MILLION EIGHT HUNDRED THOUSAND PESOS (Php 2, 800.00).
Upon signing hereof, the BUYER shall pay the SELLER the amount of Eight Hundred
Thousand Pesos (Php 800,000.00) out of the total purchase price.

Section 2. Taxes, Fees and Expenses.

Taxes, fees and expenses such as the Capital Gains Tax, Documentary Stamps Tax,
Local Transfer Taxes, Real Property Taxes, and related fees, costs and expenses shall be for the
exclusive account of the BUYER.
Section 3. Processing of Transfer of Title

The processing of the transfer of title over the Subject Property, which includes
securing the Certificate Authorizing Registration including all costs of the transfer, shall be the
responsibility of the BUYER.

Section 4. Binding Effect.

This Deed shall be binding upon the assigns, executors, administrators, and successors-
in-interest of the Parties.

Section 5. Miscellaneous.

a. This Deed contains the entire agreement of the Parties and may be amended or
modified only by an agreement in writing signed by the Parties.

b. No Party may assign any of its rights and obligations under this Deed without the
prior written consent of the other Party.

c. That the SELLER warrants the full and genuine authority to sell said Subject
Property, and shall defend the BUYER’S ownership and peaceful possession of the property.
Furthermore, the SELLER holds a good and valid title thereto and possession of the property
herein sold and conveyed.

d. In the event of any violation of this Deed, all disputes arising from this transaction
should be filed exclusively at the Municipal Court in Silang, Cavite City or the Regional Trial
Courts of Tagaytay City, as may be appropriate.

This instrument refers to the Deed of Absolute Sale, which consists of three (3) pages signed by
the Parties on all pages including the one on which this acknowledgement is written.
