AFFIDAVIT OF OWNERSHIP

         We, Heirs of Spouses Nicanor Mendoza and Florencia Alvarez, all of

legal age, Filipino, all married, and all residence of Brgy. Tumaway, Talisay,
Batangas, after having been duly sworn to in accordance with law, depose and
state the following:

1. That we are the owner of certain parcel of untitled land located at Brgy.Tumaway,
Talisay, Batangas more particularly described as follows:

Lot 1267, Cad-729-D, Talisay Cadastre

(Tax Declaration No. 28-0015-01119)

A parcel of land (Lot No. 1267 of the cadastral survey of Talisay) situated in
the Municipality of Talisay. Bounded on the NE., by Lot 803; on the SE., by Lot
4076; on the SW., by Lots 4076 and 4074; and on the NW., by Provincial Road.
Containing an area of 2,040 sq.m more or less.

2. That the said aforementioned Tax Declaration over said property is free from any
lien or encumbrances includes and contains all the permanent improvements and
buildings located and situated thereon.;

3. That we are executing this Affidavit to attest and declare the truth of the
foregoing facts and for whatever legal purposes that this Affidavit may serve.
