 TERMS AND CONDITIONS OF SALE
1. DEFINITIONS
In this agreement, “APT” means Appropriate Process Technologies (Pty) Ltd
including subsidiary or subcontractor companies (TecWin Investments (Pvt) Ltd)
by which the goods are sold. “Purchaser” means the body corporate, firm or
person by which the goods are purchased. The “goods” are the goods and
services described in APT/TecWin’s quotation or pro-forma invoice.
2. GENERAL PROVISION
These Terms and Conditions and the terms and conditions set out in the
Quotation or Pro-forma Invoice or Fiscal invoice constitute the entire contract on
the subject matter, which may be modified only in writing signed by both parties.
Any notice required under this contract shall be in writing and shall be effective
when personally delivered or sent electronically. Purchaser may not assign any
rights hereunder without APT’s prior written consent.
Failure by APT to enforce any provision hereof shall not be a waiver of the right
thereafter to enforce such provision. No waiver or course of dealing between APT
and Purchaser shall affect the right of APT to require performance by Purchaser
strictly in accordance with this contract.
3. PAYMENT TERMS
Payment for all goods is due in advance and shall be paid in full prior to shipment,
unless otherwise specified by APT in the Sales Order Acknowledgement. Any
amount not paid to APT within 30 days after the invoice date will bear interest at
2% per month (24% annum). APT may at any time in its sole discretion revoke
credit, or require payment in advance of manufacture or delivery of goods.
Upon confirmation of an order, APT will raise and issue a pro-forma invoice to
enable payment of the required deposit.
Upon completion of the order the Purchaser will be notified and final payment plus
freight costs, if APT is responsible for same, must be effected prior to packing of
the goods for shipping (“final payment”).
Non-payment of the final payment on due date will result in APT notifying the
Purchaser of its payment default and requesting the Purchaser to rectify same
within 14 calendar days.
Failure to rectify will result in cancellation of the order. Cancelled orders will result
in a 20% penalty (calculated at 20% x of the final payment excluding freight costs)
being effected against the deposit payment, and the remaining net deposit
amount (without interest) will be credited against the cost of any new goods
ordered in future by the Purchaser. .
If the Purchaser does not collect the goods (for whatsoever reason) at the port of
destination, resulting in demurrage and other charges for the account of APT and
should APT be required to settle same, the Purchaser will be deemed to have
given up all right and title to the goods and APT may elect have the goods
shipped back to APT’s premises. In such event APT will sell the goods to defray
any and all damages suffered, including but not limited to the shipping costs
incurred in returning the goods to APT’s premises, demurrage and other charges
incurred by APT and will keep 20% of the goods’ original value as a penalty
payment. The balance of moneys left over, if there are any, will be credited
against the cost of any new goods ordered in future by the Purchaser.
4. TAXES
Purchaser shall pay every existing, new or increased tax, public charge, VAT,
tariff, duty, or reassessment of any of the foregoing, levied or imposed upon
goods for this transaction.
5. INSURANCE
Purchaser shall pay all costs of insuring goods from point of origin, EXW
Johannesburg RSA. Purchaser assigns to APT Purchaser’s right to any proceeds
of insurance, to the extent of any amount owed by Purchaser to APT.
6. TITLE
No ownership in the goods shall pass to Purchaser except in accordance with the
"Incoterm" specified in the Quotation. After title passes to Purchaser, APT shall
have a security interest in the goods and a right to exercise a lien over the goods
until Purchaser pays APT in full for the goods and/or pays any and all demurrage
and other charges incurred by APT
7. POINT OF ORIGIN
All sales are EXW Johannesburg unless otherwise stated. If the goods are
supplied EXW, the seller is under no circumstances responsible for the transport
of the goods from their place of manufacture to any intended destination required
by the purchaser. The transportation of the goods is the sole responsibility of the
purchaser who undertakes to do all things necessary to arrange for the removal of
the goods from its place of manufacture within 1 (one) calendar month after
manufacturing of the goods has been completed.

8. SHIPMENT
“Shipment” means delivery to the initial carrier in accordance with the delivery
terms of this order. The shipping date is based on conditions at the factory on the
date of the placement of order by Purchaser, and APT may change date based on
the conditions on date of Purchaser’s acceptance. APT may make partial
shipments. APT shall select method of transportation and route unless terms are
Ex Works. If Purchaser specifies the method and route of transportation,
Purchaser shall pay all freight costs in addition to the sale price.
Pre-packing inspection (Certificate of Conformance) is required by some countries
before freight can be booked. The client must inform APT of any pre-inspections
requirements at date of initial order. Pre-inspections are the responsibility of the
client and must be booked by the client. Unless otherwise stated Pre-inspections
are excluded from freight cost
Any weights specified to the Purchaser or written in the proposal are estimations
and are subject to variations. Any variations to changes to the indicative weights
shall not alter the contract price, nor give rise to claims again APT.
9. RISK
Risk pertaining to the goods shall be passed to the Purchaser upon delivery at the
port of destination or collection according to the INCOTERMS specified in the
contract and the Purchaser will have sole responsibility for all damages as a result
of theft, accident, natural causes and alike from thereon after. This risk
responsibility is irrespective of whether ownership of the goods has been passed
to the Purchaser or not.
10. PURCHASER DATA
APT will endeavor to meet Purchaser’s schedule, however timely performance by
APT is contingent upon Purchaser supplying to APT when needed all required
technical information, including drawing approval, final purchase order and all
required commercial documentation.
11. FORCE MAJEURE
If APT suffers delay in performance due to any cause beyond its control, including
but not limited to act of God, war, act or failure of government, act or omission of
Purchaser, fire, flood, strike, labor trouble, sabotage or delay in obtaining from
others suitable services, materials, components, equipment or transportation, the
time for performance by APT shall be extended equal to the period of the delay
and its consequences. APT will give Purchaser notice in writing within reasonable
time after APT becomes aware of such delay.
12. STORAGE
APT may store, at Purchaser's expense and risk, any item for which manufacture
or shipment is delayed by causes within Purchaser’s control, or which affect
Purchaser’s ability to receive the item, and Purchaser shall pay reasonable
storage charges as part of purchase price for the goods. This is allocated at US$5
per day per square metre of floor space taken.
13. SITE PREPARATION
The commissioning team will not be dispatched until APT has received
photographic proof of completed preparations as per APT instructions, being
foundations and water supply.
14. COMMISSIONING
If commissioning is included in this contract, the commissioning process will be
carried out as per instructions given by APT and is done at the customers risk.
APT shall not be responsible for any resulting loss or damage. All commissioning
services carried out by APT will only be performed upon approval by a director of
APT. Any commissioning services carried out as a result of an agreement without
approval of a director of APT shall be void. APT will employ its own installation
crews.
14.1. Preconditions for commissioning
APT will supply the client with an estimated timeframe for the commissioning
process. Due to the uncertainty of the commissioning process, there is no
warranty as to the estimated time period for the commissioning program.
14.2. Stages of commissioning
The commissioning process is split into three stages; Installation, Cold
Commissioning and Hot Commissioning as described below. The commissioning
process should prove the structural, mechanical and electrical integrity of the
goods in terms of good engineering practice.
a) Installation
The Installation process will have been completed upon the physical placement
and erection of all machinery and ancillary items.
b) Cold Commissioning
In order to successfully complete the Cold Commissioning Process, the goods
must be run safely and successfully under no external load for a predetermined
minimum number of consecutive hours, without interruption. Should interruption
occur due to failure of APT equipment, the Cold Commissioning process must be
restarted.

c) Hot Commissioning
In order to successfully complete the Hot Commissioning Process, the goods
must be run safely and successfully under the load conditions specified in the
Proposal for a predetermined minimum number of consecutive hours, without
interruption. This predetermined minimum number of hours must be agreed upon
by APT and the Purchaser before the Hot Commissioning process is due to begin.
Should interruption occur for due to failure of APT equipment, the Hot
Commissioning process must be restarted.
Hot Commissioning relies on input from the client to complete successfully. This
includes but is not limited to provision of water, power, fuel, trained operators,
loading and haulage equipment and tailings disposal arrangements. APT will
provide the client with a full set of requirements prior to installation. Any
interruptions to the Hot Commissioning arising from Purchasers fault or failure to
supply will result in APT withdrawing the commissioning team and re-mobilising at
a later date, at the client’s expense. Any delays to commissioning (including
weather, strike action etc) do not affect the total running hours agreed on for
acceptance.
d) Acceptance Certificate
Upon successful completion of all three phases of commissioning, namely
Installation, Cold Commissioning and Hot Commissioning, an acceptance
certificate in respect of the goods supplied by APT must be signed by the
Purchaser and will signify his acceptance of APT’s fulfilment of the requirements
within the proposal and the hand-over of the goods from APT to the Purchaser.
15. PERFORMANCE GUARANTEE
No process or metallurgical guarantees are provided or implied by APT. APT shall
not be held responsible for any performance indicators that are different from
those predicted. These performance indicators shall have no influence on the
measure of success of the commissioning process or the signing off of the
acceptance certificate.
16. INDEMNITY
Purchaser shall indemnify and save harmless APT from and against any and all
claims, actions, demands, losses, costs (including all legal fees and
disbursements as between an attorney and his own client), damages, expenses
and liabilities arising in whole or in part out of any use or handling of goods by
Purchaser or any other person after shipment of same, or any act or omission of
the Purchaser or its agent, employee or contractor.
17. LIMITATION OF LIABILITY
Notwithstanding any other provision hereof, APT’s liability to Purchaser arising
from the manufacture, sale, delivery, use or resale of the goods, whether based
on warranty, contract, negligence or otherwise, shall not exceed the lesser of the
cost to APT of correcting defects in the goods as herein provided or the price paid
by Purchaser for the particular item which gives rise to the liability. Upon the
expiration of twelve months from the date of shipment of goods to Purchaser, all
such liability shall terminate.
Without limiting the generality of any other provision hereof:
a) APT shall not be responsible for any loss, damage, or expense arising
from any work, equipment, parts or repairs by others not properly
within APT’s scope of works
b) APT shall not be liable to Purchaser or any user for loss of anticipated
profit, loss from plant shut-down, non-operation or increased expense
of operation of other equipment, consequential loss, or other loss or
damage of any nature arising from any cause whatsoever.
This warranty shall be void if:
a) Purchaser fails to inform APT of a warranty claim within 30 days of
receipt of goods; or
b) Purchaser has opened or attempted to repair the item in question
without APT’s express written authority; or
c) Purchaser fails to make any payment when due to APT; or
d) Any APT logo, decal, warning sign, serial number identification plate,
or other similar item is removed from goods; or
e) Goods are improperly stored or handled, or are not operated and
maintained in accordance with any manuals or training provided and
good industry practice.
Purchaser may not assign this warranty.
APT gives no warranty, express or implied, except as expressly set out herein.
Purchaser may not make any claim after one year from the date on which the right
to do so arose.
19. CONFIDENTIAL NATURE OF DOCUMENTS SUPPLIED BY APT
All drawings, specifications, manuals, intellectual property and other such
information supplied by APT to the Purchaser shall remain the exclusive property
of APT and shall not be published or disclosed to any third party or made use of
by the supplier except for the intended purpose of executing the proposal.
20. SPECIFICATIONS
All specifications pertaining to design parameters such as, but not limited to,
dimensions, capacity, flowrates, power or performance, stated in any
documentation drafted by APT, are given in good faith and must be taken to be
approximate unless specifically stated to be a warranty or contractual obligation.
APT will not be held responsible for any undesired repercussions resulting from
the inaccuracy of any given specification.
21. MODIFICATIONS
Equipment supplied by APT is manufactured based on standard design. Should
any modifications to this design arise as a result of a request from the Purchaser,
the cost of such modifications shall be owed by the Purchaser and risk of
implementing said modification shall be the sole responsibility of the Purchaser.
Unless otherwise specified, APT offers no guarantee and will not be held liable for
the failure of goods modified at the Purchaser’s request.
Should the Purchaser request a modification after the proposal containing the
goods in question has been accepted, APT reserves the right to extend any
quoted delivery period that may be effected as a result.
22. LAW
This contract shall be governed by the laws of South Africa. All disputes relating
hereto shall be within the exclusive jurisdiction of the Courts of South Africa,
provided APT may at its option take action in any other jurisdiction to collect
amounts owed by Purchaser.
23. DISPUTE RESOLUTION
Where a dispute arises in terms of the contract, between APT and the purchaser,
and the dispute in question in not related to a claim in payment of the contract
price by APT against the purchaser, APT is entitled to institute such action as
appropriate in any court which has jurisdiction or by means of arbitration, which
decision shall be at APT’s sole discretion. The arbitration will be conducted in
terms of the Rules for the Conduct of Arbitrations as published by the Association
of Arbitrators (South Africa).

18. LIMITED WARRANTY (Where Applicable)

For goods manufactured by or on behalf of APT, APT warrants that if within 6

months from the date of commissioning of such goods to Purchaser (or 12 months
from shipping – whichever is sooner), the Purchaser finds that such goods are
defective in workmanship or materials, then the Purchaser’s sole and exclusive
remedy for breach of warranty, provided the Purchaser gives prompt written
notice of same to APT within the warranty period, APT will repair or replace such
goods. PROVIDED THAT:

a) Such goods must be delivered to APT at Purchaser's expense, or

Purchaser must pay cost of APT’s personnel attending Purchaser's
premises to examine and repair or replace goods, in order for APT to
validate or reject the warranty claim. Should the warranty claim be
justified, APT will reimburse the costs of the personnel attending the
site.
b) APT does not warrant any item that is not manufactured by APT or
elected subcontractor, whether sold separately or as part of APT’s
goods. APT assigns to Purchaser the benefit of any warranty of any
third-party manufacturer, without recourse against APT.
c) All products manufactured by others and sold by APT, whether
separately or as components of other units, are sold solely upon and
subject to the terms warranted by their respective manufacturers.
d) The warranty does not apply to goods subjected to wear and tear by
chemical or abrasive attack, or by abuse or incorrect operation.
