MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement (herein referred to as ‘Agreement’) entered

into this ___ day of __________ 20___ by and between:

______________________________, represented by its _______________,
______________________________ hereinafter referred to as the ‘CLIENT’,

-and-

______________________________, with office address at

______________________________, represented by its _______________,
______________________________, hereinafter referred to as the ‘SERVICE
PROVIDER’.

CLIENT and SERVICE PROVIDER are collectively called ‘PARTIES’.

WITNESSETH:

WHEREAS, the CLIENT, is willing to accommodate the services of the

SERVICE PROVIDER, as partner in the provision of recruitment and training of
program participants as pre-employment requirements for the private security services
profession;

WHEREAS, the SERVICE PROVIDER is willing to establish partnership with

the CLIENT to perform such expertise, skills and knowledge of its Certified Security
Trainers (CSTs);

NOW, THEREFORE, for and in consideration of the foregoing, this Agreement is

entered by and between the CLIENT and the SERVICE PROVIDER with the following
covenants, to wit:

I. SCOPE OF ENGAGEMENT

The CLIENT shall engage the services of the SERVICE PROVIDER and
perform the following:

A. Provide orientation to and ensure the observance of the SERVICE

PROVIDER of the CLIENT’s objectives;

B. Profile and screen program participants who are eligible for training based
on their clientele’s requirements and standards;

C. Provide the training venue depending on the situation;

D. Provide monitoring on the services rendered by the SERVICE

PROVIDER; and

E. Provide employment for the successful graduates of the training program.

 In line with the objectives set, the SERVICE PROVIDER agrees to
perform the following:

A. Ensure to obtain a Letter of Authority (LA) from the Philippine National

Police – Supervisory Office for Security and Investigation Agencies (PNP-
SOSIA) to places where the training program shall be conducted;

B. Conduct recruitment for the needed security personnel with appropriate

qualifications for the CLIENT.

C. Provide a PNP-SOSIA Accredited Security Training Officer and Instructors

during the conduct of the training program;

D. Conduct and supervise the whole operations before, during, and after the
conduct of the training program; and

E. Ensure timely processing and release of training certificates, other

documents and the required License to Exercise Security Profession
(LESP).

II. CIRCUMSTANCES

This Agreement does not in any way create an Employer-Employee

relationship between the PARTIES.

Should circumstances arise beyond the control of any PARTY which makes
it impossible to proceed with or fulfil its obligations under the Agreement, said
PARTY shall notify the other PARTY in writing within one (1) week from the
occurrence of the unforeseen circumstances.

The PARTIES shall thereupon mutually agree as to the actions to be

taken and the date when the unfulfilled obligations shall be undertaken.

The SERVICE PROVIDER shall replace immediately, if one of the

security personnel whom the latter had endorsed if he/she does not meet the
standard qualifications set by the CLIENT and send him/her back immediately to
the SERVICE PROVIDER.

III. EFFECTIVITY

This Agreement shall take effect upon signing by the PARTIES and shall
remain in full force unless sooner terminated in writing for any reason at the
instance of any Party hereto, which termination shall take effect after three (3)
months from actual receipt of such written notice by the other Party. Any
amendment to the provisions of this Agreement shall be with mutual written
consent of both parties.
