SPECIAL POWER OF ATTORNEY

I, JOCELYN PEREZ, of legal age, married, Filipino citizen and a resident of

Sagasa, Esperanza, Sultan Kudarat, Philippines, have named, constituted and
appointed, and by these presents do name, constitute and appoint Maricel M. Soledad,
of legal age, married, Filipino citizen and a resident of Brgy. Bakhaw, Mandurriao, Iloilo
City, Philippines, to be my true and lawful attorney-in-fact for me and in my name, place
and stead, and for my own use and benefit, to do and perform any and all of the
following acts and things, namely:

1. to receive my monetary shares in Ace2Ace Prime Holdings, Inc, with office

address at Q. Abeto St., Mandurriao, Iloilo City;

2. to make, sign and execute documents necessary for the receiving of the
aforementioned shares;

GIVING AND GRANTING unto my said attorney-in-fact full power and authority
to do and perform every act and thing whatsoever requisite and necessary to be done in
and about the premises, as fully to all intents and purposes as I might or could do if
personally present, hereby ratifying and confirming all that my said attorney, shall
lawfully do or cause to be done by virtue of these presents.
