二、验货标准：按本合同附件设备清单 1 检验。
Inspection: The inspection shall be taken according to the equipment list 1.
三、甲方对质量负责的条件及期限：主机设备保修壹年(易损件除外)。
Warranty: The seller shall guarantee the quality of the commodity for 1 year(excluding the wearing parts).
四、包装标准、包装物的供应与回收：设备附件部分需要出口加固型包装。
Packing: The accessories of the Machine should be packed with reinforced Measure.
五、标的物所有权自货款付清时起转移，但乙方未履行支付清价款义务前，标的物属于甲方所有。
After the seller gets the full payment, the rights of the bidding goods shall be transferred, if the buyer can’t fulfill
the payment, the rights of the bidding goods still belong to the seller.
六、提货方式、地点：FOB 青岛港。交货日期：收到定金后 40 天内工厂发货。
Loading Terms and Place: FOB Qingdao. Time of Delivery: Factory shipment within 40 days after receipt the
deposit .
七、运输方式及到达站（港）和费用负担：甲方将货物运至青岛港，海运费由乙方承担。
Terms of Transportation, port of destination and the charges:The seller shall ship the goods to Qingdao port and
the buyer shall bear the sea freight.
八、检验标准、方法、地点及期限：按照本产品相关设计标准检验，甲方提供产品合格证书并由乙方来厂检验。
Inspection Standard, methods, place and time: The inspection shall be taken according to inspection by the
design Criteria of the equipment ; the goods will be inspected by the buyer in the seller’s plant and Certificate of
the Product shall be taken as final.
九、结算方式、时间、地点及期限：合同金额（$20,580.00)做为定金以 T/T 方式支付作为定金，出厂之前一次性付清余
款（$30,870.00)，以 T/T 方式支付，收到货款后工厂发货。

Contract Termination: According to the Contract Law
十一、合同争议的解决方式：本合同在履行过程中发生的争议，由双方当事人协商解决；也可由当地仲裁机构调解。
Settlement of Disputes: All disputes in connection with this contract or the execution thereof shall be settled
friendly through negotiations by the two parties. In case no settlement can be reached, the case may then be
submitted for intermediation to Administrations for industry and commerce of the people's governments.
十二、收到定金后合同生效。
The contract will become effective upon receipt of the deposit.
十三、其他约定事项：保质期内，甲方负责派技术人员到乙方指导安装调试，技术人员去国外的伙食，住宿以及交通费
用由乙方承担，指导安装期间，乙方付甲方技术员每人每天工资壹佰柒拾美元。甲方提供产品的中英文说明书，图纸等
资料。
Other remarks: Within the time of warranties, the seller will send the engineer to guide to install the machine, the
buyer should prepare the materials needed and should be responsible for the engineer ’ s travel expense,
accommodation abroad. the buyer shall pay the salary for the engineer, 170 dollars per day for the exceeding
time. And the seller will provide the Instruction Manual with Chinese and English Versions and the Foundation
Drawings.
十四、本合同中英文两份,拥有同等法律效率,以中文合同为主。
This contract is executed in two copies each in Chinese and English, Both language versions are equally
authentic. In the event of any discrepancy between the two aforementioned versions, the Chinese version shall
prevail.
