ANNEXURE IV

PROCESS DESCRIPTION

MULTIGRADE FILTER
The water is passed through a Multi-grade filter to reduce the suspended solids
present in the raw water. This filter is provided to keep a check on the suspended
solids. The suspended particles in the raw water get entrapped in the filter media.
The filter will have to be washed with effluent water for 10 to 15 mins daily.

 3D Modeling is excluded from WTE scope of supply.
 All pumps are Non-API with Two Pole, IE2 motor.
 We have considered our STD HSE requirement. Any additional HSE requirement
will have cost impact.
 All TPI (Third Party Inspection) are excluded from our scope of supply.
 We have considered Standard electrical specifications as per WTE standard, for
any additional requirement will cost extra.
 Our Scope of supply will be strictly as above.

ANNEXURE – X

TERMS & CONDITIONS

1.0 TAXES & DUTIES


 GST : Extra 18 %
 Transportation : Included up to site
 Unloading : Extra by purchaser.
 Insurance : Included

2.0 Payment Terms


 10 % Advance along with PO against submission of ABG within 15 days from
the date receipt of original ABG.(ABG can be converted to PBG).

 10 % against submission of ABG and drawings & Documents approval on


manufacturing clearance within 15 days from the date receipt of ABG.

 70% on pro rata basis along with 100% taxes on proof of dispatch of
equipment against our dispatch instructions and exchange of dispatch
documents against 60 Days PDC. 60 days from the date of dispatch of
material.

 10 % Within 30 days after successful erection & commissioning with trial


against PBG of equivalent amount, PBG is valid for 12 months from the date
of successful completion of erection & commissioning or 18 months from the
date of completion of entire supply, whichever is later.

3.0 Delivery:
After commercially and technically clear purchase order and the date of
Receipt of advance,

 5 months for equipment supply after advance & dwg approval.


 15 - 20 days for erection of equipment after completion of civil work.
 10 - 12 days for commissioning of our plant.

4.0 Offer Validity:
This offer will be valid for 1 month from the date of submission.

5.0 Order Specifications :


Specifications, dimensions, designs, description, shade of paints etc. are not
binding on us in minute details and are subject to reasonable alterations without
notice.

6.0 Basis of Pricing and Validity :


All taxes, excise and other duties shall be charged separately as applicable at the
time of delivery. Fright &octroi shall be borne by the purchaser. Purchaser/
consignee outside Maharashtra and registered under the Sales Tax Act are advised
to send Sales Tax Form along with the purchase order as otherwise the state,
Central Tax will be to the Purchase’s Account.
Purchaser / consignee should send necessary Road Permit / Entry Forms
applicable in that State prior to dispatch of material.

7.0 Delays :
In case the goods are made ready by WTE and inspire of repeated request user/
Customer does not take delivery by fulfilling commercial obligations, WTE has right
to do following –
a) Divert the equipment to other customer without any further prior intimation to
customer for whom the goods were originally manufactured. The cost and expenses
incurred in diverting the goods to the new customer will be covered from the
original customer for whom goods were manufactured.
b) Till the goods are diverted, additional charges will be levied the customer for
storage, insurance and interest at the rate of 1% of the invoice value of each week
or part thereof commencing 15 days from date of proforma invoice. Any additional
cost incurred for proper preservation of equipments will also be recovered from the
customer. Any item having limited shelf life and being part of the equipment will be
charged additionally to the user/ Customer.
Delays in engineering, Procurement of raw materials, manufacturing, delivery,
transport transit or during site activities, occur due to several factors over which
WTE has no control. Delay can also occur due to delay in completion of activities
within client scope, or compliance of statutoryrequirements or changes in such
requirements etc. over which WTE has no control.
Accidents, Break down in transit, or during loading unloading, erection and
handling are additional causes of delay over which WTE has no control.
WTE will make all efforts to ensure that agencies hired for the activities in scope of
WTE are reliable, However since these agencies also depends one way or other on
further external inputs outside their scope and control, WTE will not be liable to

compensate in any form any agency.e.g. Client, user investor, contractor etc. for
delay of any nature as mentioned herein above.

8.0 Mode of delivery:


All material shall be supplied from PLOT NO. PAP-S-77, CHAKAN INDUSTRIAL
AREA, PHASE -II, VILLAGE SAVARDARI, TAL. KHED, DIST. PUNE, PUNE-410501./
EX- WORK PUNE MAHARSAHTRA/ EX – OUR SUPPLIER’S WORKS. The goods may
be dispatched in one or separate lots at our option. If we are required to dispatch
the goods on behalf of purchaser, we can arrange to do so by road transportation
only, to destination named by purchaser on freight to pay basis, on the
understanding that no liability is attached to us. The freight charges contracted by
us on behalf of the purchaser will be treated as negotiated under the purchaser’s
authority and shall be final.

9.0 Title & Risk transfer to buyer during transportation:


Ex Works – Title and Risk pass to buyer including payment of all transportation
and insurance cost from the seller’s door. Used for any mode of transportation.

10.0 Packing and forwarding:


Packing of equipment and subassemblies will be done as per our standard practice
Equipments under contract may be dispatched as factory assembled single piece
package unit or multiple assemblies depending upon size of equipments. This is
done to minimize risk of damage in transit and handling. Packing for dispatches will
be in accordance with our standard practices. Fabricated items may be dispatched
unpacked.

11.0 Inspection:
If so desired by Purchaser, the goods will be offered for visual inspection only, at
our works/ our suppliers’ works. The date of inspection will be intimated by us to
client at mutually agreed date. If inspection not carried out on the date so advised,
we shall be free to dispatch the good as per terms of delivery. Purchaser can also be
present during our routine quality control test, wherever applicable, at our works,
at convenience to WTE &with prior intimation and confirmation of WTE. If
customer’s representative is not present, the test will be carried on in his absence
and the results will be binding on both the parties to contract.
12.0 Receiving and / or unpacking:
A) General comments:
1. Unpacking/ unloading is the responsibility of and must be carried out by the
client unless otherwise accepted by WTE in writing.
2. If the client requests WTE to provide Transporter’s assistance ,the client accept
that such assistance is subject to all risks and being client without recourse.

13.0 Insurance:

Transit insurance has to be covered by the purchaser. We shall convey the dispatch
particulars’ as soon as possible after actual dispatch to enable the purchaser to
arrange insurance. In case, we arrange the transit insurance, it will be on behalf of
the purchaser and all claims and its organizing will be done by the purchaser. All
other insurance at site and 3rd party liability and public liability whatsoever is not
covered by us. Unless it is specifically agreed mutually between WTE and the
user/Customer and expressly covered in the contract.

14.0 Advances:
Advance paid against an order shall not be subject to any interest. We shall have
right to adjust against such advances because of delay in lifting the ordered
equipments or because of any incidental expenses WTE may incur or the
purchaser’s behalf. The advance shall be forfeited in case of cancellation of order is
not accepted by us.
15.0 General Lien:
We shall be entitled to general lien on goods in our possession or dispatched for all
money due to us by the Purchaser, both under this contract or any other account.
We shall also be entitled to assign any money in our account from any contract due
to us under any other contract or contract.
16.0 Limitation of Liability:
In no event WTE shall be liable for any consequent /liquidated damages and /or
losses whatsoever, arising out of and connected with this work in any manner.
17.0 Force Majeure:
The offer is subject to ‘Force Majeure’ by which it means causes beyond our
reasonable control such as war, invasion, civil disobedience, Government orders or
restrictions, strikes, lockouts, riots, fire, earthquakes, floods, accidents, breakdown
of machinery, delay or inability to obtain labour, raw material wagons, shipping
space or any other causes whatsoever beyond our reasonable control, affecting us
or sub-contractors, suppliers etc.
18.0 Weather conditions:
Extreme weather conditions like excessive fog, rainfall, snowfall, storm, high wind
velocity etc. may suspension of work on safety grounds. All the increase in cost to
be incurred due to suspension of work will be on account of customer/client and
will have to agreed mutually on occurrence of such situation.

19.0 Warranty:
All our equipments including bought out components are thoroughly
inspected/tested before dispatch and therefore can be depended upon for long and
trouble free services. We undertake to make good loss by replacement or repair
defects arising out of faulty design, material or workmanship within 15 months
from the date of dispatches or 12 month of commissioning whichever is earlier.

a) Warranty is valid subject to :
1) Proper Unloading and Storage by customer, We recommend storage of all our
equipments in area free or soil/mud/dust/water/rain/severe humidity, severe
heat/sun & corrosive environment.
2) Installation having been made in proper manner as per installation instructions
& supply, erection &having been formally accepted by our site engineer.
3) Supply of right quality of oil & other inputs like water, compressed air, flue gas,
etc. as per relevant standards & specification provided by us.
4) The equipments being operated & maintained by trained and skilled manpower
as per our operation & maintenance manual & O&M manuals of various bought
out components supplied by us. Any changes /Alteration/ Repairs carried out by
customer or any of his agencies with our prior approval.
5) Purchased (Bought out) components will be covered in warrantee only if the
makes selected are from our approved standardized vendors list only.
6) User is expected to keep records, log books, Laboratory reports of all such
operations and periodically report to us about the same.
7) All payments under the contract are cleared as per payment terms of contract.

b) This warranty does not include following:


1) Consequential damages
2) Failure, deterioration or damage of equipments due to corrosive atmosphere.
3) Supply of consumables/ Gaskets and rubber parts
4) Parts subjected to were and tear including pressure gauges
5) Any civil work
6) Electronic components/ windings
7) Paint and paint life
8) A component of makes other than WTE’s recommended vendors.

20.0 Commissioning:
Commissioning service is offered at cost mentioned in the price schedule for
reasonable numbers of visits/meetings to:
a) Discuss installation details in terms of physical /technical retirements.
b) Make the user conversant with statutory requirements
c) Discuss details of in respect of power supply ,feed water & other standard
parameters
d) Ensure the installation has finally been made as recommended
e) Commission the unit for short run from the point of view of mechanical
working and to set controls as necessary
f) Conduct demonstration for the purpose of user’s education for equipment
operation and maintenance.

21.0 Utilities and Services by customer:
Following work and services shall be provided by the customer.
g) Lockable protected storage space for keeping our material during installation
and commissioning.
h) Working space in shed with adequate lighting for all our workmen to work
uninterruptedly.
i) Necessary electrical power and other required utilities free of charge during
commissioning stage.
j) Access to the units for installation & maintenance.
k) During the progress of site work, a daily report will be prepared by our site
engineer who shall be jointly signed by customer’s representative and our site
engineer.

22.0 Return of excess materials:


In the contract involving activity at user’s site, certain raw material, consumables &
components are sent to site in excess of the exact quantity for completing the job.
Such material is sent based on initial estimation and budgets. The excess or left
over material will be taken back by WTE and user/customer is expected to extend
cooperation in such regards.
If such a co-operation is not extended by customer, Debit note or Invoice raised by
WTE & customer is obliged to pay for the same.

23.0 Arbitration:
In the event of any dispute or difference between parties arising out of contract the
same shall be settled amicably, be referred to arbitrator. The same shall be dealt
within the meaning of The Arbitration and Conciliation Act, 1996, including any
statutory re-enactment or any other modification thereof.

24.0 Cancellations Clause:


In case of cancellation of LOI / Purchase Order, following cancellation charges will
be paid by the purchaser. The below charges consist of site visits, sales &
marketing, meetings, drawings and documentation, technical support, etc.
 Within 1 week of LOI / Purchase Order : 5%
 Within 2 weeks of LOI / Purchase Order : 10%
 After drawings & documentation Of LOI / Purchase Order :20%
 After major bought procurement of LOI / Purchase Order : 50%
 After material delivery of LOI / Purchase Order: 100%+ taxes (Invoice value)
Note - Cancellation charges mentioned above will be adjusted against advance paid
by the purchaser.

25.0 Price Escalation Clause
If the project get delayed due to any reason from purchaser side beyond agreed
terms & condition, then price escalation clause will be applicable as per slandered
CII(Cost Inflation Index) or as per market condition.

This price escalation would be irrespective of actual percentage of price increase in


material and labour used in manufacture of aforesaid plant. Cost inflation index
shall be applied compulsorily each year on cumulative base price till contract period
is over.
The price escalation will be approx. 6% per half year or 12% per year approximately.
Price escalation clause also covers transportation, Erection & commission etc.
If client fails to accept material/ plant within mention period (as per PO/LOI) or
extended the date of dispatch in mail communication, will be liable for price
escalation clause, as per above.

26.0 Jurisdiction:
All Contracts between purchaser and WTE are deemed to be entering in to India
and at Pune and are therefore, Jurisdiction of courts in India at Pune.
