Course Objectives:
The aim of the course is to familiarize the students about understanding the background of the Indian Financial System, issues involved in pre–issue
management, post-issue management and other key concerns of merchant banking activities.

Pre-requisites:
The student should have credited the following course –Financial Services, Financial System

Merchant Banking: Meaning, importance and categories; Role of merchant bankers;
Types of issues – IPO, FPO, Private Placement, OFS,
Types of investors – HNI, Retails, QIBs, Anchor
Module II Pre – Issue Management 20%
Descriptors/Topics
Types and characteristics of corporate securities: Shares, Debentures, Money Market Instruments; Selection of instruments;
Assessment of going public

Module III Book-building Process for Public Issues 25%


Descriptors/Topics
SEBI guidelines; Salient features, procedures; Drafting for offer documents, red-herring prospectus; Determination of pricing;
Allocation of securities to members of syndicates; Underwriting agreements, Subscription agreements; Marketing of the issues;
Allotment; Activity chart of book-building process; Escrow Account and ASBA.
Module IV Post-issue management 20%
Descriptors/Topics
Closure of subscription list; Processing; SEBI guidelines regarding post-issue; Obligation of lead managers; Allotment of shares
and debentures; Issue of refund orders; Listing and its regulations

ADR, GDR, FCCBs , Performance Evaluation of Merchant Bankers - Public and Rights issue analysis; Different financial,
operational tools.

• Students may understand ASEBI guidelines for preparing Initial process of Issue.
