TRAINING REIMBURSEMENT AGREEMENT

This Training Reimbursement agreement (“Agreement”) is entered into by and between:

_______________________, a corporation duly organized and existing

under Philippine laws with principal office at ______________________,
represented herein by its ____________________, ____________________
and hereinafter referred to as the ______________-;

and

________________, of legal age, Filipino and residing at _________________,

hereinafter referred to as the TRAINEE;

WITNESSETH:

WHEREAS, the COMPANY, in its desire to enhance the training and development of
more marine professionals, has entered into a Training Agreement with the TRAINEE dated
______________, which is hereto attached for reference, to provide support to the TRAINEE in
the form of practical training on the job;

WHEREAS, the COMPANY is providing such training to the TRAINEE in anticipation

of the TRAINEE to render service to the COMPANY for at least one year from the completion
date of the training so that the COMPANY may recover some of the cost of the investment in
the training;

NOW, THEREFORE, in consideration of the premises and the promise stated below, the
parties agree as follows:

1. In consideration of the COMPANY providing support to the TRAINEE, the latter

obligates himself/herself to continue to serve the COMPANY for a period of two years
following the completion date of the training;

2. In the event that TRAINEE fails to complete the period required in this agreement,
he/she is liable to pay the training cost amounting to _________________
(₱___________).

3. Except as otherwise provided in this Training Reimbursement Agreement, the terms and
provisions of the Training Agreement are and shall continue to be in full force and
effect;

4. The TRAINEE recognizes and understands that this Agreement is not intended to
constitute any type of employment agreement or guarantee of continued employment;

 5. In the event that the COMPANY terminates the TRAINEE’s service during the
abovementioned period following the date of training completion, the TRAINEE’s
obligations as related to this Agreement will be considered fulfilled.

6. This Agreement shall be construed under the laws of the Republic of the Philippines.

7. If any provision or part of a provision of this Agreement is determined to be invalid by

any tribunal of competent jurisdiction, such part shall be deemed automatically
adjusted, if possible, and if not possible, it shall be deemed deleted from this Agreement
as though it had never been included herein. In either case, the balance of any such
provision and of the Agreement shall remain in full force and effect.

8. Any and all disputes arising out of or relating to this Agreement shall be subjected to
good faith negotiations between the Parties before implementation of the legal
proceedings pursuant to the provisions of the Alternative Dispute Resolution Law.

9. This Agreement shall be governed by and construed in accordance with the laws of the
Republic of the Philippines. Exclusive jurisdiction over and venue of any suit arising out
of or relating to this Agreement will be in the proper courts of Quezon City to the
exclusion of all other courts or tribunals.

IN WITNESS WHEREOF, the parties hereto have hereunto set their hands this
