MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT:

That we, ________________, of legal age, Filipino citizen, married, a resident

of _______________________ Philippines, hereinafter known as the
CONTRACTOR and _______________, of legal age, Filipino citizen and a resident
of ___________________, Philippines, hereinafter known as the OWNER, do hereby
agree and states:

1. That the CONTRACTOR hereby agrees to performed Tile Installation, and

General Grouting of a Swimming pool with a total area of Five by Seven
(5x7) meters situated at _____________________ for the herein owner;

2. That the OWNER hereby agrees to pay Fifty-Eight Thousand (P58,000.00)

Pesos as Labor Expense to the CONTRACTOR for the abovementioned
services and that the OWNER shall shoulder and provide all the expenses for
the materials for the tile installation and general grouting;

3. That prior to the construction of the said Swimming pool, the PARTIES hereby
agreed the following terms of payment:

a. Down payment of Twenty Thousand (20,000.00) Pesos of contract

price shall be paid to the CONTRACTOR upon the execution of this
contract;

b. The project shall commence on June 14, 2022;

c. The additional payment of Twenty Thousand (20,000.00) Pesos shall be

given after the tile installation;

d. The third payment thereafter in the amount of Fifteen Thousand

(15,000.00) Pesos shall be made available to the CONTRACTOR after
the completion of the general grouting; and

e. The retention fee of Eight Thousand (8,000.00) Pesos shall be payable

to the CONTRACTOR upon completion and turnover of the entire
project.

ACKNOWLEDGMENT

BEFORE ME, a Notary Public, this _____ day of

____________________________ at _______________ Philippines, personally
appeared the herein parties, known to me to be the very same persons who executed
the foregoing instrument and further acknowledged to me that the same is their own
free act and voluntary deed and exhibited to me their Identification Card issued by the
Government, as evidence of their personal identities.

This document consist of two (2) pages including the page on which this
acknowledgement is written, duly signed by the parties and their instrumental witness
on each and every page hereof.
