‫‪2. Third party agrees that PNU retains all‬‬
‫‪rights to the confidential information‬‬
‫‪and no license is implied by the‬‬
‫‪conveying of confidential information‬‬
‫‪hereunder. The confidential information‬‬
‫‪is‬‬ ‫‪disclosed‬‬ ‫‪“as‬‬ ‫”‪is‬‬
‫‪representation, warranty, or any other‬‬
‫‪obligation with respect to the accuracy‬‬
‫‪of the confidential information is‬‬
‫‪provided by the discloser or its affiliates.‬‬
‫‪3. Third party agrees to use confidential‬‬
‫‪information solely in the service of the‬‬
‫‪current or expected relation between‬‬
‫‪the two parties and not for any‬‬
‫‪objectives other than what is allowed by‬‬
‫‪this agreement.‬‬
‫‪4. Third party agrees to use the confidential‬‬
‫‪information solely for the purpose, and‬‬

‫بموجب هذه االتفاقية (اتفاقية عدم اإلفشاء) اتفق كل من‪:‬‬

‫‪ -1‬المعلومات السرية هي أي معلومة بأي شكل كانت يتم الكشف‬
‫عنه‪00‬ا من قب‪00‬ل الط‪00‬رف األول أو من يمثل‪00‬ه الط‪00‬رف الث‪00‬اني‬

‫الطرف األول وأن الكشف عنها للطرف الث‪00‬اني ال يعطي‪00‬ه أي‬
‫ح‪00‬ق في تل‪00‬ك المعلوم‪00‬ات وتم الكش‪00‬ف عنه‪00‬ا كم‪00‬ا هي ب‪00‬دون‬
‫ضمانات أو االلتزامات األخرى‪.‬‬
‫‪ -3‬يل‪00‬زم الط‪0‬رف الث‪0‬اني بع‪00‬دم اس‪00‬تخدام أو اس‪0‬تعمال أو اس‪00‬تغالل‬
‫المعلومات السرية في غير غ‪0‬رض العم‪00‬ل إال بموافق‪00‬ة خطي‪00‬ة‬
‫صريحة من الطرف األول‪.‬‬
‫‪ -4‬يلتزم الطرف الثاني بحصر وتقييد إفش‪00‬اء المعلوم‪00‬ات الس‪00‬رية‬
‫لموظفيه ومنسوبيه على أساس حاج‪00‬ة المعرف‪00‬ة‪ ،‬وع‪00‬دم إفش‪0‬اء‬
‫أي معلومات سرية ألي شخص فيما عدا ما ورد ص‪0‬راحة في‬
‫هذه االتفاقية‪ .‬يلتزم الطرف الثاني بحماية المعلوم‪00‬ات الس‪00‬رية‬
‫‪and‬‬ ‫‪no‬‬ ‫الخاص‪00‬ة وذل‪00‬ك باس‪00‬تخدام مع‪00‬ايير الحماي‪00‬ة ال‪00‬تي ال تق‪00‬ل عن‬
‫مس‪00‬توى الحماي‪00‬ة ال‪00‬تي يس‪00‬تخدمها لمحافظ‪00‬ة على المعلوم‪00‬ات‬
‫السرية الخاصة به‪ ،‬ويلزم بحفظها وتخزينها والتعام‪00‬ل معه‪00‬ا‬
‫بالطريقة التي تمنع كشفها أو استخدامها بش‪00‬كل غ‪00‬ير مس‪00‬موح‬
‫به‪.‬‬
‫‪ -5‬على ال‪00‬رغم مم‪00‬ا س‪00‬بق يج‪00‬وز للط‪00‬رف الث‪00‬اني الكش‪00‬ف عن‬
‫المعلومات بموجب قرار قضائي شرط إخط‪00‬ار الفري‪00‬ق األول‬
‫خطيا وفورا بذلك‪.‬‬
‫‪ -6‬إذا ثبت أن بعض أو أحد أحك‪00‬ام ه‪00‬ذه االتفاقي‪00‬ة ب‪00‬اطال أو غ‪00‬ير‬
‫قابل للتطبيق ألي سبب‪ ،‬فإن ه‪00‬ذا ال ي‪00‬ؤثر على أي من أحك‪00‬ام‬
‫االتفاقية األخرى‪.‬‬
‫‪ -7‬يجوز للطرف األول أن يطلب كتابة من الطرف الث‪00‬اني – في‬
‫أي وقت‪ -‬إع‪00‬ادة أو إتالف أي‪00‬ة معلوم‪00‬ات س‪00‬رية مكتوب‪00‬ة أو‬
‫بص‪00‬يغة إلكتروني‪00‬ة س‪00‬بق الكش‪00‬ف عنه‪00‬ا وفق‪00‬ا ألحك‪00‬ام ه‪00‬ذه‬

6. The parties agree that a failure to
enforce any provisions of this agreement
will not constitute a waiver.
7. Upon demand by the discloser, the
confidential information and any copies
thereof will promptly destroyed or
returned to the discloser, if destroyed
the receiver shall certify in writing to the
discloser that all such information,
including all copies, has been destroyed
within 7 days from the demand date.
8. The third party acknowledges that the
discloser of the confidential information
in a manner not authorized by this
agreement may cause irreparable
damage that could not be fully remedied
by monetary damages. Each party agrees
that the other party may specifically
enforce this agreement and may seek
injunctive or other equitable relief as
may be necessary or appropriate.
9. The obligations of confidentially will
continue for period of ten (10) years
from the date of discloser of confidential
information.
10. This agreement will be construed in
accordance with the laws of Saudi Arabia
and subject to the jurisdiction of the
Kingdom of Bahrain courts.
