OVERVIEW OF THE PROPONENT: waya events management is one of the events

sorsogon and established on February 14, 2016 under the law of the republic of the Philippines.

2016.With its wings spread across all major cities of the country to take care of the local
coordination and management. With this continuous journey, at the same time we have

MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENT

This agreement made and entered into this date January 20 2025.

WAYA’s events company, organized and existed under the laws of the Republic of the
Philippines, represented by its event manager, Mr. Iwaya Dongsao with the office
address at Magsaysay St. Sorsogon city, hereinafter referred to as the FIRST PARTY.

And

JOHN ARVIC E. POLICARPIO, Manager of B&M Event of , hereinafter referred to as


the SECOND PARTY.

Whereas, the first party is an event management company, it offers services that match
the expectations, goals and budget of its client and at the same time create an event
that connect people, breed innovation and build communication and camaraderie.

Whereas, the second party is in need of an event management company to handle the
National Convention related to “Becoming a successful Caterer in 21 st Century” with a
given theme June 17,18,19. 2025
Whereas, the FIRST PARTY has proposed and filed its intent to handle the said event
and the SECOND PARTY has engaged the first party as an independent contractor to
perform certain services and has agreed and accepted the proposal.

NOW, THEREFORE, for and in consideration of the covenants contained herein and for
other good and valuable consideration, the receipt of which hereby acknowledge all
parties hereto and hereby agreed to the following:
I. DUTIES AND OBLIGATIONSs
A. FIRST PARTY
1. FIRST PARTY’s primary responsibility is to plan, direct and implement all the
aspects of the event in accordance to the written proposal being presented and
served as an attachment to this Memorandum of Agreement, represents and
warrants that all services perform under professional quality.
2. Agreed to return the full contingency fund budget but, if the said budget is
utilized, only the remaining amount will be returned to the second party in at least
a day after the event.
3. The FIRST PARTY shall include a Group Accident Insurance from iNLIFE
INSURANCE CORPORATION to cover for any accidents, losses, and/ or injury
on the participants that is attributable to the duration of the event provided that
due diligence is exercised by the participants.
4. Any mishaps, loss/incidents happened to the participants outside the venue or
after the event is not the liability of the FIRST PARTY.

B. SECOND PARTY
1. The FIRST PARTY charges the SECOND PARTY the amount of Six million,
three hundred seventy five Thousand, six Hundred fifty eight Pesos
(Php.6,375,658) Three-Day, Two Nights Live-In event.
2. The CLIENT hereby promises to pay 70 % of the said amount upon signing of
contract and the other 30 % three days before the actual event.
3. Budget package is fixed for 1000 pax including 30 VIPs whether or not everyone
will appear or participate. However, on the event that the number of participants
exceeds the expected number, they shall not be considered part of the budget
package and shall be subject to a different payment package.
4. The budget package further includes Contingency Expenses of Sixteen Percent
(14%), Value Added Tax of Twelve Percent (12%) and Professional Fee of
Fifteen percent (16%). The Contingency fund that is composed of (16%) of the
total budget and shall be returned after the conduct of the event if the said
budget is not utilized.
5. The second party is responsible for the strict compliance of the agreed
transportation location and time matters and thus, the first party holds no liability
on it.

II. TERMS AND CONDITIONS:


1. In case of cancellation, Two (2) days before the scheduled date, 80% of the total
event package shall be forfeited, meanwhile, 100% of the total package shall be
forfeited when the cancellation is done on the day of the event in favor of the
FIRST PARTY.
2. In the event of natural calamities (earthquake, flood, etc.) any problem incurred
by such delays, both parties shall be accountable for all the expenses incurred in
the event.
3. Any unused services are non-refundable.
4. The FIRST PARTY shall have prerogative in the administration of the event
without interference from the SECOND unless necessary.

III. EFFECTIVITY
This Memorandum of Agreement shall be deemed effective until June 16 2025, a day
after the event. This is revocable but not transferable at the options of the both parties
with amendments as maybe identified and agreed by the parties.
IN WITNESS, WHEREOF, the parties here unto affixed their signature this April 18
2025 at Sorsogon City, Philippines.
