 Đây là những từ cổ, ít gặp trong các văn bản thông thường, nhưng thường xuyên xuất hiện trong
các hợp đồng và các văn bản pháp lý.
 Đa phần được sử dụng như adverbial, đôi khi được sử dụng như adjectival.
 Các từ này được sử dụng để thể hiện sự trang trọng, tránh lặp lại từ, giúp liên kết các điều khoản
trong một hợp đồng, các phần trong một văn bản pháp lý.
 Khi dịch các từ này sang tiếng Việt, cần phải dựa vào ngữ cảnh cụ thể.

1. here + preposition => this

PART 1. English-Vietnamese Translation

1.a The titles to the Articles in this Agreement and in the

tính hiệu lực và việc thực hiện các điều khoản còn lại
trong hợp đồng này tuyệt đối sẽ không vì thế mà bị
ảnh hưởng.

3.b Chúng tôi gửi kèm theo đây Giấy Chứng nhận Kiểm
định liên quan số 3030 và sáu tấm ảnh.

3.c Nếu bất kỳ đối tác nào qua đời, công ty hợp doanh
này sẽ không vì thế bị giải thể.

 How to translate modal verb “shall” in contracts?

 shall thường chỉ các nghĩa vụ (việc phải thực hiện) và trách nhiệm pháp lý (hệ quả pháp lý phải gánh
vác) của các bên trong hợp đồng.
 Bên nào không thực hiện nghĩa vụ (obligation) mà shall đã nêu trong hợp đồng thì sẽ bị xem là vi
phạm hợp đồng (breach of contract) và phải chịu trách nhiệm vì vi phạm hợp đồng.
 Với các điều khoản không có liên quan đến quyền lợi và nghĩa vụ thì tránh dùng shall.
 shall được dùng cho tất cả các ngôi của chủ ngữ.
 shall được dịch sang tiếng Việt tùy theo ngữ cảnh và nội dung cụ thể của hợp đồng, thường dịch là
nên, phải, hoặc sẽ, có thể hoặc không dịch.

Examples:

1 The Seller shall not be held liable for the delay in

shipment or non-delivery of the goods under the
Contract in consequence of Force Majeure, which
might occur during the process of manufacturing or in
the course of transit.

2 The Seller shall inform the Buyer promptly of the

occurrence mentioned above and within fourteen (14)
days thereafter, the Seller shall send by airmail to
the Buyer for their acceptance a certificate of the
accident issued by the Competent Government
Authorities where the accident occurs as evidence
thereof.
In such circumstances, the Seller, however, is still
under the obligation to take all necessary measures
to hasten the delivery of the goods.

3 In case the accident lasts for more than ten weeks,

the Buyer shall have the right to cancel the Contract.

bán phải thực hiện theo pháp luật sau khi xảy ra trường hợp bất khả kháng.
