Eddie,

Good morning, We are trying to finalize on the HSBC purchase to close in late February and I really need to get a head start on the JPMChase 1st lien pool
as these deals need require a great deal time to order BPO's and title so we can begin to prepare lien releases for the vacant and vandalized properties
while also concentrating our efforts on working with any borrowers who respond to our correspondence and would like to try to stay in their property. We've
really geared up for this deal and have had our newly hired employees on hold to begin boarding loans and sending our RESPA Notification of Loan
Transfer Letters. We are ready to hit the ground running today and can literally have all of initial letters out to borrowers for EOM January by simply
importing your name and address data tape information into our loan servicing software. I understand that the loans are non performing, both secure and
unsecure loans and that there are no buybacks, credits, representations or warranties as to the information, quality or availability as to any of the collateral
documentation whatsoever. We've been buying loans from Chase for years, since BankOne, Milwaukee and I personally promise to make this a seamless
and hassle free transaction on your end.

We understand that you are having difficulties with your legal department crafting a more comprehensive Note Sale Agreement than the standard one we
typically use. I am enclosing a copy of the Note Sale Agreement we are using for the HSBC deal. I am including the Word copy of the document in the

event you would like to just use this template and change the Seller info (it is extremely comprehensive and Seller friendly). We can have my counsel do the
preparation and submit a final draft for your approval to make things easier. We know exactly what we are getting in this loan pool and have completed our
due diligence and we are willing to sign anything that you put in front of us.
