DEED OF SALE SECOND HAND HEAVY EQUIPMENT

KNOWN ALL MEN BY THESE PRESENTS:

That B AND G AND C PREMIUM ENTERPRISES INC., represented by GINA CHOI with office
address in 878A Himalayan Rd., Brgy. Pasong Tamo, Tandang Sora, Quezon City FOR AND IN
CONSIDERATION of the amount Three Million Five Hundred Thousand (Php 3,500,000.00)
Philippine Currency, and other valuable consideration, receipt of which hereby acknowledged from
JEK TRADING AND CONSTRUCTION represented by CRISANTE P. ILAYA with office address in
Roman Super Highway, Imelda, Samal, Bataan, DO HEREBY SELL, TRANSFER AND CONVEY and by
these present SOLD, TRANSFERRED CONVEYED unto the said heavy equipment, the letters heirs
and assigns, that equipment described as follows;

Of which B and G and C Premium Enterprises Inc is the absolute owner,

That the Vendor hereby warrant the said heavy equipment is free from any liens and
encumbrances and that the Vendor will defend the title rights of the Vendee from any claims of
whatever kind or nature from third person/s.

That the Vendee acknowledges and declares that he/she has full knowledge that the sale
involves a SECOND-HAND HEAVY EQUIPMENT and that “HAS NO WARRANTY, AS IS WHERE IS
CONDITION”, nature or kind is present in this sale and, the Vendee , and his own free will and
violation still wishes to buy and acquire said heavy equipment

That the Vendee has also inspected the aforementioned heavy equipment and found that
said excavator is in full and good working condition to his satisfaction and that no defects exist with
respect to said excavator.
