Fredrikson & Byron (“Fredrikson” or “firm”) is pleased to submit this proposal to provide State Legislative
Services to The City of Minneapolis (“City”) as addressed in the City’s RFP’s Scope of Services.
We would be happy to provide additional information, answer questions in an interview setting, or provide a
presentation to assist the City of Minneapolis in its selection of government relations professionals to support
its legislative efforts. Please let us know if you need additional information.

OVERVIEW
Fredrikson was founded in Minneapolis in 1948. Since then, we’ve grown into an international firm of over
280 attorneys in more than 30 practice and industry areas, serving clients from seven offices worldwide. The
firm’s clients are from a wide array of industries such as life sciences and healthcare, financial services, energy,

1. EXECUTIVE SUMMARY
This proposal is being submitted in response to the City of Minneapolis RFP for government relations services.
This response outlines our proposed scope of services, a summary of our experience and capacity along with a
listing of our proposed team and references, our proposed fees for our services, a statement of the firm’s
financial stability, and a listing of our current government relations clients.
Fredrikson’s Government Relations Department has worked successfully with the City of Minneapolis since the
2011 session in achieving its legislative goals. We have added value to the City of Minneapolis’ efforts at the
Capitol on a number of fronts, including work on pension issues, capital investment projects and tax policy.
Our team will work with the City IGR team to identify specific issues, either included in the City’s legislative
agenda or that arise separately, that we will be responsible for implementing as part of the City’s legislative
efforts. We will advise City staff and officials on legislative and executive branch proposals that could impact the
City and also develop and execute a plan to communicate with the City on a regular basis.
Our bipartisan approach enhances the City’s relationships with all members of the legislature and executive
branch decision makers. And we aim to provide year-round support to the City’s IGR needs, with frequent
communication both during and outside the legislative session.

STAFF & EXPERTISE


The firm’s Government Relations Department was established in 2006 and is chaired by former Minnesota State
Representative and former Department of Human Services Commissioner, Kevin Goodno. The group has grown
to include seven government relations professionals who come from diverse experiences. Our team includes
experience working at every level of government in Minnesota, from a current local government mayor to a
former state agency commissioner, and has significant legislative experience which provides our team with

excellent relationships with the key decision makers in the legislature, the Governor’s office and throughout the
executive branch.
Minnesota leaders trust our recommendations when it comes to legislative and administrative ideas and
solutions. Whatever the outcome of this year’s election, our combined experience provides clients with a broad
understanding of the inner workings of the Minnesota Legislature, Governor’s office, state agencies and agency
staff. We also have a track record of collaboration with other stakeholders who have commonality of interest
with our clients’ needs.

2. SCOPE OF SERVICES
Fredrikson’s Government Relations Group has worked effectively with the City of Minneapolis since the 2011
session. We believe we have been a beneficial consultant to the City on a number of issues, including pensions,
capital investment, taxes and overall bipartisan relationship-building for the City.
In addition to providing high-level expertise on issues of critical importance to the City, we also value our role as
on-call generalists, ready and able to lend our time and experience on any of the vast array of issues that the
legislature or administration may take up that impact the City, its residents and businesses.
Our Government Relations team is ingrained in the Minnesota legislature and we are often looked to by the
City’s own in-house IGR staff to provide background, context or insight on quickly developing issues and
legislation. Our relationships with legislators, staff and executive branch officials have been crucial to moving
Minneapolis’ legislative agenda forward. Particularly in a time of Administration transition, our bipartisan
relationships are extremely beneficial to clients to ensure the incoming Governor and their administration are
well versed in our clients’ priorities.
Working with the City of Minneapolis and its other consultants, we take our lead from City IGR staff. Weekly
meetings held at Fredrikson’s St. Paul office over the past four legislative sessions, between Minneapolis’ IGR
staff and the two current consultants, form the basis for weekly tasks as well as an opportunity to share news
across the wide range of issues of concern to the City. Tasks vary from week-to-week, but may include:
• monitoring one or more committees;
• tracking specific legislation;
• meeting with legislators, either solely or in conjunction with City IGR staff;
• updating Minneapolis delegation members on issues of concern;
• coordinating activities with allied interests;
• attending ad-hoc work groups with coalitions the City is a part of; and
• advising City staff on developments that could affect the City’s legislative agenda.

Our team’s commitment to our clients is year-round. We view the transition between legislative sessions (interim)
as a time for opportunity, laying the groundwork for new legislation while the legislature is at rest is a vital part of
a successful government relations strategy. During the legislative interim, we use our connections to increase
government officials’ awareness of our clients’ needs and ideas. For example, we have been active participants
in Minneapolis’ capital investment tours with legislators and administration officials and have been involved in
discussions around the City’s preparation of capital investment requests and the pipeline of future regionally
significant capital investment requests. We use the summer and fall months to relay information, work with
agency staff, visit legislators in their districts and organize meetings between our clients and key legislators in
order to prepare for the upcoming session.

3. EXPERIENCE AND CAPACITY


Fredrikson’s Government Relations Group operates in a team environment, where the entire group could be
called on at any time to provide support to our range of clients. However, we are proposing the two-person
lobbying team of Kevin Goodno and Andy Pomroy, who are both experienced in working with the City in
achieving its legislative goals. They will be supported administratively by Cody Holliday. Kevin has represented
the City of Minneapolis since 2011 and will continue as the point-person for the City, along with Andy Pomroy,
who was added to support the City’s IGR team beginning in 2015.

5. PERSONNEL LISTING
As mentioned earlier, Kevin Goodno and Andy Pomroy are the proposed team to support the City’s IGR team to
achieve the City’s government relations goals.
Kevin Goodno has been recognized for excellence in his work as a lobbyist, as Commissioner of Minnesota’s
largest state agency, and as a state legislator. Kevin’s diverse background provides a unique blend of
experiences and relationships that sets him apart from his peers. In addition to being named to The Best
Lawyers in America, Government Relations Practice again in 2018, Kevin was also named in 2015 and again in
2018, a Best Lawyers Government Relations Practice Lawyer of the Year. But most importantly, he works closely
with our clients to understand each client’s legislative and organizational needs and short and long-term goals
to make certain our representation embodies the client’s mission and broader goals.
Kevin has 25 years of state government knowledge, experience and contacts on all sides of the political aisle.
His experience is much deeper than his expertise as a lobbyist. He also has extensive experience in state and
local government, non-profit organizations and the private sector. Prior to joining Fredrikson, Kevin served as
Commissioner of Minnesota’s largest agency, the Department of Human Services. In that role, he managed over
7,000 employees and had an annual budget in excess of $9 billion. It also required working closely with other
state agencies, county and tribal governments and the federal government.
On behalf of the City of Minneapolis, Kevin has worked on many issues, including working successfully to obtain
pension legislation to protect the City’s retirees and the City; as part of a team effort, acquiring funding for the
Nicollet Mall Project; and, providing advice and advocacy on various tax issues.
Kevin has a B.A. from Concordia College in Moorhead, MN and a J.D. and L.L.M. in Taxation from Mitchell
Hamline School of Law (formerly William Mitchell College of Law).
Andy Pomroy has experience working across the many public policy areas in which the City of Minneapolis has
an interest, including capital investment, taxes, transportation, public safety and environment. Working creatively
with clients, Andy finds ways to accomplish their goals that may not have been initially apparent. Strong
relationships with policy makers and staff are critical to his success. Prior to joining Fredrikson in 2015, Andy
served eight years as staff within the House DFL Caucus covering committees such as Capital Investment,
Energy, and Legacy. As a research consultant at the House of Representatives, he was part of passing over
$1.3 billion in state capital spending during the 2014 legislative session, including Minneapolis’ Nicollet Mall
project.
At Fredrikson, Andy has continued his work on capital investment projects for multiple local government and
non-profit clients (generating more bond appropriations for his clients than any other lobbyist at the Capitol
during that time span), renewable energy developments, affordable housing, public safety and more. Working
with the City of Minneapolis, he has primarily supplemented the City’s advocacy for vital infrastructure projects,
helping to secure inclusion of the City’s top priorities in the 2016, 2017, and 2018 bonding bills — leading

Minneapolis to be among the most sucessful local governments or state agencies in securing state bonding
commitments.
Andy Pomroy has a B.A. in Political Science from the University of Minnesota.

6. COST/FEES
To provide the government relations services for the City of Minneapolis included in the Request for Proposal
and as further discussed above, we propose a flat fee of $48,000.
The fee is payable over the term of our engagement as mutually agreed to by the City and Fredrikson & Byron.
Although the fee structure is important in any business relationship, we value a strong, long-term and mutually
beneficial relationship, and do not want concerns regarding the proposed fee to preclude further discussion
about our potential relationship.
Nominal administrative support expenses incurred by Fredrikson that are necessary to fulfill the terms of this
Agreement – such as small photo copying projects, document assembly, email dissemination of materials, basic
telephone service, support assistance and postage – are included as part of the fee.
Other non-routine costs that may arise during our representation are not included in the fee and will be billed to
the City for reimbursement. These expenses include travel costs outside of the seven-county metropolitan area,
including mileage expenses reimbursed at the published IRS allowable rate, actual costs for food, lodging and
other expenses. All travel outside of the seven-county metropolitan area for which expense reimbursement will
be claimed shall require prior approval by the City.

7. COMPANY FINANCIAL INFORMATION


Since our firm’s inception in 1948, Fredrikson & Byron, P.A. has never filed for bankruptcy. The firm is financially
sound and growing, with a strong balance sheet.

8. GRANT-FUNDED SERVICES
We do not believe this is applicable to Fredrikson’s legislative services work with the City as the proposed
annual fee for the services to provided under this proposal are less than $50,000.

ATTACHMENT A – RFP TERMS & CONDITIONS


We have reviewed the City’s Terms & Conditions provided with the RFP, and will comply with the City’s
requirements contingent on the following or similar language being included in our contract for services:

CONFLICT OF INTEREST
As a law firm, Fredrikson & Byron P.A. represents other clients that may be adverse to the City of Minneapolis on
legal matters. Accordingly, Fredrikson offers to provide government relations services to the City of Minneapolis
contingent on the following or similar language being included into our contract for services:
Notwithstanding anything to the contrary, the City grants to the Consultant a conflict of interest waiver as to the
Consultant’s continued representation of the Consultant’s clients (the “Other Clients”) in certain existing,
“Routine Matters” adverse to the City and the City affirms that conflict of interest waivers granted by the City
under representation by Consultant for government relations services in prior years continue under this
agreement.
Furthermore, the City grants to the Consultant an advance conflict of interest waiver as to the Consultant’s
representation of the City and of current and future Consultant clients in “Routine Matters” adverse to the City.
For the purpose of this waiver, “Routine Matters” is defined to include: (a) regulatory, land use, licensing, criminal
defense, environmental, eminent domain, and assessment valuation and real property tax protests and (b) other
civil matters including civil litigation which are either similar to past matters in which Consultant clients were
adverse to the City and were represented by the Consultant and unrelated to current City state legislative
matters.
For conflict of interest purposes, the City does not consider matters in which the Consultant represents other
clients in connection with non-litigated land use, licensing or other regulatory matters to be adverse to the City,
and this it is not necessary for the Consultant to seek waivers from the City as to those matters during the term
of this Contract as amended.

EQUAL OPPORTUNITY - AFFIRMATIVE ACTION PLAN


Fredrikson & Byron P.A.’s Minnesota Affirmative Action Plan is certified through 12/1/2019 as currently stated on
the Minnesota Department of Human Rights website. It is the firm’s intent to file its new plan for state
certification prior to the 12/1/2019 certification period end date.

INSURANCE
Fredrikson & Byron complies with the City’s insurance coverage requirements provided in Attachment A with the
following notations:
Commercial General Liability coverage as follows:
• Fredrikson & Byron’s General Liability limits are $1M per occurrence/$2M General Aggregate.
Products/completed operations are included in the General Aggregate.
• Personal and advertising injury is $1M; the firm’s umbrella sits over this policy to provide the
additional coverage.
• 30-day notice is for cancellation only.
Commercial Automobile Liability insurance covering all non-owned and hired automobiles with limits of at least
$1,000,000 per accident. Fredrikson does not cover owned vehicles.
Professional Liability - Fredrikson & Byron maintains lawyer’s professional liability coverage with a consortium of
insurers. Huntersure/ Scottsdale is the lead underwriter, and the list of carriers also includes Berkley Select,
Sompo US, Markel US and QBE. The policy limits are $35 million per claim and $70 million in the aggregate. The
next renewal date for the policy is January 1, 2019.
Network Security and Privacy Liability for the duration of this agreement providing coverage for, but not limited
to Security and Privacy Liability, and Media Liability. Insurance will provide coverage against claims that arise
from the disclosure of private information from files including but not limited to: Breach of the City’s private data,
whether electronic or otherwise. The insurance policy should provide minimum coverage in the amount of
$1,000,000 per occurrence and $2,000,000 annual aggregate.
• Fredrikson & Byron’s policy does not provide coverage for Technology Errors and Omissions.
• Additionally, intentional, fraudulent, and criminal acts are a standard exclusion on Cyber policies.
• Our coverage is written on a claims-made basis with a policy term of one year, which is standard.
If the firm would ever cancel the policy, it could choose to put in place an extended reporting
period.
